Transcript
- 0:00If you've ever woken up in the middle of the night and suddenly everything feels harder.
- 0:05The decision you were solid on yesterday now feels uncertain.
- 0:10The deal that made sense now feels fragile.
- 0:15Nothing changed, but inside your body, it feels like everything did.
- 0:21This happens to people making real decisions.
- 0:24Not small ones, not hypothetical ones, and it almost always happens outside of business hours.
- 0:34There's a reason for that, and if you understand it, this moment stops being dangerous.
- 0:41What's interesting is that I hear about this moment constantly from founders, from executives, from people in mergers and acquisitions who get the late night call when a seller suddenly starts unraveling.
- 0:58Different industries, same timing, same physiology.
- 1:03So let's talk about what's actually happening.
- 1:08If we haven't met yet, my name is Kathie Owen.
- 1:11I work with leaders in high pressure environments where decisions carry real consequence.
- 1:17My work focuses on something most systems ignore.
- 1:21How the human nervous system behaves under threat and how that behavior quietly drives outcomes.
- 1:30This isn't about motivation, it's about decision stability.
- 1:34At night, the structures that keep us regulated disappear.
- 1:38There are no meetings, no distractions, no momentum.
- 1:42Cortisol rises, thinking, narrows the nervous system starts scanning for danger.
- 1:49And if identity is involved, like selling a company, exiting a role, transferring responsibility, fear gets very loud.
- 2:02This is when people confuse fear with truth.
- 2:05They assume, if I feel bad, something must be wrong.
- 2:11If I'm this uneasy, I should do something now.
- 2:16That assumption is where things go sideways.
- 2:21I wanna pause here and say this clearly, this moment is not a flaw.
- 2:27It's not instability.
- 2:30And it's not a red flag.
- 2:32It is a predictable biological response to high stakes transition.
- 2:39Everyone experiences it.
- 2:42The difference is how it's handled.
- 2:46Fear is not the risk.
- 2:48Reaction is.
- 2:50When fear shows up at 3:00 AM it feels urgent.
- 2:53It demands action, and it wants relief.
- 2:57That's when people rethink decisions, renegotiate unnecessarily, destabilize trust and offload panic onto someone else.
- 3:09Often that someone else is the M&A advisor.
- 3:15This is the part I care about deeply.
- 3:18Every M&A professional I've worked with has described this very moment.
- 3:25The seller calls late at night.
- 3:28Nothing changed in the deal, but internally, everything feels unsafe.
- 3:33Now the advisor is holding fear, doubt, identity collapse, urgency.
- 3:39And most advisors were never trained for this.
- 3:42They were trained to manage deals, not nervous systems.
- 3:46So here's what actually helps.
- 3:50Preparation doesn't eliminate fear, it contains it.
- 3:54Here's what serious operators do often without naming it this way, first, they normalize the moment in advance.
- 4:03They tell leaders, this is going to happen.
- 4:07Late at night fear will spike.
- 4:12And that doesn't mean the deal is wrong.
- 4:15Expectation removes shame.
- 4:18And shame fuels panic.
- 4:22Second, they separate timing from decision making.
- 4:26They don't let overnight fear drive irreversible moves, not because fear is bad, but because timing matters.
- 4:35Nothing irreversible should be decided when identity is stabilized.
- 4:41And third, they don't try to fix the fear in real time.
- 4:46They don't overexplain, they don't reassure excessively, they don't add more data.
- 4:52They help the person not act.
- 4:56Because panic doesn't need solving, it needs containment.
- 5:01The most important thing to understand is this fear is information, not instruction.
- 5:08When leaders and advisors know that the 3:00 AM moment loses authority, it still shows up.
- 5:16It just stops running the process.
- 5:19This is why I do the work I do, because this moment is everywhere.
- 5:25It and almost no one prepares for it.
- 5:28When it's addressed early advisors stop carrying it alone.
- 5:32Leaders stop interpreting fear as danger and decisions regain their footing.
- 5:38I wrote a deeper piece on this with additional context and resources, and I've linked it in the show notes and description below.
- 5:46If this resonated, spend some time with that.
- 5:50And if you ever find yourself awake at 3:00 AM questioning everything, remember the moment doesn't need solving.
- 6:00It needs containment.
- 6:04Alright, that's my episode for today.
- 6:06I trust that you found it helpful.
- 6:08And if you know someone who could benefit from hearing this, please share it with them.
- 6:13And until next time, I'll see you next time on the Kathie Owen perspective.
