- 0:00What if I told you a company could lose$50 million?
- 0:05And the mistake was never in the numbers.
- 0:09It wasn't in the data room, it wasn't in the contracts, it wasn't even in the strategy.
- 0:15It happened in a conversation, a normal meeting, a simple question, a moment that most people would completely miss.
- 0:25But that one moment, it told the entire story of how the company actually runs.
- 0:32And more importantly, how it was going to break.
- 0:37Welcome to the Kathie Owen Perspective.
- 0:40My name is Kathie Owen, and I'm a private consultant who works inside founder led and private equity backed companies during high stakes moments, mergers, acquisitions, leadership transitions, and scale.
- 0:55And what I do is different.
- 0:58I don't just look at spreadsheets or strategy decks.
- 1:02I observe human patterns under pressure, how decisions get made, how leaders interact, what happens in the room when things aren't scripted, because that's where the real risk lives.
- 1:18Let me show you exactly what I mean.
- 1:20I was sitting in a leadership meeting during diligence, everything looked great on paper.
- 1:26Strong revenue, clean reporting, confident leadership team.
- 1:31The deal was moving forward.
- 1:33Then a buyer asked a simple question, who owns the pricing decisions?
- 1:40Easy question, right?
- 1:42Should have taken 30 seconds.
- 1:46The founder jumped in immediately.
- 1:48Yeah.
- 1:48So what we typically do is, and he started explaining everything.
- 1:54Now here's where it gets interesting.
- 1:57The head of revenue, let's call her.
- 1:59Sarah started to speak.
- 2:02She leaned forward, slightly opened her mouth, and then stopped because the founder kept going.
- 2:09He didn't pause, he didn't hand it off.
- 2:11He didn't say, Sarah, do you wanna take that?
- 2:16And when she tried again to add context, he talked over her.
- 2:20Yeah, exactly.
- 2:23"And what she's referring to is dot dot dot" And then he re-explained her own point.
- 2:32Now most people in that room heard a confident founder.
- 2:36I saw something completely different.
- 2:39In less than two minutes, I could see decision making was still centralized.
- 2:45Leadership authority wasn't actually distributed.
- 2:49The team was conditioned to defer.
- 2:52And the founder was still the bottleneck.
- 2:56And here's the part, most people miss that moment doesn't stay in that meeting.
- 3:02It becomes the culture.
- 3:05Because culture isn't what's written on the wall.
- 3:09It's what gets repeated in the room.
- 3:12So what happens next?
- 3:14That behavior starts to spread.
- 3:17Sarah stops speaking up in future meetings.
- 3:20Other leaders start waiting to be told what to do.
- 3:24Decisions slow down or.
- 3:27They stack at the top.
- 3:29And eventually the entire company learns One thing.
- 3:33Don't move unless the founder moves.
- 3:37Now imagine this post-acquisition.
- 3:40The founder is supposed to step back, but the system, it doesn't know how to function without them.
- 3:46So what happens?
- 3:48Teams hesitate, execution slows.
- 3:51Leaders feel frustrated.
- 3:53The buyer starts asking, what did we miss?
- 3:56And the answer is nothing was hidden.
- 4:00It just wasn't recognized.
- 4:03This is what traditional diligence misses, because traditional diligence asks what are the numbers, what are the risks on paper?
- 4:12What systems are in place?
- 4:14But it does not ask, how does this company actually make decisions in real time?
- 4:20And that question, that's where the truth is.
- 4:24You don't have to be in mergers and acquisitions to see this.
- 4:27Start watching this in your own workplace.
- 4:30In your next meeting notice who answers questions first.
- 4:34Who gets interrupted and who doesn't?
- 4:38Yeah, who people look at before they speak, where hesitation shows up.
- 4:43That's not random.
- 4:45That's the system revealing itself.
- 4:48This is why I do the work I do, because I sit in rooms and observe how leadership actually functions under pressure.
- 4:56Not what's reported, not what's presented, what is real.
- 5:02Because those patterns determine whether a company scales or stalls.
- 5:07The most expensive risks in any business are not the ones you see.
- 5:12They're the ones you don't know to look for.
- 5:14And once you start seeing them, you realize they were never hidden, just overlooked.
- 5:22If this resonated with you, I wrote a full article breaking this down in more detail.
- 5:27You can find it linked in the show notes and description below.
- 5:30And if you know a leader, investor, or a team who needs to hear this, share this episode with them because this is the kind of insight that can change how decisions get made before it becomes expensive.
- 5:46All right, that's my episode for today.
- 5:48I trust that you found it helpful, and until next time, I will see you next time.
