- 0:38whether Musk properly disclosed his purchases of Twitter stock

- 0:50Now, Musk's $44 billion deal to take Twitter private, now

- 1:26take Musk's testimony regarding the sequence of his Twitter
- 1:30stock acquisitions and whether his public communications were
- 1:34accurate and lawful. The central issue is whether
- 1:38Musk was transparent about his stock options and the timeline
- 1:42of his disclosures. Public company investors like
- 1:46Musk are required to disclose stock purchases after crossing a
- 1:505% threshold ownership. But the SEC suspects that Musk
- 1:56delayed his disclosure by at least 10 days.

- 2:05agreed on a date, September 10th of 2023.

- 2:11Musk on that day. However, mere hours before the
- 2:14testimony was set to begin, Musk's lawyer informed the SEC
- 2:18that Musk had to urgently travel to the East Coast for the launch
- 2:23of Spacex's Polaris Dawn mission.
- 2:26This sudden change caught the SEC off guard, given the agency
- 2:30had already spent significant resources flying 3 attorneys to
- 2:33Los Angeles for this meeting of. The SEC pointed out in a court
- 2:38filing that Musk's escalation for missing the testimony was
- 2:42inaccurate, accusing him of engaging in gamesmanship.

- 3:17simply an unavoidable emergency. The SEC said that Musk should
- 3:23have notified them sooner rather than just three hours before the
- 3:27testimony, particularly because the SpaceX launch date had
- 3:31already been publicized. Now, the agency has expressed
- 3:34frustrations with Musk's actions, accusing him of
- 3:37deliberately delaying the investigation, which the SEC
- 3:41views as an attempt to obstruct the legal process now.
- 3:46As a result, the SEC is now pushing for meaningful
- 3:49conditional relief if Musk fails to appear for a newly agreed
- 3:53upon testimony date in early of October.
- 3:56The regulator has also signaled its intention to file a
- 3:59sanctions motion against Musk, and the SA CS filing states that
- 4:03it incurred thousands of dollars in travel costs when it's legal
- 4:07team flew to Los Angeles for the canceled testimony.

- 4:29parties had already agreed on a new date for the testimony.
- 4:33Now, according to Musk's legal team, the rescheduled date in
- 4:36October should resolve this matter and the SC CS pursuit of
- 4:40sanctions is excessive. Musk's attorney, Alex Spiro
- 4:44called the sanctions drastic and claimed the SE CS position
- 4:49discarded the fact that Musk's absence was due to an emergency
- 4:54the SpaceX mission launch, which according to Spiro could not be
- 4:58avoided without endangering astronauts lives.
- 5:02Now. Spiro also argued that Musk had
- 5:05complied with court orders in the past and that his failure to
- 5:08testify in November, sorry September 10th, was not a
- 5:12deliberate attempt to undermine the investigation.
- 5:15In the court filing, Spiro stated that there was no reason
- 5:18to believe such an emergency would reoccur and thus there was
- 5:22no need for further action from the court now.
- 5:25Musk's legal team maintained that his absence on the original
- 5:29testimony date was unintentional and it was caused by
- 5:32circumstances beyond his control.
