- David Ellison just officially closed the most significant consolidation deal of the decade, putting Paramount and Warner Bros. under one roof. Plus, the Emmys are abandoning broadcast television for a long-term home on streaming. --- Good morning and welcome to your Tuesday briefing — I am Kai Rivers bringing you Studio Signal, powered by Harkins Capital. Yesterday we touched on the executive chess pieces David Ellison was moving around his news divisions, but today, the entire board has been flipped. CNBC and TheWrap confirm that Skydance has formally closed its acquisition of Warner Bros. Discovery, bringing the Paramount and Warner empires under a single corporate umbrella. Ellison and co-chief executive Ynon Kreiz put out a memo declaring that the real work begins now. They are not kidding. If you work in physical production, theatrical distribution, or consumer products at either of these legacy studios, you are waking up today in a completely different reality. The scale of this consolidation is rare. You now have two of Hollywood’s most storied creative engines feeding into one balance sheet. Think about the intellectual property library alone: DC Comics, Harry Potter, Star Trek, Mission Impossible, HBO, and Yellowstone are now owned by the same parent company. The immediate business impact here will be felt in leverage. When this combined entity sits down to negotiate with theatrical exhibitors for screen counts, or with cable operators for carriage fees, they hold a commanding portion of the deck. But the most pressing challenge for Ellison is going to be untangling the direct-to-consumer strategy. Max and Paramount Plus are now siblings, and Wall Street will demand an answer very soon on whether they merge into a single super-app, bundle together, or if one platform gets sunset entirely. The era of the Big Five studios is shrinking right before our eyes, and the ripple effects on production volume and vendor contracts will dominate the conversation for the next twelve months. Pivoting to another structural shift in television, IndieWire reports that the Emmys are leaving broadcast networks entirely. Starting in twenty-twenty-seven, the awards show is moving to Amazon Prime Video in a six-year deal. For decades, the Emmys rotated between the big four networks — ABC, CBS, NBC, and Fox. That wheel is officially broken. Why does this matter to the executive suite? Because it proves that live, cultural event programming is no longer the foundational domain of linear television. We saw streaming take over live sports, but prestige awards shows were supposed to be the last anchor holding the broadcast bundle together. Amazon is stepping in here to essentially rent the entire television industry for one night a year to drive Prime subscriptions and retail engagement. Furthermore, live events provide premium, unskippable advertising inventory. By capturing the Emmys, Amazon secures a highly coveted ad-sales property to pitch to brands during the upfronts. The interesting wrinkle TechCrunch noted is that non-Prime subscribers will still be able to stream the broadcast. That tells you Amazon is treating this as top-of-funnel marketing. They want everyone in the door to see the spectacle, hoping viewers stick around to buy merchandise or sign up for a full subscription. For the TV Academy, it is a vital lifeline. Broadcast ratings for award shows have been sliding, and Amazon offers global reach paired with deep pockets for production. Let us transition into the Tech and AI Corner. The regulatory framework around artificial intelligence in production is tightening again. According to Cartoon Brew, SAG-AFTRA members are about to vote on a new TV Animation contract, and the central pillars of this deal are heavily focused on AI protections. Beyond the standard annual wage increases and improved residuals, the guild negotiated strict guardrails around how generative tools can be used in animated series. If you run a studio animation pipeline, this is critical compliance news. We have seen a rush of vendors pitching software for voice generation, lip-sync automation, and background character vocalizations. This new agreement draws a hard line, ensuring that production efficiencies do not come at the cost of unauthorized voice cloning or uncompensated digital replication of guild talent. It forces animation studios to build AI workflows that augment human performers rather than replace them. This sets a very clear precedent that will likely influence upcoming negotiations in video game voice acting and commercial dubbing. Let us check the tape and wrap things up with the markets. The S and P five hundred finished the session up roughly three-quarters of a percent, while the media and entertainment sector slightly underperformed the broader rally, closing just a fraction of a percent behind the index. Looking under the hood at the significant movers, we have some serious action over at AMC. Shares of the theater chain jumped over five percent, closing at two dollars and ninety-three cents. That spike is directly tied to news that crossed the wire this morning. AMC just announced the closing of a major refinancing package, securing nearly four billion dollars in new term loans and first lien notes. For a company that has battled a heavy debt load since the pandemic, restructuring nearly four billion dollars of obligations gives them vital breathing room. It pushes out their maturity dates and lowers immediate liquidity pressure, which is exactly what equity investors wanted to hear as we head into the fourth-quarter box office corridor. Outside of AMC, the rest of the major media names stayed relatively quiet, keeping within a percent or two of their opening bells. And that wraps the intelligence briefing for this Tuesday. I am Kai Rivers, and as always, thank you for sharing part of your morning with us. I will be back tomorrow morning.
