- Marcus: Welcome to VoraPrep Audio Office Hours. I’m Marcus. Emma: And I’m Emma. Today we’re tackling a topic that can feel like a compliance headache on the exam: how firms talk to the public. Marcus: That’s right. It all comes down to FINRA Rule 2210, which governs communications. The exam loves to test your ability to classify these communications correctly. Emma: It really does. You’ll see a scenario, maybe a rep sends an email to 25 clients, the marketing team puts up a blog post, and a salesperson messages a big institution. And the question is, who had to approve what, and when? Get it wrong, and it’s a violation. Marcus: And that’s the core dilemma. It seems complicated, but FINRA simplifies it by creating just three distinct categories. Your first job is to figure out which bucket any communication falls into. Emma: Okay, three buckets. Let’s start with the one that gets the most scrutiny. I’m guessing that’s the one sent to the most people? Marcus: Exactly. That’s called Retail Communication. The definition is very specific: any written communication that goes out to *more than 25 retail investors* within any 30-day period. Emma: More than 25. So 26 or more. And who exactly is a "retail investor"? Marcus: A retail investor is basically anyone who isn't an institutional investor. Think of it as the general investing public. Because this communication reaches such a wide audience, the rules are the strictest. Emma: And what does "strictest" mean in this context? Marcus: It means it requires principal pre-use approval. A qualified principal of the firm has to review and approve it *before* it goes out the door. Think of it like a billboard on the highway. You can’t just put it up and ask for forgiveness later. It has to be approved before the public ever sees it because the potential audience is so large. Emma: That makes sense. A blog post, an advertisement, the firm’s main website—those are all seen by a lot of people. So, what about the opposite? A much smaller group. Say I’m a rep and I email just a handful of my clients. Marcus: Now you're in the second bucket: Correspondence. The rule here is any written communication sent to *25 or fewer retail investors* within a 30-day period. Emma: Okay, so the magic number is 25. If the number of retail investors is 25 or less, it's correspondence. If it's 26 or more, it's retail communication. Marcus: Precisely. And because the audience is small and targeted, the approval requirement is different. It doesn't automatically require pre-use approval from a principal. Instead, the firm must have supervisory procedures in place, which could mean pre-approval or it could mean post-use review. The firm decides its own policy. Emma: So this is more like sending a personal letter. You don't need a federal commission to approve it before you mail it, but your firm still needs a system to make sure you're not saying anything you shouldn't. Marcus: That’s a perfect analogy. The firm is still responsible for supervision, but the mechanism is more flexible than for broad retail communications. Emma: Alright, that covers the public. But a lot of business happens between financial pros. What if the communication is *only* going to, say, a bank or a big insurance company? Marcus: That’s our third and final bucket: Institutional Communication. This is any communication that is distributed or made available *only* to institutional investors. Emma: And who counts as an institutional investor? I imagine it's a defined list. Marcus: It is. The source material gives us a clear list: banks, insurance companies, registered investment companies, registered investment advisers, government entities, big employee benefit plans, and QIBs—qualified institutional buyers. These are sophisticated entities who are presumed to understand the markets. Emma: So because the audience is sophisticated, the rules are more relaxed? Marcus: Correct. Like correspondence, institutional communication doesn't require principal pre-use approval. It’s subject to the firm’s supervisory and review procedures, which typically means a post-use review. The assumption is that these institutions can perform their own due diligence and don't need the same level of protection as the general public. Emma: Okay, the three buckets are clear. Retail, Correspondence, and Institutional. On the exam, when I see a scenario, what’s the mental checklist I should run through to get it right every time? Marcus: There's a simple, four-step process. First, and most importantly, identify the audience. Who is this message for? Is it for the public, a small group of clients, or only institutions? Everything else flows from this first step. Emma: So, audience first. Let's say I determine it's going to retail investors. What's step two? Marcus: Step two is to count them. How many unique retail investors will receive this communication within a 30-calendar-day period? Emma: And that count leads directly to step three, which is actually naming the category. Marcus: Exactly. If the count is more than 25, you categorize it as a retail communication. If it’s 25 or fewer, it’s correspondence. And if the audience in step one was exclusively institutional, it's an institutional communication. Emma: And once I have the category, step four is just applying the right approval rule. Marcus: That's it. Retail communication means principal pre-use approval. Correspondence and institutional communication mean the firm's supervisory procedures apply, whether that's pre- or post-use review. Emma: Let’s walk through one. The source material has a good example: a rep sends an email to 15 existing retail clients about a new bond. Marcus: Okay, let's apply the framework. Step one: Who is the audience? Emma: Fifteen existing retail clients. So, retail investors. Marcus: Step two: What’s the count? Emma: Fifteen. Marcus: Step three: What’s the category? Since 15 is 25 or fewer... Emma: It’s correspondence. Marcus: Perfect. And step four: What's the approval requirement? Emma: Since it's correspondence, it doesn’t automatically need pre-use approval. It just needs to be handled according to the firm’s own supervisory policy, which might be a spot-check after the fact. Marcus: You’ve got it. That’s the entire process. Emma: This framework seems solid, but I can already imagine the tricky ways this will be tested. What are the common traps people fall into? Marcus: The most common is messing up that number, 25. The exam will give you a scenario with exactly 25 retail investors. Remember, the threshold for retail communication is *more than* 25. So, 25 falls into the correspondence category. Emma: Right. 25 is correspondence. 26 is retail communication. That's a critical detail. What's another trap? Marcus: Assuming every communication needs a principal's sign-off beforehand. Many candidates just memorize "pre-use approval" but forget it only applies mandatorily to retail communication. For correspondence and institutional, the answer is about following the firm's written procedures, which allows for more flexibility. Emma: Okay, and I have a feeling they'll try to trick us on who counts as an "institutional investor." Marcus: They absolutely will. A question might describe a very wealthy, experienced individual investor. They sound sophisticated, but unless they meet the specific definition—like being a QIB or representing a listed entity like a bank or insurance company—they are still considered a retail investor for the purposes of this rule. Don't let "sophisticated" fool you. Emma: So, a high-net-worth doctor is still a retail investor. Got it. Any other pitfalls? Marcus: Forgetting the 30-day window. The count isn't per-email. If a rep sends an email to 15 clients on Monday and a different email to 15 *other* clients on Friday, that's 30 retail investors within a 30-day period. That entire series of communications just crossed the threshold into retail communication. Emma: Ah, so you have to aggregate the number of people reached over that month-long period. That's sneaky. Are there any rules that apply across the board, regardless of the category? Marcus: Yes, two very important ones. First, the content standard. All communications—no matter who they're for—must be fair, balanced, and not misleading. You can't lie or exaggerate to an institution any more than you can to a retail client. Emma: And the second universal rule? Marcus: Recordkeeping. All three types of communication must be kept for three years after their last use. And for the first two of those three years, they have to be in a readily accessible place. That three-year rule is a classic exam fact. Emma: Okay, let's try another one from the real world. What about a firm’s public Facebook post about the market? It's seen by thousands of followers. Marcus: Let's use the framework. Step one: Audience. It’s made available to the general public, which certainly includes retail investors. Step two: Count. It’s available to thousands, so definitely more than 25. Step three: Category. That makes it a retail communication. Step four: Approval. It needs principal pre-use approval. Emma: Simple enough. Now, what about a very targeted message? A rep sends a LinkedIn direct message to one portfolio manager at a hedge fund. Marcus: Okay, step one: Audience. A portfolio manager at a hedge fund almost certainly qualifies as an institutional investor. The communication is going *only* to them. That tells us right away this is an institutional communication. Therefore, it doesn't need pre-use approval but is subject to the firm's post-use review policies. Emma: This is starting to feel much more manageable. So if you had to boil this entire lesson down for exam day, what’s the final takeaway? Marcus: Know the magic number and what it means. More than 25 retail investors in 30 days is retail communication, which needs principal pre-use approval. 25 or fewer is correspondence, which is supervised per firm policy. And if it's only for institutions, it's institutional communication, also supervised per firm policy, usually with post-use review. Emma: And remember that all of them must be fair and balanced, and all of them must be kept for three years. Marcus: That’s the core of it. If you can apply that simple logic, you can handle any scenario the exam throws at you. Marcus: Of course, the best way to get comfortable with these rules is to practice them.
