- 0:38This is Scott Becker with the Becker's Healthcare
- 0:40Podcast.
- 0:41I I'm thrilled today to be joined by
- 0:43Alan Condon, editor in chief of Becker's Healthcare.
- 0:46He does an incredible job of following what
- 0:48is going on with systems in the country,
- 0:51with what's going on with finances in the
- 0:52country, and and a lot more.
- 0:55Alan, I'm gonna tee it up for you.
- 0:57Give us a couple quick stories of what
- 0:59you're watching on the finance side and in
- 1:01health care today.
- 1:03Yeah. Absolutely. So, Scott,
- 1:05I think a couple of stories that I
- 1:06wanted to focus on today,
- 1:08focus kinda heavily on the revenue cycle space.
- 1:12Just kinda picking up on a few really
- 1:14big deals that we've seen recently
- 1:16and what's coming down the pipeline. So I
- 1:19think first and foremost,
- 1:21to to kick things off here with Big
- 1:23Big Deal just announced a report of yesterday
- 1:25at Becker's,
- 1:26hospital view on our CFO newsletter, also in
- 1:29our revenue cycle newsletter.
- 1:30And that's Tenet Healthcare,
- 1:32big for profits, essentially regaining
- 1:35full control
- 1:36of its revenue cycle management subsidiary
- 1:39that's Conifer Health Solutions,
- 1:42as Carbon Spirit, huge huge nonprofit system as
- 1:45we know, exits that joint joint venture completely.
- 1:48So
- 1:49big, big deal. We've seen a lot of
- 1:50move in the Carbon Spirit,
- 1:53restructuring, focus on its core assets.
- 1:55It's offloading a couple hospitals with key assets,
- 1:58and this is, essentially, a next step in
- 2:00in what we're seeing coming down the pipeline
- 2:01in Coniferous Spirit from a strategy standpoint. So
- 2:04Coniferous Spirit is gonna pay just short just
- 2:07short of $1,900,000,000
- 2:10to tennis
- 2:11over the next three years,
- 2:13while Conifer will pay about $540,000,000
- 2:15to CommonSpirit,
- 2:17essentially acquiring its 24%
- 2:20minority
- 2:21stake in the company. So
- 2:23Conifer will continue to provide revenue cycle services
- 2:26to common spirit
- 2:28throughout the 2026,
- 2:29but then once January 1 comes into play,
- 2:32that that that that partnership will be dissolved.
- 2:34So
- 2:36Tenet, as we know, been been offloading hospitals
- 2:38for quite some time.
- 2:40Again, this will really take 100% equity control
- 2:43of its Conifer Health solution subsidiary,
- 2:46essentially
- 2:46giving you a greater flexibility to support the
- 2:49long term growth
- 2:50of Conifer Health,
- 2:52really looking to bolster it by expanding investments
- 2:55in AI, in automation,
- 2:57really bolstering, strengthening its global,
- 3:00operating
- 3:01capabilities.
- 3:01So I I think Tenet is quite interesting,
- 3:04and I believe last year, the year before,
- 3:07it had sold about 14 hospitals for substantial
- 3:10substantial
- 3:11returns.
- 3:12What's interesting
- 3:14about
- 3:14some of those those hospital sales on tenant
- 3:17side is that it has structured some of
- 3:19those deals in a way that
- 3:22Conifer
- 3:23becomes the provider or continues to be the
- 3:25provider of revenue cycle management services to the
- 3:28hospitals that it sells. So
- 3:30Orlando Health acquired
- 3:32a bunch of, tenants hospitals last year. Kind
- 3:34of for it turns out to be the
- 3:36the exclusive provider revenue cycle management services for
- 3:38those hospitals, so on and so forth.
- 3:41One big deal, not over yet, but I
- 3:43think just announced as reported recently, we're gonna
- 3:45tune into tenant's,
- 3:47fourth quarter earnings call, I believe, next week,
- 3:50which no doubt that'll be a huge sticking
- 3:53point, a huge talking point. We kinda pull
- 3:55out a little a few more details on
- 3:56that deal. But big, big deal in the
- 3:58revenue cycle management space that I wanted to
- 4:00call out there, Scott.
- 4:02No. That's fascinating. And what drives some of
- 4:04that? What drives this this this going on?
- 4:07Talk a bit about that because I do
- 4:08think it's fascinating, and and thank you. Tell
- 4:11us a bit about what drives this this
- 4:13conifer common spirit tenant thing. But it seems
- 4:15like partially, they probably did the deal originally.
- 4:17Common spirit gets part of it. Common spirit
- 4:20promises through the revenue cycle with them. Common
- 4:22spirit's no longer to do the revenue cycle
- 4:23with them. So now common spirit ends up
- 4:26selling back their shares in Conifer. Is there
- 4:28any more detail? I mean, that's how a
- 4:30lot of these deals tend to work. I
- 4:31don't have details on that deal specifically. But
- 4:34is there any information out there on how
- 4:35this deal why this is going on?
- 4:38Yeah. I mean, absolutely. I think a bit
- 4:41more detail will be coming out, no doubt
- 4:43in the common spirit earnings call, the investor
- 4:45call coming up, and the tennis investor call
- 4:47coming up. I think this deal was
- 4:50going back as early as 2032
- 4:53before the common spirit big merger was in
- 4:55place. A A ten year contract just got
- 4:57over the line. So I think, again, common
- 5:00spirit with that minority stake around about 24%
- 5:02in the overall company. But I think from
- 5:04a strategic standpoint,
- 5:06really, really smart move on on tenant's part
- 5:09as well.
- 5:10Huge, huge investment in the outpatient space, offloading
- 5:13a lot of the inpatient hospitals,
- 5:16and really focusing on outpatient growth, ASCs.
- 5:19No doubt,
- 5:20Conifer is a huge, huge,
- 5:22subsidiary that is looking to grow as well
- 5:24as revenue cycle becomes more prominent, as AI
- 5:26becomes more deeply integrated, deeply embedded across revenue
- 5:29cycle.
- 5:30So no doubt some really interesting things to
- 5:32come there, and we'll we'll be tuning in
- 5:34in the in the upcoming earnings call to
- 5:36put out some more details for our audience
- 5:37as well.
- 5:39But I I think it ties nicely into
- 5:42the kinda the the next story that I
- 5:43wanted to touch on, Scott, as well as
- 5:45as you're kind of staying on the revenue
- 5:46cycle trend here.
- 5:48Community Hospital Corporation, this is a hospital company
- 5:52headquartered in Texas.
- 5:54They just today have announced that they're launching
- 5:56their own revenue cycle management company specifically targeted
- 6:00at helping rural and community hospitals. Companies called
- 6:04Options RCM,
- 6:05again, offering the the full spectrum of technology
- 6:08and services across the entire revenue cycle to
- 6:10rural providers, community providers.
- 6:13Hospitals can choose to opt in for support
- 6:15with specific functions, or they can go full
- 6:18outsource, outsource the entire revenue cycle to this
- 6:21company.
- 6:22I think this is quite an interesting development
- 6:24there, but it seems to be a bit
- 6:25of an emerging trend as there is such
- 6:27a big gap in the market here for
- 6:29revenue cycle emerging companies to help
- 6:31rural hospitals and providers specifically,
- 6:35going back to the CEO and CFO roundtable
- 6:37in November here in Chicago,
- 6:39I had the pleasure of sitting down with
- 6:41Chris Harrison,
- 6:42former CFO who's recently been the CEO of
- 6:45Quorum Health. So just for for listeners who
- 6:48might be, as well acquainted with the system,
- 6:50Quorum Health is a for profit system headquartered
- 6:53in Tennessee
- 6:54that was spun out of community health systems,
- 6:57a couple years before the pandemic. So
- 7:00Chris seemed to see that this, this
- 7:03Quorum Health is launching their own
- 7:05rural hospital MSO
- 7:07focused on on on revenue cycle management as
- 7:10well. So huge, huge part of Coram Health's
- 7:12growth strategy,
- 7:14launching this rural
- 7:15rural hospital MSO
- 7:17revenue cycle management company. I think
- 7:20the the the wider question and the wider
- 7:22backdrop against all this is,
- 7:25I think with a big look at what
- 7:26CMS has done with that $50,000,000,000
- 7:29rural health transformation fund, that's drawn significant interest
- 7:33from
- 7:34consultants, from vendors. So I think we're seeing
- 7:37tenants big move taken back a 100 Conifer
- 7:40Community Hospital Corporation launched their own revenue cycle
- 7:43management company. Quorum Health also launching their own
- 7:45revenue cycle management company. Those two companies
- 7:48specifically focused on rural hospitals,
- 7:51community hospitals, rural providers.
- 7:53So really interesting developments in there. No doubt
- 7:56we see rural hospitals in dire need of
- 7:58some support in this in this way, shape,
- 8:00or form and significant area of growth for
- 8:02for some of these companies as well.
- 8:04It's literally a fascinating discussion because there's two
- 8:07things that overlap there. One, we're seeing a
- 8:10lot of different consulting firms and organizations
- 8:13trying to chase some of this money that's
- 8:15going into rural health care under this new
- 8:17act. So we're seeing a lot of that.
- 8:19I can't even believe the amount of discussions
- 8:21of people trying to chase those dollars. That's
- 8:23not good or bad. Just observation.
- 8:26Second is revenue cycle in our insane
- 8:29health care system
- 8:31remains a huge business area as five to
- 8:3310%
- 8:34of all dollars allocated to health care somehow
- 8:36or another flow through the revenue cycle providers,
- 8:39revenue cycle operators, and the revenue cycle. So
- 8:41it remains a huge business in so many
- 8:43different ways. Just absolutely fascinating.
- 8:46Alan, anything else you wanted to comment on
- 8:47there? I I find the stuff with,
- 8:50the Conifer stuff to be fascinating.
- 8:53Community Health Corp
- 8:55launching a revenue cycle business,
- 8:57Quorum Health, which at one point was a
- 8:59subsidiary of Community Health Systems back in the
- 9:01day, doing whatever they're doing in rural. Just
- 9:04fascinating to see these different activities and different
- 9:06initiatives aimed at where some of the dollars
- 9:08are flowing.
- 9:09Yeah. I think you hit the nail on
- 9:11the head. Not not too much to add,
- 9:12but I think just the backdrop of the
- 9:14$50,000,000,000 rural health transformation fund, I think you
- 9:17hit the nail on the head there, Scott.
- 9:19Just as the last comment from Chris, who
- 9:20I spoke to recently, the the CEO of
- 9:22Quorum Health again,
- 9:24said that his goal, I guess, with this
- 9:26MSO, that's revenue cycle management based targeting rural
- 9:29providers, wants to build something that's by rural
- 9:32providers, for rural providers
- 9:34before some of those outside entities with maybe
- 9:36less mission alignment
- 9:38end up dominating that space. So it kinda
- 9:40seems like a bit of a race to
- 9:41the to to kinda get this thing started
- 9:43at the moment with that, rural health transformation
- 9:45fund. A lot of folks chasing the dollars
- 9:47there. Great observation on your part. So certainly
- 9:49interesting to keep behind this space over the
- 9:51next couple of quarters.
- 9:53And certainly a lot of rural CEOs
- 9:56concern that the money's gonna get scattered to
- 9:58so many different places and not really help
- 10:00rural systems and rural health care. There's we've
- 10:03heard a lot of that as well, those
- 10:04concerns. So just absolutely fascinating. Yeah. I wanna
- 10:07I wanna thank you for joining us today
- 10:08on the Becker's healthcare podcast. Thank you so
- 10:10much. Scott, it always a pleasure. Thank you
- 10:13so much.
