- Hey, welcome to VoraPrep Audio. Glad you could join me. Let's talk about a situation that comes up all the time on the exam, and definitely in the real world if you're a principal. Imagine you walk in Monday morning. You've got three things on your desk: one of your best reps just got hit with a fifty-thousand-dollar civil judgment. Another one, a rising star, just got called to active military duty and has to ship out in two weeks. And you get an automated alert that a handful of your other reps are now past-due on their continuing education. All of this is your problem to solve, and the clock is ticking on all of it. This is the core of supervising your team—it’s not just about sales targets, it's about managing their registration, their status, their compliance. It’s the stuff that can get your firm, and them, in serious trouble if you get it wrong. So let’s break down how to handle all of it. Think of a registered person’s paperwork, their Form U4, as their professional passport. To work in this industry, you need one, and it has to be kept perfectly up to date. The Form U4 is that initial application to get registered with FINRA. It’s got their whole history—where they've worked, where they live, and crucially, any disciplinary or criminal background. But it’s not a one-and-done document. It's a living file. When things change, you, the principal, have to update it by filing an amendment. And this is where the exam loves to test you on timelines. There are two main clocks you need to know. Most updates get a 30-day window. So, a rep moves to a new apartment? You have 30 days to update their U4. That rep from our opening scenario, the one with the $50,000 civil judgment against them? That also falls under the 30-day rule. Liens, judgments, things like that—you’ve got about a month. But then there's a much faster clock for the really serious stuff. The 10-day rule. This is for things that could potentially get someone statutorily disqualified. We're talking about criminal charges or convictions, or major disciplinary actions from another regulator. If it’s one of those, you have only 10 days to get that U4 amendment filed. So, a key distinction for the test: civil judgments are typically 30 days; criminal issues are a much more urgent 10 days. Okay, so that's what happens while they work for you. What about when they leave? That's where the Form U5 comes in. The U5 is the Uniform Termination Notice. When a rep leaves your firm—whether they quit, get fired, or even pass away—the firm has to file a Form U5 within 30 days of their termination. You have to state why they left. Was it voluntary? Was it for cause? And here’s a huge point. Just because someone's U5 is filed and they've left your firm, it doesn't mean they're in the clear. FINRA retains jurisdiction over that person for two full years after the U5 is filed. Two years. That means if FINRA discovers that rep was involved in some shady business a year after they quit, they can still investigate and bring an action against them. That two-year window is a classic exam topic. It also means if they stay out of the industry for those two years, their registration lapses. They’d have to re-take their qualification exams to get back in. Now, let's talk about that rep who got called to active military duty. This is a special situation with its own rules. You don’t want to penalize someone for serving their country. So, when a registered person is called to active duty, the firm files a Form U5, just like any other termination. But you’d indicate the reason is "voluntary" and make a note about military service. This puts their registration into a special "inactive" status. It’s like hitting a pause button. While they are on active military duty, they are completely exempt from all continuing education requirements. Both kinds, which we'll get to in a second. They don't have to worry about it. Then, when they're discharged, they have 90 days to re-associate with a FINRA member firm—any firm—without having to re-qualify by taking their exams again. That 90-day window is tacked on *after* their service ends, and this benefit applies as long as their military service didn't go longer than five years. It's a way of protecting their career while they're away. So, speaking of that continuing education, or CE, that our military rep is exempt from... what is it exactly? It's broken into two parts. First, there's the Regulatory Element. This is administered by FINRA itself. It’s all about rules, regulations, and industry-wide updates. Think of it as the official, mandatory training you have to do to keep your license valid. You have to complete it within 120 days of the second anniversary of your initial registration, and then every three years after that. And the consequence for not doing it is severe. If you miss that deadline, you are immediately placed in inactive status. You cannot perform any registered duties. You can't even get paid for securities business. It's a hard stop. The only way to get back to active status is to complete the overdue training. So for those reps in our opening dilemma who are past due? They are effectively suspended until they get it done. The other part of CE is the Firm Element. This is your company's own training program. It has to be done annually, and the principal is responsible for making sure it's relevant. It’s tailored to your firm’s business. If your firm does a lot of options trading, your Firm Element training should probably cover options strategies and risks. It’s practical, job-specific training that you create and administer in-house. So, let's walk through our Monday morning problems again, step-by-step. First, the rep with the $50,000 civil judgment. What do you do? You identify the event. It's an update to their registration. You determine the form: Form U4 amendment. Then you check the urgency. Is it a criminal matter? No. So it falls under the 30-day rule. You have 30 days to file that update. Next, the rep called to active duty. You file a Form U5 within 30 days. You indicate it's voluntary and for military service. You let them know their CE is paused. And you remind them they'll have 90 days after discharge to rejoin a firm without re-testing, assuming their service is under five years. Finally, the reps overdue for their Regulatory Element CE. This is an immediate problem. You have to inform them they are now in inactive status. They must stop all registered activities right now. They can come back to work as soon as they complete the training, but not a minute before. See how each situation has a clear, rule-based path? The exam will test you on knowing which path to take. They'll mix up the timelines—confusing the 10-day U4 rule for criminal stuff with the 30-day rule for other updates. They'll definitely check if you know about FINRA's two-year jurisdiction after a U5 is filed. And they’ll want to see that you can distinguish the two types of CE and the big consequence of missing the Regulatory Element. Remember the two clocks: 10 days for serious events, 30 days for most others. Form U5 is for when someone leaves, filed within 30 days, and it kicks off that two-year period where FINRA can still take action. Military leave gets a special U5 filing, a CE exemption, and a 90-day window to come back. And for continuing education, the Regulatory Element is FINRA's, it's periodic, and missing it means you're inactive. The Firm Element is yours, it's annual, and it's tailored to your business. It seems like a lot of administrative detail, but it’s the bedrock of a well-run firm. Knowing these rules keeps you, your reps, and your clients protected. Alright, that's it for today. Keep up the great work. You've got this. I'll talk to you on the next one.
