- Hey, welcome to VoraPrep Audio. Glad you could tune in. Today we're talking about something that feels really fundamental when you're starting out: how you actually go out and get business. Prospecting, making calls, sending a thank-you gift. It seems simple, but the exam loves to test the little details here, because these rules are all about protecting the public and maintaining a level playing field. Getting this stuff right isn't just about passing the test; it's about building a career the right way, with integrity. Think of these rules like the rules of the road for your business development. They aren't there to stop you from getting where you want to go. They're the guardrails that keep you and everyone else safe on the journey. Let's start with the most common one: making calls. Telemarketing. The big piece of legislation you need to know is the Telephone Consumer Protection Act, or TCPA. This is what created the National Do Not Call Registry. You can think of this registry as a giant, nationwide "No Soliciting" sign. And as a representative, you and your firm are required to respect it. The rule is that your firm has to scrub its call list against the national registry at least every 31 days. Just tuck that number away: 31 days. Now, on top of the national list, your firm also has to maintain its own, internal Do Not Call list. This is just as important. If you call someone—even if they aren't on the national registry—and they say, "Hey, please don't call me again," that's it. Their number goes on your firm's internal list, and you can't call them anymore. Honoring that direct request is absolute. Then there's the clock. You can't just call people at midnight hoping to catch them. FINRA has a rule for this—Rule 3230. It sets specific calling hours for residences. You can only call between 8:00 AM and 9:00 PM. But here’s the critical part the exam will try to trip you up on: it’s the recipient's local time. So if you're in New York at 10 AM, you can't call someone in California, because it's only 7 AM there. You have to wait another hour. Of course, there are some exceptions. The main one is having an "Established Business Relationship," or what you'll see called an EBR. If a person has made a transaction with your firm or even just inquired about a product in the last 18 months, you generally have an EBR. This means you can call them even if they're on the National Do Not Call list. But—and please hear this—the EBR does *not* get you around the calling hours. The 8 AM to 9 PM window is non-negotiable. An EBR lets you knock on the door, but you still can't knock on it in the middle of the night. And one last thing on calls: whenever you call, you have to immediately state who you are, the name of your firm, and the purpose of your call. No mystery, no games. Just be upfront. Okay, so that's getting clients. What about keeping them, or thanking referral partners? This brings us to gifts and gratuities, which is covered by FINRA Rule 3220. The whole point of this rule is to prevent you from essentially bribing people for business. So, FINRA put a pretty clear line in the sand. The magic number is $100. A firm, or you as a rep, cannot give anything of value that's more than $100 per person, per year. This limit applies to anyone at another firm or institution you do business with. But, like with the calling rules, the exceptions are key. First, this $100 rule does *not* apply to gifts you give to people at your *own* firm. That's an internal HR thing, not a FINRA issue. Second, little promotional items don't count towards the limit. You know, a pen with the company logo, a calendar, a coffee mug. Stuff with nominal value is fine. The biggest exception, and the one you'll almost certainly see a question on, is for reasonable business entertainment. Let's say you want to take a client to a baseball game, and the tickets are $150 each. Is that a violation? Well, it depends. If you just mail the client the $150 ticket, yes, that's a gift, and it's over the $100 limit. Violation. But if you buy a ticket for yourself and a ticket for the client and you *go with them* to the game, it's considered business entertainment. And in that case, the $100 limit does not apply. The key is you have to be there. Your presence turns it from a gift into a business meeting, basically. And all of this is built on a foundation of trust, which is why FINRA Rule 3110 requires firms to do thorough background checks on anyone they hire. Before a rep can even start making calls, the firm needs to be sure they're bringing on someone with integrity. Okay, let's walk through a scenario, just like you might see on the exam. A rep makes two calls. The first is at 7:30 in the morning, their prospect's local time. The second is at 8:30 at night, local time. Both prospects are on the National Do Not Call list. But, the rep has an Established Business Relationship with the person they called at 7:30 AM. Which call is a violation? Let's break it down. The first call, at 7:30 AM. The time is the problem. It's outside the 8 AM to 9 PM window. It doesn't matter that there's an EBR. The calling hours are a hard and fast rule. So that's a violation. What about the second call, at 8:30 PM? The time is okay. It's within the window. But the person is on the National DNC list, and the scenario didn't mention an EBR. So, calling them is a DNC violation. The key takeaway is that an EBR fixes a DNC problem, but it never fixes a timing problem. Let's try one more, with the gift rule. A rep takes a client to a concert. The tickets are $150 each, and the rep goes with the client. Later that year, the rep sends that same client a holiday gift basket worth $75. Is there a violation? So, first, the concert. The rep attended, so that $150 ticket is business entertainment. It's exempt from the $100 limit. We don't even count it. Then, the gift basket. That *is* a gift. It's valued at $75. Is that over the annual limit of $100? Nope. It's totally fine. So in this case, there is no violation. The entertainment was exempt, and the actual gift was under the limit. See how breaking it down piece by piece makes it manageable? The clock is always ticking: 8 AM to 9 PM, their time. And for gifts, the number is $100 per person, per year, unless it's entertainment and you're there with them. These aren't just arbitrary rules. They’re about being a professional people can trust. You're doing great work just by putting in the time to listen to this. Keep it up. You've got this. Talk to you next time.
