- 0:00This is Scott Becker with the Beckers HealthCare
- 0:03podcast.
- 0:04We're thrilled today to be joined by Alan
- 0:07Condon.
- 0:08Alan is a remarkable
- 0:09leader and person.
- 0:11He joins us regularly to talk about
- 0:14the big financial stories in health care and
- 0:16what he's watching.
- 0:18Alan, let me tee it up and ask
- 0:20you to take it away. What are the
- 0:22couple of the key stories that you're watching
- 0:24currently?
- 0:25Yeah. Absolutely. Great to be back on with
- 0:27you, Scott.
- 0:28I think first and foremost, I'm gonna touch
- 0:30on a a big health care merger acquisition
- 0:32that we've been following for quite some time
- 0:34and then maybe turn to something a little
- 0:36bit more on the for profit,
- 0:38health system financial side as well. So I
- 0:40think one
- 0:42mergers
- 0:43that we've been following for quite some time,
- 0:45relatively small,
- 0:47but interesting given the parties, the major players
- 0:50involved, and that's that's Union Hospital or Union
- 0:53Health, I should say, in Terre Haute Indiana
- 0:55and Terre Haute Regional Hospital.
- 0:57That that hospital is actually part of HCA
- 1:00Healthcare, but this was a merger that had
- 1:02been
- 1:03a lot of back and forth,
- 1:05on both sides, opposition from state regulators,
- 1:08some in favor at the local level. This
- 1:11has just got over the finish line as
- 1:13of December 13 following,
- 1:15a really lengthy review process that actually included
- 1:19the withdrawal
- 1:21and the resubmission
- 1:22of this, merger application to eventually get over
- 1:25the line. So,
- 1:26Union Health essentially has acquired all assets of
- 1:29Terre Haute Regional again in Indiana. That's the
- 1:32hospital owned and operated by HCA Healthcare.
- 1:36And that merged health system in Indiana will
- 1:39now be regulated under the state's,
- 1:41COPPA or certificate of public advantage framework.
- 1:45What's interesting about this merger is Union Health
- 1:48had actually withdrew
- 1:50their COPE application
- 1:52in November
- 1:532024.
- 1:54This is about a week before
- 1:56the state was set to make a final
- 1:58decision on the transaction.
- 2:00The health system then resubmitted
- 2:03that COPE application
- 2:05two or three months later under the new
- 2:06administration, the second term of president Donald Trump.
- 2:10And then a couple months down the line,
- 2:12we've we've got we've gotten to a point
- 2:13where this where this merger has actually been
- 2:15closed, squared away by state regulators.
- 2:19No doubt that the president Donald Trump taking
- 2:22arguably a less strict, less stringent stands
- 2:25on some antitrust,
- 2:26anticompetitive concerns and mergers and acquisitions
- 2:29across industries,
- 2:31including health care. So
- 2:33something that,
- 2:34an interest in merger given the the the
- 2:36operators, HCA Healthcare, a for profit largest system
- 2:39in the country,
- 2:40merger in that Indiana at the local level,
- 2:42and then also the the COPA statute, the
- 2:45COPA application has another layer of complexity into
- 2:47this merger.
- 2:49But, again, long, long process just got over
- 2:51the line.
- 2:52The FTC,
- 2:53this the Indiana attorney general both formally up
- 2:56opposed this transaction,
- 2:58citing some concerns around market competition, rising costs,
- 3:01and whatnot. But despite that regulatory opposition,
- 3:04local sentiment really leaned in favor of this
- 3:07merger.
- 3:08Recent town hall, really kinda 65% of folks
- 3:11really in favor of this merger,
- 3:13and, again, just over the line as of
- 3:15December 13. So small but certainly substantial,
- 3:19transaction that we've been following for some for
- 3:21quite some time.
- 3:23And give us a a broader update on
- 3:25mergers and acquisitions.
- 3:27Are are people expecting next year to be
- 3:29a busier year for mergers and acquisitions,
- 3:31or or how are people thinking about that
- 3:33and looking at that?
- 3:35I think that's a that's a great question,
- 3:36something on top of all the health care
- 3:38leaders' minds. I think
- 3:40we're likely to see in 2026
- 3:42kind of a carry on or pick up
- 3:43on some of the momentum that we've seen
- 3:45in in recent quarters of this year, again,
- 3:47under under president Trump's,
- 3:49administration. I think we're seeing mergers and acquisitions
- 3:52pick up steam really through a variety of
- 3:54factors. I think, number one, we're still seeing
- 3:57quite a number of independent hospitals, health systems
- 3:59that are still struggling there. Maybe they might
- 4:01be might be pursuing a traditional merger and
- 4:04acquisition, but certainly joint ventures, strategic partnerships,
- 4:07new types of affiliations
- 4:09with larger systems.
- 4:10Certainly, we'll we're expected to see next year,
- 4:13I think, on the community hospital front, on
- 4:15the academic medical center front, a lot more
- 4:17academic systems are snapping up some of those
- 4:20community hospitals, critical access hospitals in their markets
- 4:23and regions. And then again, we we've seen
- 4:26a big pickup in terms of large
- 4:29cross regional, cross market health system mergers in
- 4:32the last couple of years. I think just
- 4:35noted notably in what we've seen in close
- 4:37this year, we look at Nuvance Health and
- 4:39Northwell Health in Connecticut, New York. We look
- 4:42at Sanford Health and Marshfield Clinic.
- 4:45A couple of those big cross merge at
- 4:47we expect to see
- 4:49increase, maybe a higher level, excuse me, next
- 4:52year than what we've seen in the past.
- 4:54Again, we we've moved out of pandemic is
- 4:57kind of way in the rearview mirror now.
- 4:58We've kinda seen a slow rebound, a slow
- 5:01return to some of these m and a
- 5:02levels. But I think to your point, Scott,
- 5:05still seeing,
- 5:06no doubt a lot of financial challenges around
- 5:0835%
- 5:09of hospitals on the nonprofit side still
- 5:12eking up towards the breakeven level, still operating
- 5:15slightly in the red.
- 5:17When we look at the challenges coming down
- 5:18the pipeline next year in terms of potential
- 5:20Medicaid cost that we know are coming into
- 5:22effect late twenty twenty six, 2027,
- 5:25ACA subsidies, still a lot of challenges there,
- 5:27which are no doubt gonna drive
- 5:29some of those hospitals that are still struggling
- 5:32to turn somewhat of a corner to look
- 5:33at some of those, mergers, acquisitions, or other
- 5:35type of strategic partnerships with those,
- 5:38larger houses and larger entities with a little
- 5:40bit more financial strength behind them, I think.
- 5:43Thank you. And are there other key stories?
- 5:46We're watching this merger. We're watching sort of
- 5:48the overview of things for 2026.
- 5:51Any other key stories that you're following currently,
- 5:54Alan, that you wanted to touch on?
- 5:56Yeah. I think,
- 5:57h so I think we we touched recently
- 5:59on HCA real banner year in terms of
- 6:01that stock price. I think really should call
- 6:04out Tennant Healthcare
- 6:05as well in line with this. In terms
- 6:07of two of the country's largest
- 6:10for profit health systems,
- 6:11Tenet's based in in in Dallas, Texas, HCA
- 6:15headquartered in Tennessee, Tenet around about 50 acute
- 6:18care hospitals across The States at the moment.
- 6:21No doubt heavily leaned into its its outpatient
- 6:24growth, its ambulatory
- 6:26arm, with USPI,
- 6:27also its revenue cycle business in Conifer Health
- 6:29Solutions. HCA still has substantial
- 6:32acute care hospital footprint around about a 190
- 6:35hospitals. We just talked about one merger in
- 6:37Indiana that HCA was involved in there. But
- 6:40both of these health systems, slightly different strategies,
- 6:43but really,
- 6:44fantastic
- 6:45milestone years in terms of investor confidence, in
- 6:48terms of all time they both hit all
- 6:50time record high stock prices for both of
- 6:53their respective businesses in in late November.
- 6:56We touched a little bit on HCA, which
- 6:58is to talk about Tenet.
- 7:00Tenet's really refined its portfolio transformation over the
- 7:03last couple of years. In 2024,
- 7:05it sold, I believe, 14
- 7:07hospitals in really,
- 7:09really growing markets.
- 7:12And and those 14 hospital sales, it collected
- 7:14about almost $5,000,000,000
- 7:16in revenue from those sales,
- 7:18combined last year. At the same time, Tenet's
- 7:21been pumping and investing money into its, its
- 7:24ASC platform in USPI,
- 7:27spending about $250,000,000,000
- 7:29per quarter, I believe, on the de novo
- 7:31acquisitions,
- 7:32bills, ASC,
- 7:35ASC investments across the board there. And just
- 7:37to give you a sense of Kenneth's makeup
- 7:40now, he said around about 50 acute care
- 7:43hospitals in his portfolio. But when you look
- 7:45at the the size and the scale of
- 7:47u s p USPI, the number one ASC
- 7:50chain in the country, USPI has ownership interest
- 7:53in more than 530
- 7:55ASCs across the country,
- 7:5826 surgical hop hospitals. So really continuing to
- 8:01invest, continuing to build and grow USPI while
- 8:04selectively,
- 8:05divesting some some of its hospital assets in
- 8:08certain markets. And that's no doubt paid paid
- 8:10real dividends for Wall Street in terms of
- 8:13its investors.
- 8:14Hit a record high stock price of $218
- 8:17in the November,
- 8:19similar to its for profit competitor, HCA. But,
- 8:22really, both tennis and HCA continue to deliver
- 8:25some of the strongest returns
- 8:27in the hospital sector. I think investors no
- 8:30doubt rewarding
- 8:31operators of per scale with strategic discipline,
- 8:35whether that's through divestitures,
- 8:37outpatient growth, or some targeted acquisition. So just
- 8:40a a quick update on just the the
- 8:42progress and the leadership and just the the
- 8:44financial performance of those big for profit operators
- 8:48in HCA and Tenet Healthcare has been impressive
- 8:50in 2025.
- 8:52It's amazing. I saw that HCA hit a
- 8:53new all time record high for its its
- 8:56market cap, its stock.
- 8:57Tenet really has transformed itself over the last
- 9:00decade from a hospital chain to as much
- 9:02an outpatient chain. Amazing what they have done.
- 9:05Alan,
- 9:06I wanna take a moment to thank you
- 9:08for all of your contributions.
- 9:10Just a remarkable leader at Beckers Health Care.
- 9:12Allen Condon, thank you for joining us today
- 9:14on the Beckers Health Care podcast.
