- 0:13I'm your host will Walden, Tesla CEO Elon Musk's $46 billion
- 0:18stock options package faces a critical vote at the company's
- 0:22annual shareholder meeting. Investors are deeply divided,
- 0:26with some arguing that the compensation is excessive and
- 0:30indicative of poor governance, while others, particularly small
- 0:34retail shareholders, have already expressed their support
- 0:37for Musk. Now, at a recent meeting of
- 0:40Tesla investors, including New York City Comptroller Brad
- 0:43Lander, arguments were made against ratifying Musk's 2018
- 0:47pay package again. Lander, whose office manages
- 0:49$271 billion in assets across five New York City retirement
- 0:55funds, criticized the Tesla board for failing to provide
- 0:58independent governments for shareholders now.
- 1:02Lander noted that the NYC retirement funds hold 3.4
- 1:06billion Tesla shares valued at approximately $672 million.
- 1:12He declared that the funds would vote against Musk's pay and the
- 1:16re election of board members. Kimball Musk, who's Elon Musk's
- 1:20brother, and James Murdoch, citing conflicts of interest.
- 1:24Now, this vote is not a referendum on Elon Musk as CEO.
- 1:28He is a visionary whose role in Tesla has been critical.
- 1:31But independent shareholder governance must ensure
- 1:34reasonable pay package. This pay package is not
- 1:38reasonable, they said now. Tesla did not immediately
- 1:42respond to requests for comments.
- 1:43The company's compensation package for Musk was nullified
- 1:46in January by a Delaware Chancery Court judge, who cited
- 1:50the lack of independence in the board's process and improper
- 1:54negotiation of the deal. Now, following the ruling, Musk
- 1:57announced plans to relocate Tesla's headquarters from
- 2:00Delaware to Texas, aiming for more favorable judicial
- 2:04treatment. The Tesla board is now asking
- 2:07investors to reapprove Musk's pay and the move to Texas, and
- 2:11shareholder advisory firms Glass Lewis and Institutional
- 2:15Shareholder Services have recommended voting against the
- 2:18pay package. Lander argued that Tesla lacks a
- 2:21full time CEO focused solely on the EV makers growth.
- 2:24He criticized Musk for being distracted by ventures like
- 2:28social media and other companies including XXAI, SpaceX,
- 2:32Neuralink and the Boring Company.
- 2:35Ivan Frischberg, chief sustainability officer of
- 2:39Amalgamated Bank, echoed these concerns, noting Musk's
- 2:44distractions and significant challenges for Tesla, including
- 2:47global competition, development delays and labor disputes.
- 2:51Frischberg mentioned that 2 corporate directors resigned,
- 2:54citing board reference to Elon Musk at Frisburg's bank, whose
- 2:59clients hold 600,000. Tesla shares plans to vote
- 3:02against the re election of Kimball, Musk and Murdoch due to
- 3:05the lack of board independence. Lander warned that Musk's pay
- 3:08issues could have broader impacts on capital markets.
- 3:11Emphasizing the need for independent oversight, Lander
- 3:15said when billionaires are allowed to flout the rules,
- 3:18normal people suffer. The billionaire can't have his
- 3:22brother and friends decide on governance rules.
- 3:25Lander expressed frustration at not being able to get a response
- 3:28from the Tesla board, describing Musk's pay package as
- 3:32outrageously large and insufficiently governed.
- 3:36Now, Maryland Comptroller Brooke Lierman added her concerns about
- 3:40Tesla's workforce management and the board's inattention to human
- 3:44capital, presenting these as risks for shareholders to
- 3:47consider them voting. She said to succeed, Tesla needs
- 3:50a management team that is on the ball, urging for an effective
- 3:54board that can stand up to the CEO when necessary.
- 3:57Contrastingly, major investor Ron Baron, founder of Baron
- 4:01Capital, supports Musk's pay package, emphasizes Musk
- 4:05critical role in Tesla's success over the years.
- 4:08Baron highlighted Musk's relentless Dr. and commitment,
- 4:11including sleeping on the factory floor during difficult
- 4:14production periods. In 2018, Tesla's compensation
- 4:17package granted Musk the option to purchase 304,000,000 shares
- 4:21at $23.34 each, contingent on meeting challenging milestones.
- 4:26Nearly 75% of shareholders initially approved this package.
- 4:31Despite achieving all of the milestones, the Delaware court
- 4:35invalidated the package due to the flawed approval process.
- 4:39Tesla is now seeking a re ratification of the package and
- 4:43approval for moving its incorporation to Texas ahead of
- 4:47the annual meeting on June 13th. Now the proposed compensation,
- 4:51potentially the largest for AUS executive, was worth $56 billion
- 4:56at its peak and is currently valued at $46 billion.
- 5:00And several funds represented by Lander will vote against it,
- 5:03along with the re election of Kimble, Musk and Murdoch, of
- 5:06course. And Musk has been lobbying
- 5:08shareholders through social media, factory tours and by
- 5:11attacking critics of his pay package.
- 5:14Proxy firms like Glass Lewis and Institutional Shareholder
- 5:17Services have recommended voting against it, citing the excessive
- 5:20size and dilution of shareholder value.
- 5:24Now miss Musk's aggressive push for the compensation package.
- 5:27Tesla faces declining sales, increased competition and
- 5:30internal challenges, including layoffs and aging vehicle
- 5:34models. Musk argues he needs a
- 5:36significant stake to drive Tesla's future in AI and
- 5:39robotics, and his demands for greater control, coupled with
- 5:42threats to spin out Tesla's AI work if his demands aren't met,
- 5:46have heightened the stakes. And despite shareholder
- 5:49concerns, Musk's influence remains strong, particularly
- 5:53among retail investors. The stock is heavily held by
- 5:56retail investors, comprising 44% of his total shares, the highest
- 6:01among the top ten S&P 500 companies.
- 6:04This demographic has shown strong support for Musk,
- 6:06influenced by his public appeals and promises of continued value
- 6:11creation. Now, Tesla is rallying support
- 6:14through its website, votetesla.com, urging
- 6:17shareholders to recognize the value that Musk has created and
- 6:21vote in favor of the compensation package.
- 6:23Early voting indicates significant support for Musk
- 6:26among retail shareholders. However, regardless of the June
- 6:3013th vote outcome, the compensation issue is far from
- 6:34over. Shareholders will vote, but any
- 6:36decision will likely serve as evidence in ongoing legal
- 6:40proceedings, which could extend for months now.
- 6:43Tesla reassured a Delaware judge that despite the proposed move
- 6:46to Texas, the company will continue to litigate the
- 6:49compensation case in Delaware. Meanwhile, shareholder lawsuits
- 6:54alleging insider trading and fiduciary breaches by Musk and
- 6:57the board are emerging. And as Tesla's annual meeting
- 7:01approaches, the debate over Musk's compensation package and
- 7:05corporate governance continues. Shareholders face crucial
- 7:08decisions that will impact the company's direction and
- 7:11governance structure, and the upcoming vote will reveal the
- 7:14extent of shareholder support for Musk's leadership and
- 7:17compensation. While some advocate for tighter
- 7:20governance in a full time CEO, others believe Musk's unique
- 7:25drive and vision are irreplaceable now.

- 7:31challenges facing Tesla right now, from internal management to
- 7:34external competition. And as the vote draws near, the
