- 0:11Welcome and thank you for joining me for Tax Break.
- 0:13This is a podcast about South African tax for South African
- 0:16tax professionals and practitioners.
- 0:19My name is Peter Pan Asian and in each episode I discussed
- 0:23aspect over recent development in South African tax.
- 0:26And I'll try to keep the episode short enough that you can listen
- 0:29to them whenever you've got a few minutes in your calendar.
- 0:33Before I start the episode, I would like to ask you to
- 0:35consider sending the link to this episode to one other person
- 0:40if you believe that they would also be interested in listening
- 0:43to the podcast. And by doing that, you would
- 0:47help me a lot to grow the listener base of the podcast
- 0:50even further. Now our topic for today is
- 0:55something that I think anyone who works in tax would, would be
- 0:59aware of that the tax law is often open for interpretation
- 1:05and that there could be some uncertainty.
- 1:08And once you start discussing some of these uncertainties or
- 1:11different interpretations with clients, they the responses
- 1:15often. But then we must get a tax
- 1:17ruling or let's get some sort of ruling to, to, to clarify that.
- 1:22Now, this is just my perception, but I would sort of put that
- 1:27comment into 3 categories. It would be these instances
- 1:31where the law is really unclear and you, you need definite
- 1:36guidance to, to get to, to know what the right interpretation
- 1:40would be. Would they at least know what's
- 1:43Archer's interpretation would be?
- 1:45Within that there's probably a subcategory where you've got
- 1:50interpretations that are quite aggressive, um, at you want to
- 1:57perhaps know whether that interpretation would, would be
- 2:02accepted or not. And then there's another
- 2:05category of of taxpayers who may Dave this idea about getting a
- 2:12tax ruling once they've realised, but something that
- 2:16they've done is perhaps more risky than than than they
- 2:19initially thought from an interpretation perspective.
- 2:22Now in the Tax Administration Act, the law clearly caters for
- 2:29for advanced tax rulings. We find that in Chapter 7 of the
- 2:34Tax Administration Act. And over the years I've helped
- 2:37quite a few clients to to to get these rulings.
- 2:41I think it's a very useful process to get certainty.
- 2:44It is not a, it's not a quick process, it's a very thorough
- 2:48process. And throughout the process you,
- 2:51you learn as to what influences such interpretations about
- 2:57certain matters. I think the reality is also that
- 3:01you, if you go into this process, you, you must prepare
- 3:05to perhaps not get the answer that you like.
- 3:08But if you look at it from the, the, the bigger picture
- 3:11perspective, that's really what you are after in the 1st place.
- 3:14To then have certainty, even if it is certainty that such
- 3:18follows the interpretation that that's not your preferred
- 3:21interpretation, but that is a, a, a viable interpretation on
- 3:27the lease. Now I think we can talk about
- 3:32the process and strategy and all those kind of things when when
- 3:36dealing with these rulings and where they fit in.
- 3:39What I would like to share with you today though, is a few
- 3:42pointers as to where some of these suggestions to get the
- 3:46ruling good fall flat. So the first one I would like to
- 3:51talk about relates to the fact that do do do apply for a ruling
- 3:56or or do for SAGE to be able to do to issue a ruling, the ruling
- 4:01must relate to a proposed transaction or the application
- 4:05must relate to a proposed transaction.
- 4:07So that term is defined in the law.
- 4:10It's a transaction that an applicant proposes to undertake
- 4:15but has not agreed to to undertake.
- 4:18So it's really something that you must not yet be committed to
- 4:22other than by way of an agreement that still subject to
- 4:25a suspensive condition or otherwise not binding.
- 4:28So as soon as you bound to do a transaction or you've already
- 4:31implemented the transaction, then you can't request an
- 4:35advanced tax ruling for that transaction because it's no
- 4:39longer a proposed transaction. They might be either mechanisms
- 4:43where you can still get Sasha's view, but it's not the advance
- 4:47tax rulings mechanism. Then the second aspect that you
- 4:52need to be aware of is that there are some areas that's not
- 4:56suitable for rulings. So Section 80 of the Tax
- 5:00Administration Act, specifically when it comes to interpretation
- 5:05of the law, states that such may reject drillings if their
- 5:08application involves the application of or the principal
- 5:13or the interpretation of a general anti avoidance
- 5:15provisions. So in other words, the GAR or a
- 5:18specific anti avoidance provision.
- 5:20So that might already sort of lead you in the direction to
- 5:25say, but if you're looking at these very aggressive
- 5:29structures, there could be a basis if if you're if your issue
- 5:34is really on, on the application of some of these anti avoidance
- 5:38rules, that may be a basis for such to to to not or to reject
- 5:42the, the, the the application SAT may also reject an
- 5:47application that requests them to rule on the substance of a
- 5:51transaction and completely disregard its form.
- 5:54In In addition to this, there is also a no rulings list that's
- 5:58artist published with some more aspects where they may reject
- 6:02rulings. Would like to maybe just dial
- 6:05out a few key ones that where there's often uncertainty, but
- 6:09they also appear on the new readings list.
- 6:11So if you look at it from an income tax perspective, we've
- 6:14got Section 24C allowances on there, your place of effective
- 6:18management, whether a CFC conducts business through a
- 6:22foreign business establishment, whether you P/E, a permanent
- 6:28establishment exists or not and they non donations tax and
- 6:32whether deemed donation arises or not.
- 6:34Those are few of the income tax aspects on this list.
- 6:38From a VAT perspective, there is also a few that questions that
- 6:44often arise that's on the rulings list.
- 6:47The one is whether someone is acting as an agent or a
- 6:50principal. The other one that's quite
- 6:53common is whether a supply is a single supply, it consists of
- 6:57multiple supplies or it's some sort of a composite supply.
- 7:00So on that side, may also not or may may reject your, your, your,
- 7:06your request. So I think it is worthwhile
- 7:09before you go down the route of applying for ruling, preparing
- 7:13all the documentation to make sure that whatever you're asking
- 7:16the ruling about is not on this list.
- 7:19And if it is to understand, is it something where the law or
- 7:24such is that they may reject it or is it something that would
- 7:27definitely be rejected? Then the last one I would like
- 7:31to highlight it's, it's not in the rules.
- 7:33And I think it's because it's not necessary for the rules to
- 7:36cater for that. But it is often a perception of,
- 7:38of, of taxpayers who raised the, the, the, the idea.
- 7:43And that's that if you get to a point where you apply the law,
- 7:48you get to an answer that you don't like or that you believe
- 7:50is unfair to then say, but let's apply for a ruling for a
- 7:56specific tax treatment. So actually essentially A ruling
- 7:59that would deviate from the law or grant you some, some law of
- 8:04your own. Now, unfortunately, that's not
- 8:07how this process works. So Sarah rules on the law as it
- 8:10stands and the interpretation of the law.
- 8:13So if you apply for a ruling, you must also provide an
- 8:18interpretation of the rules as it stands now to force to
- 8:23confirm or give a view on in the ruling, right.
- 8:29So a ruling is not a private ruling that sort of gives you a
- 8:34tax treatment outside of what the law says.
- 8:38I think we can probably have a, as I said, an episode on process
- 8:42etcetera. But today we only spoke about
- 8:45the potential obstacles. So to summarise a few of them
- 8:48that you need to be aware of, the transaction needs to be a
- 8:51proposed transaction. There are some aspects that's
- 8:55not suitable for rulings without may reject your application and
- 9:00you should go in with the correct expectation.
- 9:02You're not asking for a deviation from the law, you are
- 9:05asking about an interpretation of of the law.
- 9:09That's it for today's episode. If you've got any questions or
- 9:12comments, please send me an e-mail.
- 9:14My e-mail address is in the show notes.
- 9:16And just a reminder, as always, that nothing in this podcast is
- 9:21intended to be advice or tax advice.
- 9:24Until next time, goodbye.
