- Hey, welcome to VoraPrep Audio. Glad you could tune in. So, picture this. You just passed your Series 7. You're feeling great. Your manager comes over and says, "Alright, I want you to start calling some of our clients about a new municipal bond we have. And hey, you'll also be sitting in with a senior advisor on some private placement meetings." You're excited to get going, but then this little thought pops into your head… wait, do I need to be registered with the *state* to do this? That question isn't just a technicality. Getting it wrong is a really big deal for you and your firm. And that's exactly what we're going to clear up today: who exactly is an 'agent' under state securities law, also known as the Uniform Securities Act. Think of it like this. The state regulators want to keep a close eye on anyone who is actively trying to sell securities to the public. They're not as worried about the person in the back office just processing paperwork. It's the person on the front lines, the one influencing investment decisions, that they want to have on their list. That person is what the law calls an 'agent'. So, let's get into the official definition. The Uniform Securities Act, or USA, says an agent is any *individual*—so, a real person, not a company—who represents a broker-dealer or an issuer in trying to make a securities sale happen. There are two huge pieces to that definition. First, who do you work for? A broker-dealer, or an issuer? And second, what are you doing? Are you "effecting or attempting to effect purchases or sales"? That phrase is key. It's not just about closing the deal. It includes soliciting, taking orders, even just offering to sell something. If you're in the conversation to make a transaction happen, you're probably in that zone. Now, the rules for being an agent are totally different depending on whether you work for a broker-dealer or an issuer. This is the first question you have to ask on the exam. Who is the employer? Let’s start with the easier one: representing a broker-dealer. If you work for a brokerage firm and you have any role in the sales process with the public, you're almost certainly an agent and you need to register. It's that simple. Think about it. The whole point of a broker-dealer is to buy and sell securities. So, if you work there and you're helping with that, the state wants to know who you are. There are only a few, very narrow situations where you wouldn't be an agent for a broker-dealer. For instance, if your job is purely clerical or ministerial. You're an administrative assistant, you answer the phone and say "please hold," you process the paperwork *after* the sale is done. You're not talking to clients about whether they should buy or sell. You're not an agent. You're also not an agent if you're a broker-dealer employee who *only* deals with other industry pros, like issuers or other broker-dealers. And there's a little exception for when you're dealing with an existing client who just happens to be on vacation or temporarily in another state. But that's it. If you talk to regular retail clients in your state about buying or selling securities for a broker-dealer… you're an agent. Okay, now let's switch gears. What if you represent an *issuer*? An issuer is the company or entity that's actually creating the security. Think Apple issuing new stock, or the U.S. Treasury issuing a bond. Here, the rules have a lot more exceptions. The law basically says, "Okay, if you're just an employee of the company helping it raise capital in certain specific ways, maybe you don't need to go through the whole registration process." So, when are you *not* an agent for an issuer? There are two big categories of exceptions. It depends on either the security you're selling or the transaction you're doing. First, you're not an agent if you represent an issuer in a sale of certain *exempt securities*. These are generally very safe or highly regulated securities. We're talking about things like U.S. government securities, municipal bonds, securities issued by Canada, or by banks and savings institutions. So if you work for the U.S. Treasury and your job is to help sell T-bills, you are not an agent. But—and this is a huge exam trap—this only works if you're representing the *issuer*. If you work for Merrill Lynch, a broker-dealer, and you sell that same T-bill to a client? You are absolutely an agent. The security is exempt from registration, but *you* are not. The exclusion is about who you work for. The second big bucket of exclusions for issuer employees involves *exempt transactions*. You're not an agent if you represent an issuer in, say, a sale to an underwriter. Or in transactions with big financial institutions like banks, insurance companies, or pension funds. The idea is that these big players can fend for themselves. Another major exempt transaction is a private placement. If you're helping your startup company raise money from a small group of people—the rule says no more than 10 non-institutional investors in a 12-month period—you're not considered an agent. And finally, there's a big one for employees. If you work for an issuer and you're involved in transactions with fellow employees, partners, or directors in connection with a benefit plan, like a stock purchase plan, you're not an agent… *if*… and this is a critical 'if'… you don't get paid a commission for soliciting them. If your salary includes a bonus for how many coworkers you sign up, you're an agent. If you're just helping them fill out the forms as part of your regular HR-type duties, you're not. So let’s walk through it. To figure this out on the exam, you have a simple process. Step one: Who does the person work for? A broker-dealer or an issuer? Let’s go back to our new associate. She works for a regional broker-dealer. Okay, we're on the broker-dealer path. Step two: What is she doing? She's calling existing clients about new bonds and taking indications of interest. That's definitely "attempting to effect a sale." She's also helping a senior advisor with private placements. Again, part of the sales process. Step three: Do any of the broker-dealer exclusions apply? Is her work just clerical? No. Is she only dealing with other broker-dealers or issuers? No, she's calling clients. Are they just clients on vacation? No. So, she's an agent. She must be registered in the state before she makes those calls. Simple as that. Now, what if she worked for the *issuer* of that private placement instead? Let's say it's a tech startup. Step one: She works for an issuer. Step two: She's selling its securities. Step three, we check the issuer exclusions. Is this an exempt transaction? Yes, a private placement to wealthy individuals likely qualifies. As long as they're not offering it to more than 10 non-institutional folks and she isn't getting a specific commission for doing it, she would *not* be considered an agent in that scenario. See how much the answer changes based on who the employer is? That's the main thing to keep straight. The issuer exclusions are much wider. The broker-dealer ones are tiny. One more trap to watch for is "federal covered securities"—things like mutual funds or stocks on the New York Stock Exchange. These securities don't have to register with the state. But the *person* selling them for a broker-dealer absolutely does. Don't confuse the security's registration status with the agent's registration requirement. Alright, let's try a quick scenario. A guy named John works for ABC Mutual Fund, the issuer. He calls existing shareholders to help them set up automatic reinvestment plans. He gets a salary, no commissions. Is John an agent? Probably not. He represents an issuer, but his activity sounds more ministerial. He's not soliciting *new* sales for a commission; he's servicing existing accounts. He falls outside the definition. Okay, one more. Sarah works for XYZ Brokerage. She calls potential new clients, explains different stocks and bonds, and takes their first orders. She gets paid based on the business she brings in. Is Sarah an agent? Yes. 100 percent. She represents a broker-dealer, she's attempting to effect sales, and she's compensated for it. None of the exclusions apply. She needs to be registered. If you're finding these distinctions tricky, and want to drill them with more practice questions, that's exactly what VoraPrep is for. It's a full exam-prep app with lessons, thousands of questions, and even an AI tutor to help you work through these concepts. You can get started and try it out at Vora Prep dot com. So, the big takeaway here is really a two-part question you should ask yourself every time. One: who is the employer—broker-dealer or issuer? And two: what is the activity? If the answer is "a broker-dealer" and the activity involves talking to the public about sales, the person is an agent. End of story. If the answer is "an issuer," then you have to look closer at the type of security and the type of transaction to see if one of those special exclusions applies. You've got this. Keep breaking these concepts down into simple questions, and you'll see the logic every time. Thanks for listening, and I'll see you on the next one.
