- 0:08- The variables are constantly shifting, and the stakes
- 0:11- of getting a call wrong don't stay contained.
- 0:14- That's not a complaint. It's a structural reality.
- 0:17- And it's why the most effective c suite

- 0:50- This is Scott Becker with the Becker's Healthcare
- 0:53- Podcast.
- 0:54- I'm thrilled today to join me, Alon Condon.
- 0:57- Alan is one of the leaders. He's the
- 0:59- editor in chief of the editorial team at
- 1:01- Becker's Healthcare.
- 1:03- Tremendous leader. Covers a lot around finances of
- 1:06- health systems and what's going on in that
- 1:08- world.
- 1:09- Alan, take it away.
- 1:11- What are a couple of stories that you're
- 1:12- watching currently,
- 1:14- in in health care and health system finance?
- 1:17- Yeah. Absolutely. So I think,
- 1:20- Fugitive kind of cover a ton of relief,
- 1:23- big big transactions, mergers, acquisitions. And let it
- 1:26- seems like this year, there it's not a
- 1:27- week that goes by or there's not another
- 1:29- big health system transaction in this space. So
- 1:32- just to quickly surface one of these that
- 1:34- we just covered yesterday and then move on
- 1:35- to maybe a broad broader wider look at
- 1:37- how health system hostile finances are stacking up
- 1:40- currently.
- 1:41- But I think, first and foremost, I think
- 1:42- a really interesting deal
- 1:44- that we just covered on Becker's to this
- 1:46- morning, and that's
- 1:48- UW Health in Madison, Wisconsin. Academic health system,
- 1:52- I believe they operate
- 1:54- seven hospitals across Wisconsin
- 1:57- and Northern Illinois.
- 1:58- Just, planning to acquire
- 2:01- a Marshfield
- 2:01- Clinic hospital. Marshfield Clinic, of course,
- 2:05- acquired under the Sanford Health umbrella in a
- 2:08- big, big merger last year.
- 2:10- This is the first hospital sale that Sanford
- 2:13- Health has done in quite some time.
- 2:15- Now, of course, a huge, huge
- 2:17- nonprofit integrated 56 hospital system,
- 2:21- operating in multiple multiple states,
- 2:23- offloading one particular hospital as part of Marshfield
- 2:26- Clinic,
- 2:28- to UW Health. Not over the line yet.
- 2:30- Still, of course, some regular hurdles and clearances
- 2:32- to come, but an exciting deal for UW
- 2:35- Health to expand and grow its presence in
- 2:37- Wisconsin
- 2:38- and an interesting deal for Sanford Health to
- 2:40- upload one of those hospitals that did come
- 2:42- under the Sanford Health system umbrella through that
- 2:46- Marshfield Clinic,
- 2:48- integration last year. I think, just to kinda
- 2:51- pull another note or two out of Sanford
- 2:53- Health,
- 2:54- one one hospital say I'll come into the
- 2:55- works there, but it also, just two months
- 2:58- ago,
- 2:59- signed a definitive agreement to acquire North Memorial
- 3:03- Health System. Now that's a two hospital system
- 3:05- in Minnesota.
- 3:07- So Sanford Health no doubt has some big,
- 3:09- big, plans to grow within the Midwest.
- 3:13- Minnesota, a key market that it that it
- 3:15- really wants to expand and grow into there.
- 3:17- And then on the other side of that
- 3:19- deal, just to kinda focus on UW Health
- 3:21- and the trend that we're seeing across,
- 3:23- academic systems over the last kind of cup
- 3:25- two years or so. We're seeing,
- 3:27- I believe in this year alone, we reported
- 3:30- on
- 3:31- 32 or 33
- 3:33- academic health systems that have either acquired
- 3:37- or plan to acquire,
- 3:38- hospitals. Mostly, these are community hospitals,
- 3:41- rural or safety net hospitals that that are
- 3:44- they're somewhat struggling looking for a larger health
- 3:46- system partner, and academic health systems are really
- 3:49- stepping up to the fold here. And just
- 3:51- over the last couple of months or so,
- 3:53- we've seen UC San Diego Health acquire hospital,
- 3:56- Hackensack Meridian Health in New Jersey looking to
- 3:58- do the same, UNC Health in North Carolina,
- 4:01- Allegheny Health Network in Pennsylvania, part of Highmark
- 4:04- Health. They just acquired two hospitals as well
- 4:06- last month. So really indicative of a wider
- 4:09- trend that we're seeing. Lot of financial challenges
- 4:11- by some small standalone hospitals and health systems,
- 4:14- academic systems with broad balance sheets, the operating
- 4:18- operate operating footprints, really stepping up and acquiring
- 4:20- some of these, financially struggling facilities, which is
- 4:23- quite interesting.
- 4:25- Fascinating. The Marshfield Clinic thing is a fascinating
- 4:27- thing. This Marshfield Clinic, for a very long
- 4:30- time, was one of the most respected names
- 4:32- in health care. And it just seems over
- 4:34- the last few years, trying to find their
- 4:36- footing in rural America
- 4:38- between Stanford and now back to University of
- 4:40- Wisconsin, a fascinating challenge in evolution, but a
- 4:42- great, great system. And and it'll be possible
- 4:44- to watch how that plays out over time.
- 4:47- You know, let me turn it back to
- 4:49- you. Anything else you're watching closely?
- 4:51- Yeah. Yeah. Absolutely. And I guess just to
- 4:53- kinda belabor that point one more bit deeper
- 4:55- to your point there, Scott, I think it's
- 4:57- really interesting. Just drawing a line between,
- 5:00- Sanford Health's acquisition of Mar Marshfield Clinic. Essentially,
- 5:03- they they called it the Marshfield Clinic region
- 5:06- of Sanford Health. Very, very similar
- 5:09- to what Sutter Health is looking to do
- 5:11- with Allina Health, essentially acquired its 12 hospital
- 5:14- system in Minnesota, moved across the country, and,
- 5:16- essentially, have that operate as the the the
- 5:18- Allina Health region of Sutter Health. That's a
- 5:21- really exciting deal that, a lot of folks
- 5:23- are watching and, somewhat similar in terms of
- 5:25- how,
- 5:26- how those are two those two deals will
- 5:28- be structured.
- 5:29- But just to jump to the other store
- 5:30- story, Scott, I guess, just kind of a
- 5:32- wider lay of the land, just kinda covering
- 5:35- the the the most recent Kaufman Hall,
- 5:38- National Hospital Flash Report kinda gives us a
- 5:41- a wider picture of what we're looking at
- 5:43- here as of, May 2026, the most recent
- 5:46- data which we have available.
- 5:47- And, essentially, we see,
- 5:49- nonprofit hospital margins on average dipped to 2.9%
- 5:55- as we saw expenses,
- 5:56- cost grow,
- 5:58- again, month over month as health systems really
- 6:01- strategically planning for care shifting and accelerating, it
- 6:04- seems like, for us at outpatient setting. So
- 6:07- Kaufman Hall noted that outpatient revenue has grown
- 6:10- year over year for the last several months.
- 6:13- Many health systems really looking to accelerate
- 6:15- proactively adapting their portfolios and operations to support
- 6:19- that future of US health care delivery. No
- 6:22- doubt it's something that we've seen happen for
- 6:24- quite some time. It's not a new trend
- 6:25- by any stretch of the imagination,
- 6:27- but certainly seems to be more of an
- 6:30- onus, in 2026
- 6:32- for health systems and hospitals to really accelerate
- 6:34- towards
- 6:36- implementing those outpatient footprints, moving care towards there.
- 6:39- We're seeing a big, big shift on the
- 6:41- ASC side, more complex complex procedures being able
- 6:44- to be done safely, effectively,
- 6:46- and the ASC, the CMS elimination of the
- 6:49- inpatient onlyness. All of these trends really kinda
- 6:51- coupling into each other to really accelerate,
- 6:55- the need for systems to make sure they've
- 6:56- got a robust outpatient footprint and really making
- 6:59- sure that care is, meeting folks where where
- 7:01- they are there. So just a couple of
- 7:02- quick notes in terms of,
- 7:04- key takeaways from the from the Kauffman High
- 7:06- report there.
- 7:07- Certainly interesting to see. Dip in margins,
- 7:10- no doubt to be expected given the financial
- 7:12- challenge we've seen. I think that's something that
- 7:14- we expect to continue, unfortunately, crude through q
- 7:17- three and q
- 7:19- four, but really, interesting to see, Kevin, again,
- 7:21- noting the the real need and,
- 7:24- for for systems to really accelerate
- 7:26- towards, that that outpatient revenue growth.
- 7:29- Thank you very, very much.
- 7:31- Fascinating as always.
- 7:34- Eoin, anything else you wanted to share today
- 7:36- that's top of mind?
- 7:38- I think one of our just kinda quick,
- 7:40- we love to kinda
- 7:41- take a lay of the land in terms
- 7:43- of what we're looking at in q two
- 7:45- just to kinda give readers and audience members
- 7:46- what's coming down the pipeline. We have the
- 7:48- big, big for profit health systems all reporting
- 7:51- their q two finances.
- 7:53- I believe beginning next week, we'll have HCA
- 7:56- health care, community health systems, Tenet health care,
- 7:59- universal health services as well. So no doubt
- 8:03- our finance team will be all over those.
- 8:04- I think, the nonprofit sector will really be
- 8:06- having a keen eye on what what the
- 8:08- executives and the leaders of those big four
- 8:10- profit systems have to say on those q
- 8:13- two earnings calls, particularly as it relates to
- 8:15- the ACA,
- 8:16- enrollment numbers, Medicaid, and whatnot. So, just a
- 8:20- a quick little teaser, I guess, for what's
- 8:22- coming down the pipeline, and, we'll be sure
- 8:24- to make sure keep our readers up to
- 8:25- date there, Scott.
- 8:26- Thank you so much.
- 8:28- As always, great to visit with you, Alan.
- 8:31- You're the best in the business. Thank you
- 8:32- so much for joining us. Thank you. Cheers,
- 8:35- Scott. Thanks so much.
