- 0:00SpaceX, led by Elon Musk, filed for a public offering targeting
- 0:03a $1.75 trillion valuation, merging its rocket operations
- 0:09with the artificial intelligence startup XAI.
- 0:12Yeah. And the offering they're calling
- 0:14a project Apex internally involves this massive
- 0:17underwriting syndicate of 21 banks, including Morgan Stanley
- 0:20and Goldman Sachs. But it it introduces this really
- 0:24unusual condition, forcing those exact banks to purchase AI
- 0:28subscriptions just to participate.
- 0:30So the question we are looking at today is why is a highly
- 0:33profitable launch provider absorbing a cash burning AI
- 0:37startup? And, you know, how does moving
- 0:39computing into orbit actually work?
- 0:41Right, because the math on the valuation it requires looking at
- 0:44the individual pieces of the company 1st.
- 0:45Which are huge on their own. Oh, absolutely.
- 0:47So we have the Starlink consumer broadband division, which is
- 0:50valued around $380 billion with a it's 9.2 million subscribers.
- 0:55And then there is the XAI segment, valued independently at
- 0:58$258 billion. But if you do the math on those
- 1:02individual segments and add them together along with the
- 1:05traditional launch business in the defense contracts, the total
- 1:09falls roughly 30% below that target IPO price.
- 1:13Yeah, there is a big gap there. Right.
- 1:15So investors are paying an enormous premium for the synergy
- 1:18of the combined entities. They are basically betting that
- 1:21fusing a rocket company with an artificial intelligence company
- 1:24creates something far more valuable than the sum of its
- 1:27parts. Well, you also have to factor in
- 1:29the current XAI burn rate to understand the financial
- 1:33pressure here. The AI division reports losses
- 1:36of over a billion dollars per quarter against much smaller
- 1:40revenues of 430 million. Over a billion 1/4.
- 1:44Exactly, Building and training large language models requires
- 1:47an unbelievable amount of capital.
- 1:48I mean they are buying 10s of thousands of specialized
- 1:50processors and the electricity bills alone are staggering.
- 1:54Wait, back up. Why attach a profitable rocket
- 1:56company to an AI software project that loses money?
- 1:59That seems like dragging an anchor behind a speedboat.
- 2:02Because doing so opens up the compute and orbit model.
- 2:05By funding the AI development with space revenues, SpaceX aims
- 2:09to build orbital data centers. OK, Orbital data centers.
- 2:12Yeah, on Earth, AI data centers are severely limited by the
- 2:16local energy grid and intense cooling requirements.
- 2:19Servers generate an incredible amount of heat.
- 2:22Right, they run incredibly. Hot and running the industrial
- 2:25air conditioning systems required to keep those servers
- 2:27from melting takes massive amounts of electricity and often
- 2:31millions of gallons of water. Moving the physical hardware
- 2:34into orbit changes the physics of the operation entirely.
- 2:38You get continuous solar power because you are above the
- 2:41weather and the day night cycle of the atmosphere.
- 2:44I am. Stuck on the cooling aspect
- 2:45though. If space is a vacuum, how do you
- 2:47cool a server? You cannot blow cold air over a
- 2:50motherboard if there is no air. That is a great engineering
- 2:53question. You are right, there's no air
- 2:54for convection cooling, which is how like a fan works on your
- 2:58laptop. Instead, they have to use liquid
- 3:00cooling loops attached directly to the processors.
- 3:03Those fluids absorb the heat, pump it out to massive external
- 3:07radiators, and those radiators release the heat as infrared
- 3:11radiation directly into the deep freeze of space.
- 3:14Oh wow. Yeah, it requires completely
- 3:16redefining how a server or rack operates, but if you solve it,
- 3:20you eliminate the terrestrial grid constraints holding back
- 3:23artificial intelligence expansion.
- 3:25And SpaceX has a plan for 1,000,000 solar powered
- 3:29satellites acting as AI data centers, 1,000,000.
- 3:33That is just a staggering amount of hardware floating above the
- 3:36atmosphere. It is, but Blue Origin has a
- 3:38competing plan called Project Sunrise, which plans for 10s of
- 3:42thousands of its own AI data center satellites utilizing
- 3:46optical inter satellite links and the Terra wave
- 3:48communications network. Optical links.
- 3:50Yeah, instead of bouncing signals back down to Earth like
- 3:52traditional satellites, these optical links use lasers to
- 3:55transmit data directly between the satellites themselves.
- 3:58How exactly does a laser network in space function?
- 4:01So imagine standing on a mountain with a flashlight
- 4:03signaling someone on another mountain.
- 4:06Now imagine doing that at the speed of light, with thousands
- 4:09of moving targets in low Earth orbit transferring terabytes of
- 4:12data per second. That sounds impossible to
- 4:15coordinate. Well, because there is no
- 4:17atmospheric interference or weather up there, the lasers can
- 4:20actually maintain incredibly stable high bandwidth
- 4:24connections. It creates a fully meshed
- 4:26routing system in orbit. The data never has to touch a
- 4:29ground station until it reaches the end user.
- 4:31So space transitions from a communication relay to a
- 4:35physical location for global computing infrastructure.
- 4:38We are moving from bouncing terrestrial signals off
- 4:41satellites to doing the actual heavy processing up there.
- 4:44Exactly. And that realization sets up a
- 4:47fierce regulatory fight. Amazon petitioned the Federal
- 4:50Communications Commission to block the SpaceX application
- 4:53entirely. And SpaceX fired back almost
- 4:55immediately, arguing that the exact same scrutiny must apply
- 4:59to Blue Origins filing. Right, they're basically
- 5:01pointing fingers at each others applications.
- 5:03Meanwhile, Amazon is simultaneously in advanced talks
- 5:07for a $9 billion acquisition of Global Star to fast track its
- 5:11own satellite deployment. They have a strict regulatory
- 5:15requirement to deploy half of their constellation soon or they
- 5:18risk losing their spectrum rights.
- 5:20Yeah, the clock is ticking for them.
- 5:22So buying an existing network like Global Star provides
- 5:24immediate functioning infrastructure.
- 5:26But how does Apple's 20% stake in Global Star and its dedicated
- 5:30capacity for Emergency SOS limit Amazon's flexibility in that
- 5:35deal? It's a huge limitation.
- 5:37Imagine you are trying to buy a massive toll road, but you find
- 5:41out your biggest rival already owns an unbreakable ironclad
- 5:44contract for the express lane. Oh, I see.
- 5:47Sure, you own the asphalt, but you cannot dictate the traffic
- 5:51flow if another company has guaranteed rights to the most
- 5:53critical lanes. You acquire the physical assets,
- 5:56but you inherit severe operational limitations.
- 5:59So they are restricted before they even begin.
- 6:01Exactly. Apple has already secured its
- 6:03bandwidth for the iPhone emergency features, meaning
- 6:06Amazon has to work its entire global cloud strategy around
- 6:09Apple's existing traffic. That is wild.
- 6:12And going back to the financial side of this, the 21 bank
- 6:15syndicate handling the 75 to $80 billion capital raise is
- 6:20uniquely structured. Right, because raising that much
- 6:23money requires the combined balance sheets of almost every
- 6:25major financial institution on Wall Street.
- 6:28And Elon Musk mandated that these banks purchase
- 6:30multimillion dollar subscriptions to the Grok AI
- 6:34tool to get a seat at the table. Hold on.
- 6:36So the banks have to buy the software just for the privilege
- 6:39of selling the stock? Yes, that creates serious legal
- 6:42jeopardy. We need to look at the Bank
- 6:44Holding Company Act, specifically Section 106.
- 6:47This law prevents banks from conditioning services on buying
- 6:51a non traditional bank product from an affiliate.
- 6:54How does that apply here? To put that in everyday terms,
- 6:57there are exceptions for traditional banking products
- 6:59like a bank can absolutely require you to open a checking
- 7:02account before they approve you for a mortgage.
- 7:04Right, that happens all the time.
- 7:05But forcing an institution to buy an artificial intelligence
- 7:09software subscription definitely falls outside that protection.
- 7:13It also bumps against Federal Rule 5110.
- 7:17That rule dictates that all items of underwriting
- 7:20compensation must be reasonable and fully disclosed to the
- 7:24public. The regulators want to ensure
- 7:26the fees banks collect for taking a company public are
- 7:29entirely transparent. And if the software is
- 7:32overpriced, regulators might view the subscription as hidden
- 7:35underwriting compensation. Exactly.
- 7:37If a bank pays $20 million for software access that the open
- 7:40market values at 5 million, the remaining 15,000,000 could
- 7:44easily be interpreted as a kickback to the issuer to secure
- 7:47the business. This changes the power dynamics
- 7:49between Wall Street and private tech, forcing financial
- 7:52institutions to assume regulatory risk just to
- 7:55participate in a mega offering. Usually it's the other way
- 7:58around. Right.
- 7:58Banks usually hold all the leverage in these deals.
- 8:01They dictate the terms, the pricing structure, the fees.
- 8:04Here, the company is leveraging its sheer size and the massive
- 8:08potential payout to force the underwriters into a commercial
- 8:11software contract. Which brings up another massive
- 8:14risk. Brock faces intense global
- 8:17scrutiny for generating non consensual explicit images.
- 8:21France raided corporate offices, the European Union ordered data
- 8:25retention under the Digital Services Act and authorities in
- 8:28the UK and India are actively investigating.
- 8:31It is a global legal issue at this point.
- 8:33And to be clear, we are purely looking at the legal and
- 8:36business vulnerabilities outlined in our sources.
- 8:39But the platform has been flooded with prompts altering
- 8:42images of women and children in sexually explicit ways.
- 8:45Yeah, management claims individual users hold the
- 8:47liability. They point out that the terms of
- 8:50service explicitly prohibit this behavior, arguing the company
- 8:53cannot control every keystroke of millions of users.
- 8:56But legal experts argue Section 230 protections might fail
- 9:00because the platform's own AI actively develops the content.
- 9:03Let us talk about how that law works.
- 9:05Section 230 protects Internet platforms when they merely host
- 9:08content created by a third party.
- 9:11Like if you post a defamatory comment on a message board, the
- 9:14person who runs the message board is generally not liable.
- 9:17Right, they're just the host. But when the platform's
- 9:19proprietary algorithm takes a text prompt and generate a brand
- 9:22new image, the platform transforms from a passive host
- 9:26into a Co creator. Losing that legal shield could
- 9:29open the company to thousands of civil lawsuits.
- 9:33In consumer AI scandals threatened Spacex's massive
- 9:36government defense contracts, like their $178 million Space
- 9:40Force award for missile tracking satellites.
- 9:42You think so? Definitely the military requires
- 9:45strict compliance and 0 reputational friction from his
- 9:49contractors. A consumer AI generating illegal
- 9:52content creates immense vulnerability for a company
- 9:55heavily reliant on federal dollars.
- 9:57I see it differently, actually. I think the defense sector
- 10:00prioritizes reliable launch capabilities over consumer
- 10:03software controversies, meaning the government will likely
- 10:06ignore the AI issues to maintain access to orbit.
- 10:09You really think they would just overlook it?
- 10:10Yeah, there is simply no other provider capable of launching
- 10:14payloads with the frequency, reliability, and cost efficiency
- 10:17of the Falcon 9 rocket. The military needs to put spy
- 10:20satellites into orbit, and they need the Rockets too much to
- 10:22sever ties over a chatbot investigation.
- 10:25Well. Even if that's true, merging a
- 10:28highly regulated defense contractor with an unregulated
- 10:31consumer AI platform exposes the combined entity to constant
- 10:35multi jurisdictional legal friction.
- 10:38You have a business unit that requires flawless security
- 10:41clearances handling classified military technology, operating
- 10:45under the exact same corporate umbrella as a social algorithm
- 10:48currently under criminal investigation by multiple
- 10:50foreign governments. The compliance departments alone
- 10:53will be at war with each other. Absolutely.
- 10:55Moving to the offering itself, the IPO plans allocate 30% of
- 11:00the shares to retail investors, vastly exceeding the typical 5
- 11:04to 10% we usually see in public offerings.
- 11:06Which is necessary because to raise $75 billion, institutional
- 11:10money simply isn't enough. The offering requires retail
- 11:13volume. It's just too big for Wall
- 11:15Street alone. Right.
- 11:16There are only so many mutual funds, pension boards and
- 11:19sovereign wealth funds willing to take down a capital raise of
- 11:21that size at once. The company has to tap directly
- 11:25into individual brokerage accounts to absorb the massive
- 11:27supply of new shares entering the market.
- 11:30And underwriters are considering abandoning the standard post IPO
- 11:34lockup period, allowing insiders to sell immediately.
- 11:37Which is highly unusual. Normally, employees, founders
- 11:41and early venture capital investors are restricted from
- 11:44selling their shares for 180 days after the public offering.
- 11:48This prevents a flood of selling that could crash the stock price
- 11:52before the public market figures out what the company is actually
- 11:55worth. Yeah, and they are also
- 11:57implementing a dual class share structure to preserve Musk's
- 12:01voting control, ensuring super voting shares remain with the
- 12:04founder even as public equity expands.
- 12:06So you could buy the stock, but your shares have a fraction of
- 12:10the voting power, meaning you have zero say in the corporate
- 12:13governance. Exactly.
- 12:14If this is such an exclusive financial opportunity, why are
- 12:17insiders opening the door so wide for retail investors to fit
- 12:21the bill? Well, there is a push for
- 12:23accelerated entry into major stock indexes, skipping the
- 12:26standard price discovery period. When a company is added to an
- 12:29index like the S&P 500, every passive, the mutual fund and
- 12:33retirement account that tracks that index is forced to buy the
- 12:36stock, regardless of the price. They just.
- 12:38Have to buy it mechanically. Exactly, if you have a standard
- 12:40401K, you will become a shareholder whether you manually
- 12:44click buy or not. Fast Tracking index inclusion
- 12:47creates automatic guaranteed buyers to prop up the valuation.
- 12:51Which shifts the risk of an unproven valuation directly onto
- 12:55individual investors and passive retirement accounts, while
- 12:58insulating the founders from losing control.
- 13:01If insiders can sell without a lockup period while retail
- 13:04investors are actively buying, it creates A mechanism for early
- 13:08stakeholders to cash out at peak valuation before the market has
- 13:12a chance to fully assess the combined company's true long
- 13:15term profitability. You are essentially providing
- 13:18the exit liquidity for the early investors.
- 13:20So to pull all of this together, SpaceX is utilizing its
- 13:24dominance in rocket launches to fund an unproven space based AI
- 13:28infrastructure and opening the door for retail investors to
- 13:31finance the expansion. And if a single private company
- 13:35manages to secure the physical hardware of the Internet in
- 13:37orbit and the artificial intelligence running through it,
- 13:40it completely centralizes control over global digital
