Latest / IMI Podcasts / Cook Islands Trust vs. Panama Foundation (or Both?)
Transcript
- 0:00SPEAKER_00: Two offshore structures dominate wealth protection, but most investors only use one.
- 0:06SPEAKER_00: The Cook Islands Trust is the world's strongest legal fortress, and the Panama Foundation is the ultimate estate planning tool.
- 0:15SPEAKER_00: Separately, they're powerful.
- 0:17SPEAKER_00: Together, nearly impregnable.
- 0:19SPEAKER_00: I'm Jairs from the Jairs Way, a contributor to IMI and a longtime entrepreneur and global citizen.
- 0:27SPEAKER_00: And in this video, I'll show you how billionaires stack these two gold standards for maximum protection and privacy.
- 0:34SPEAKER_00: But before we get into which one you should use, you need to understand the critical elements that make each structure attractive.
- 0:43SPEAKER_00: They come from completely different legal traditions, and that matters more than you might think.
- 0:49SPEAKER_00: Trusts come from English common law.
- 0:52SPEAKER_00: A settler transfers assets to a trustee who manages them for the beneficiaries.
- 0:58SPEAKER_00: Foundations, on the other hand, come from civil law, the system used in continental Europe and Latin America.
- 1:04SPEAKER_00: A Panama Foundation is its own legal person and it owns assets in its own name.
- 1:10SPEAKER_00: It has a founder, a counsel, and usually a protector who makes sure the founders' wishes are followed.
- 1:17SPEAKER_00: If you're from the US, Canada, or the UK, trusts will feel more familiar.
- 1:23SPEAKER_00: But if you're from Europe or Latin America, foundations will make more sense to you.
- 1:29SPEAKER_00: But familiarity isn't everything.
- 1:32SPEAKER_00: How much control do you want to keep?
- 1:34SPEAKER_00: That's the million-dollar question.
- 1:36SPEAKER_00: This is where the two structures really start to differ.
- 1:39SPEAKER_00: And for many people, this is the deciding factor.
- 1:43SPEAKER_00: A Cook Islands trust gives you the strongest protection, but only when you give up direct control.
- 1:50SPEAKER_00: The moment you start telling the trustee what to do, that protection weakens.
- 1:54SPEAKER_00: You have to let go of the reins to get the full benefit of the trust.
- 1:59SPEAKER_00: A Panama foundation works the opposite way.
- 2:02SPEAKER_00: The founder can stay involved.
- 2:03SPEAKER_00: You can appoint and remove council members.
- 2:06SPEAKER_00: You can write detailed bylaws that tell the foundation exactly how to manage and how to distribute your assets.
- 2:12SPEAKER_00: In other words, you remain in the driver's seat.
- 2:16SPEAKER_00: So Panama gives you control while the Cook Islands gives you distance.
- 2:21SPEAKER_00: You can't have maximum protection and maximum control at the same time.
- 2:26SPEAKER_00: But what does maximum protection actually look like?
- 2:30SPEAKER_00: Let me show you why the Cook Islands has such a fierce reputation.
- 2:34SPEAKER_00: You're here for a reason.
- 2:36SPEAKER_00: You probably care about one thing above all else: keeping your assets safe from people who want to take them.
- 2:43SPEAKER_00: Lawsuits, creditors, ex-spouses.
- 2:46SPEAKER_00: The Cook Islands was built for exactly this.
- 2:49SPEAKER_00: To challenge a Cook Islands trust, a creditor has to jump through some major hoops.
- 2:54SPEAKER_00: They can't just show up with a foreign judgment.
- 2:57SPEAKER_00: They have to file a brand new lawsuit in the Cook Islands, hire local lawyers, post a significant bond, and prove beyond a reasonable doubt that you created the trust to commit fraud.
- 3:10SPEAKER_00: Not probably fraud, beyond a reasonable doubt.
- 3:14SPEAKER_00: That's the same standard used in criminal trials.
- 3:17SPEAKER_00: And the statute of limitations is usually just one or two years after the transfer.
- 3:23SPEAKER_00: Panama is strong too, but it's not this extreme.
- 3:26SPEAKER_00: Panama courts can still recognize foreign judgments in some cases.
- 3:32SPEAKER_00: And the bar for proving fraud is lower.
- 3:35SPEAKER_00: If your goal is a legal fortress that makes creditors give up before they even start, the Cook Islands trust is unmatched.
- 3:44SPEAKER_00: But asset protection isn't the only thing that matters.
- 3:47SPEAKER_00: What about privacy?
- 3:49SPEAKER_00: Both structures can give you deep confidentiality if they're set up correctly.
- 3:54SPEAKER_00: A Cook Islands trust keeps everything private.
- 3:57SPEAKER_00: There's no public registry, so one can look up who the trustees or beneficiaries are.
- 4:03SPEAKER_00: Panama Foundations work a little differently.
- 4:06SPEAKER_00: The charter is filed publicly, but the bylaws remain private.
- 4:10SPEAKER_00: And the bylaws are where all the important stuff lives: the list of beneficiaries, the distribution rules, everything.
- 4:18SPEAKER_00: On privacy, both structures perform equally well.
- 4:22SPEAKER_00: This one's a tie.
- 4:23SPEAKER_00: Now let's talk about something you're probably dying to know: taxes.
- 4:28SPEAKER_00: I need to be clear about this up front.
- 4:30SPEAKER_00: Neither structure is a magic tax eraser.
- 4:33SPEAKER_00: Both the Cook Islands and Panama treat these structures as tax neutral.
- 4:38SPEAKER_00: They won't tax income that comes from outside their borders.
- 4:42SPEAKER_00: But per usual, your tax obligations depend on where you live.
- 4:47SPEAKER_00: If you're a U.S.
- 4:48SPEAKER_00: citizen, you still have to report everything.
- 4:51SPEAKER_00: If you live in France, same thing.
- 4:54SPEAKER_00: Sure, these structures can help you organize and defer wealth, but they do not make you invisible to your home country's tax authority.
- 5:01SPEAKER_00: Think of these as planning tools, not necessarily tax shelters.
- 5:06SPEAKER_00: They work best as part of a broader international strategy.
- 5:10SPEAKER_00: Speaking of planning, let's talk about what these actually cost.
- 5:14SPEAKER_00: The two structures differ greatly on this measure.
- 5:17SPEAKER_00: A Cook Islands trust is a premium product.
- 5:20SPEAKER_00: Setup costs typically run between$10,000 and$20,000.
- 5:25SPEAKER_00: Annual maintenance, another$3,000 to$5,000.
- 5:28SPEAKER_00: You're paying professional trustees, local compliance, and ongoing administration.
- 5:34SPEAKER_00: A Panama foundation is much similar.
- 5:37SPEAKER_00: You can expect to pay about$5,000 to set one of these up.
- 5:41SPEAKER_00: Annual cost in the low thousands.
- 5:44SPEAKER_00: No reporting requirements unless the foundation does business inside of Panama.
- 5:49SPEAKER_00: If budget matters, Panama wins this round easily.
- 5:53SPEAKER_00: But cost isn't everything.
- 5:55SPEAKER_00: You also need to think about how banks and financial institutions will treat your structure.
- 6:00SPEAKER_00: Both jurisdictions have solid reputations in the offshore world, but they're known for different things.
- 6:07SPEAKER_00: The Cook Islands is the platinum standard for asset protection trusts.
- 6:11SPEAKER_00: Everyone in the industry knows it.
- 6:13SPEAKER_00: And likewise, Panama is the gold standard for foundations.
- 6:17SPEAKER_00: The country has been doing this longer than anybody else.
- 6:20SPEAKER_00: But practically speaking, from my experience, banks are much more comfortable with Panama.
- 6:26SPEAKER_00: They deal with Panama foundations all the time.
- 6:29SPEAKER_00: Cook Islands trusts can raise more questions.
- 6:33SPEAKER_00: Swiss banks especially prefer foundations.
- 6:36SPEAKER_00: Civil law is what they know.
- 6:38SPEAKER_00: If smooth banking is a priority, Panama has the edge.
- 6:42SPEAKER_00: So we've talked about what happens when you're alive and administering the structure, but what happens to your wealth after you're gone?
- 6:50SPEAKER_00: Panama Foundation law was written with one thing in mind: estate planning.
- 6:55SPEAKER_00: A Panama foundation works almost like an uncontestable private will.
- 7:00SPEAKER_00: You write the rules and decide exactly how and when your heirs receive the inheritance.
- 7:06SPEAKER_00: And those instructions stay confidential in the bylaws.
- 7:10SPEAKER_00: Trusts work a little bit differently.
- 7:13SPEAKER_00: Trustees have discretion.
- 7:15SPEAKER_00: They decide when and how to distribute to beneficiaries.
- 7:19SPEAKER_00: Of course, that feature allows for flexibility, but less certainty if you want specific outcomes.
- 7:26SPEAKER_00: For clear, predictable secession planning, Panama Foundations are usually the better choice.
- 7:33SPEAKER_00: So the question is when to use which?
- 7:36SPEAKER_00: Well, it depends on what you're trying to accomplish.
- 7:39SPEAKER_00: If your main concern is protecting wealth from lawsuits, creditors, or future claims, the purpose-built Cook Islands Trust is unmatched.
- 7:49SPEAKER_00: If your goal is estate planning, privacy, and easy management, the Panama Foundation is usually the better fit.
- 7:56SPEAKER_00: It's ideal for holding assets, setting inheritance rules, and keeping control.
- 8:02SPEAKER_00: But for maximum protection, you stack both of these, one on top of the other.
- 8:08SPEAKER_00: The Panama Foundation holds your assets, your bank accounts, companies, real estate.
- 8:15SPEAKER_00: It manages everything day to day.
- 8:17SPEAKER_00: The Cook Islands Trust sits above it and owns the foundation itself.
- 8:22SPEAKER_00: Now you have two layers of legal separation.
- 8:25SPEAKER_00: The foundation handles administration and gives you control.
- 8:30SPEAKER_00: The trust shields the entire structure from outside claims.
- 8:34SPEAKER_00: The result, flexible and nearly impregnable.
- 8:38SPEAKER_00: This layered structure achieves what every high net worth individual ultimately seeks control, continuity, and true protection.
