- 1:04thank you again for being here today you know
- 1:05i've said it multiple times but these are absolutely
- 1:08my six favorite days of the year because i get
- 1:11to talk to amazing people and i get to share
- 1:14with all of you all of the stuff they know and
- 1:17it is insane so you know a lot of us today have
- 1:22all these questions about how the heck do we
- 1:25raise capital and so We've got Ruben Greth here
- 1:28and he is like the man when it comes to capital
- 1:32raising. He's got a whole podcast about it. So
- 1:34he gets to hear from amazing people in that space,
- 1:38but that's what they do. And he's going to share
- 1:41it with us. So Ruben, I'm going to let you kind
- 1:43of talk a little bit about your background maybe,
- 1:45and then we can get going because this is going
- 1:47to be awesome. How fun. Really excited to be
- 1:50at this conference first time here. So this is
- 1:52going to be a blast. Definitely have a lot of
- 1:55different topics and sub -nuanced niche specific
- 1:58things about capital raising that we'll dive
- 2:00into. And I can't wait for that. But I'll break
- 2:03down a little bit of my background relatively
- 2:05quickly. I got my start in about 08, 09. I started
- 2:10raising for single families. Didn't go too far
- 2:13there before. I came across a mentor teaching
- 2:16large scale multifamily, not necessarily syndication,
- 2:20but like dividing conquer strategies and taking
- 2:22down 60 unit complexes. And I was like in the
- 2:25four unit, you know, I was like, oh, four units
- 2:28is so big. And now you guys are talking about
- 2:30like taking down 60 unit projects. It was so
- 2:32like outside of the norm for me. But what happened
- 2:35was there was this guy. So everybody remembers
- 2:38the economic meltdown and crisis of 2008. And
- 2:43a lot of people lost their butts, you know, on
- 2:45a lot of different particular single family guys.
- 2:48And I had this partner that came in from San
- 2:50Diego with a bankruptcy. He had lost all his
- 2:53money in spec home developments. And then he
- 2:56just started buying all these fourplexes and
- 2:58like me coming from a background at like Wells
- 3:00Fargo and finance. I was like, how are you? purchasing
- 3:03all these properties. Don't you have a bankruptcy?
- 3:05And he's all, we're just raising capital for
- 3:07them. It's a great time. Everything's rock bottom
- 3:09here in Phoenix. And I was like, really? So you're
- 3:13taking down a fourplex like every couple of weeks.
- 3:14Is it cool if I just follow you around with my
- 3:16camera and shoot some videos of how you are taking
- 3:19these things down? So I followed him around and
- 3:23sure enough, we created some really good content.
- 3:25I threw it on a YouTube channel and within about
- 3:27nine to 12 months. people were so interested
- 3:30in the market and how cheap everything was. Cause
- 3:33we were buying like four plexes for like $72
- 3:36,000. Like it was crazy. It was so inexpensive,
- 3:42relatively speaking. So we raised about 650 ,000
- 3:47or I should say, that's the portion that I brought
- 3:49to his team. And at some point. He was very focused
- 3:54on micromanaging his contractors. And he's like,
- 3:57Ruben, why don't you, you know, instead of focusing
- 3:59on acquisitions, just go raise more and more
- 4:01capital and do marketing stuff. So I kind of
- 4:04went a little bit overboard and hired this like.
- 4:07production company from san diego we're going
- 4:10to create this like mini pilot and do like a
- 4:13cd series and go on tour and all these things
- 4:15i had all this like master plan for creating
- 4:17a marketing system around you know taking down
- 4:20these fourplexes and he started not showing up
- 4:23because he was so busy dealing with the nuances
- 4:26and little parts of micromanaging the contractor
- 4:29so we started fighting And we ended up splitting
- 4:33up and I sold all my little four plexes and 12
- 4:36plexes. And, and I didn't know what to do at
- 4:39that point. So I like crawled back to corporate
- 4:41America with my tail between my legs because
- 4:43I knew marketing, but I didn't know how to acquire
- 4:46stuff. or find a new partner i didn't think i
- 4:49had this limiting belief back then that multi
- 4:52-family partners don't grow on trees which i
- 4:55definitely have broken that mindset now because
- 4:57they typically do grow on trees i interview them
- 5:01all day long every day on the capital razor show
- 5:04podcast so i knew that i wanted to get back into
- 5:08real estate and didn't know exactly how to do
- 5:12it. And I thought, you know, I'll just buy a
- 5:14fourplex and then double my portfolio and double
- 5:16that and then double that. And I'll multiply
- 5:18that portfolio five times. I'll end up with 32
- 5:21fourplexes and I'll be done. And I presented
- 5:24this plan to somebody at the local Arizona real
- 5:26estate investor association. And they're like,
- 5:28Hmm, 128 units, all consisting of little fourplexes.
- 5:32Why don't you just buy 128 unit building? You'll
- 5:35be done. And I was like, what? Like, I don't
- 5:37know how to do that. So they introduced me to
- 5:40this thing called. multifamily syndication i
- 5:43got really interested started interviewing all
- 5:45these gurus that's going to pay someone like
- 5:4730 grand to teach me the business and in the
- 5:50process all all of the four plexes that i had
- 5:53previously bought from my broker he i knew that
- 5:57he like sold some people syndicated properties.
- 6:01I'm like, who do you know in Phoenix that syndicates?
- 6:03He's like, oh, I know Bakerson. I sold them a
- 6:05$5 million property last year. So I'm like, can
- 6:07you set up an interview? I'd like to ask them,
- 6:09like, how do I do this syndication thing? Like,
- 6:11who do I need on my team? And sure enough, he
- 6:13set me up with an appointment. I went to Bakerson
- 6:16and was like, hey, you know, like, how do I put
- 6:19together this whole syndication thing? I've seen
- 6:21you guys around town before. And they're like,
- 6:24well, what do you care for? And I was like, well,
- 6:26I used to raise capital for small multis. And,
- 6:28you know, I see multifamily is a great avenue
- 6:30for wealth creation. I want to build a team and
- 6:33do this. And they're like, wait a second. Did
- 6:35you say you raised capital? I'm like, yeah, I
- 6:37raised like $600 ,000. And they're like, we need
- 6:40somebody like you. We need more capital. Come
- 6:43join us. Hung out with them for a while. We were
- 6:45doing heavy lift syndications in Tucson. And
- 6:49that was fun. It was very challenging at first
- 6:51because they're just like, hey, we brought you
- 6:53on to bring the capital. Where's the capital?
- 6:54Where's the capital? And I'm just like, well,
- 6:56I haven't built a network yet. I don't even know
- 6:58who to raise it from. But eventually I started
- 7:02this show called the Capital Razor Show and was
- 7:04specifically interested in the beginning on.
- 7:07how to raise capital from limited partners. Over
- 7:09time, I found out that there's a whole bunch
- 7:11of other ways to raise capital, including co
- 7:14-GPs and creating funds. And you can do creative
- 7:18finance and a variety of things. And throughout
- 7:21building this show, the Capital Razor Show, I
- 7:24was interviewing these sponsors and interviewing
- 7:26these syndicators. And I had this light bulb
- 7:29moment. I was like. I wonder if I can put these
- 7:31syndicators on one side of the country with these
- 7:34capital raisers on the other side of the country
- 7:35and make money doing this. So I interviewed a
- 7:39couple attorneys and asked them, how do I do
- 7:40this and stay legally compliant so that I don't
- 7:43go to jail for raising money incorrectly? And
- 7:45they're like, in order to do that, my friend,
- 7:47you need to start your own fund. So then like
- 7:50I got crazy about funds and I eventually left
- 7:53Bakerson to go launch my own fund when. a friend
- 7:56of mine named Andy approached me. He's like,
- 7:58hey man, instead of starting your own fund and
- 8:01like having this kind of really hard time with
- 8:05everything, including paying for the documents
- 8:07and then having to answer the question, well,
- 8:10how many of these funds have you done to my potential
- 8:12investors? Why don't you just come join me? I've
- 8:15done a few funds. I need some help with automations,
- 8:18exposure, branding, rebranding. And I want to,
- 8:23you know. build some momentum here. Why don't
- 8:25you just come join forces with me? And I said,
- 8:27let's do it. So that was the inception of me
- 8:31becoming a full -blown GP owner, operator, owner
- 8:34of a GP company, Legacy Acquisitions. And so
- 8:40we've been doing build to rent half the time,
- 8:42but half of our business model is raising capital
- 8:43for other sponsors. And the other half is we're
- 8:46actual GPs that build subdivisions in Louisiana
- 8:49and Alabama. So this has been a crazy journey.
- 8:53And it's just unimaginable that you can end up
- 8:56being and growing as fast as you can in this
- 8:59space because you surround yourself with a bunch
- 9:01of minds, you know, abundance mindset of people
- 9:03and things can grow very quickly. Hey guys, it's
- 9:10Angel. In case you didn't know, I put on a three
- 9:13day virtual summit twice a year. It's the Real
- 9:16Estate Investing Rocks Summit, and I've been
- 9:18hosting it since March of 2020. The next one,
- 9:21number 11, is March 25th, 26th, and 27th. Three
- 9:25full days, no cost to you. My friend Sandy is
- 9:29speaking, and she's supported me at every single
- 9:31summit since I started. Joe Fairless, Kathy Fedke,
- 9:35a Tony Award winner, another friend who's raised
- 9:38literal millions from people met on LinkedIn,
- 9:40and the list goes on. You have to join our Mighty
- 9:44Networks community to gain access. And that link,
- 9:47it's in the show notes. Yeah, no, I, you know,
- 9:54I've had this conversation with a couple of different
- 9:56people in the past few days. And when you hear
- 9:58guru, you always think, oh, because it's people
- 10:02have really connected that to like a negative
- 10:04thing now. But honestly, I want to be a guru
- 10:08someday. I want to be that person that has landed
- 10:13success and that people want to be around and
- 10:18learn from. And I want that to be the thing I
- 10:22chase. I don't think there's anything wrong with
- 10:23that. And I just, I don't know. I want to be
- 10:28there and I want to be able to get that growth
- 10:29because like you said, it can happen. And it
- 10:31can happen quick. It can happen really quickly.
- 10:35At least getting the momentum and doing a couple
- 10:37few deals and hanging out. You stumble on a couple
- 10:40of people that want to do business with you.
- 10:41And if you have the right alignment of interest,
- 10:44it can grow very quickly. Yeah, absolutely. Yeah,
- 10:48I know. And it's, you know, I know Andy too.
- 10:50And it's really cool to see who has connected
- 10:53with who over the last four. I guess four years,
- 10:56four or five years. We've gotten to the multifamily
- 10:58space probably around 2017, 2018. And so it's
- 11:02been really neat to see just the web of connection,
- 11:05right? And how people have decided where to land.
- 11:09You know, my husband and I, we just got through
- 11:12Raisin for a deal. And I think it's probably
- 11:16the hardest thing out there. It's some people
- 11:19consider it a completely different business than.
- 11:22you know, the acquisition of property versus
- 11:25the acquisition and acquiring of capital for
- 11:28the purchase of property. Some people consider
- 11:30them completely different businesses. Yeah. I
- 11:34just don't even like when you said to, was it
- 11:38Bakerson? Bakerson was my old team. Yeah. Great
- 11:41guys. So when you like told them, I don't have
- 11:43a network yet. How do you, how do you start that?
- 11:47How do you get that going? How do you create
- 11:48that network of people that you can actually.
- 11:51talk to and reach out to and be like hey so you
- 11:54want to invest in this deal yeah so it's a lot
- 11:58of communication and branding over long consistent
- 12:00periods of time so then that brings the question
- 12:04you know if i'm going to do a capital raise today
- 12:06and i don't have that well what do i do so i
- 12:09found out quickly that one of the kind of hacks
- 12:12that you can tap into is this thing called co
- 12:15-gp structures where you bring somebody that's
- 12:17already done the work that you want to do over
- 12:20time make them part owner of your company yes
- 12:22you have to give up a portion of your company
- 12:24but if you can handle the money to acquire these
- 12:29properties that you have it can be done relatively
- 12:31quickly like in a few months instead of a few
- 12:33years so co -gp was a big momentum hack for me
- 12:38in the beginning days with bakerson i brought
- 12:40in some co gp capital to take down a 90 unit
- 12:43and then i started raising for a hotel play it
- 12:48was you know we're going to take a hotel and
- 12:50convert it into an apartment complex raise some
- 12:53money for that in the middle of me raising money
- 12:55for it i was like i need to go off and spread
- 12:58my wings and i left and I relinquished my GP
- 13:02share of that capital raise, even though I had
- 13:04raised like $450 ,000 so that I could go do my
- 13:07own thing and not be attached to anything because
- 13:10you can't just raise capital and then walk away.
- 13:12You have to have some kind of ongoing participation
- 13:14over the entire duration of a project to stay
- 13:18legally compliant with the SEC. It's not this
- 13:21kind of commission -based structure where you
- 13:23just raise money and then disappear. you need
- 13:26a license in order to do it that way which is
- 13:28also something that i found out about and kind
- 13:30of explored like whether or not it makes sense
- 13:32to have some kind of series six or seven licensed
- 13:36in order to raise capital for other teams but
- 13:40you know back to your question how do you develop
- 13:43that network so that when you do have a deal
- 13:46you can raise for it And a lot of it comes from
- 13:50branding, from automations, from consistent communication,
- 13:53from having a platform. Whether you have some
- 13:57kind of a website or a newsletter or a podcast
- 14:01or a book, those are all great platforms for
- 14:04sharing. your message and using it to create
- 14:08authority. Meetups are great. Going on other
- 14:11people's podcast is great. And if you do this
- 14:13for long enough, people start hearing about you
- 14:16and you start to develop a reputation as somebody
- 14:18that they may be interested in working with,
- 14:21at which point you just start to have a lot of
- 14:23conversations. And hopefully if you're not trying
- 14:26to sell anything, you can make enough friends
- 14:28so that eventually when you do have a deal. you
- 14:32feel pretty confident that you can at least raise
- 14:34the portion of the capital in conjunction with
- 14:37other potential team members and co -GPs and
- 14:39other sources of equity and capital. Wow. So
- 14:44like, that's a lot. It is a lot. That's a lot
- 14:49to digest. And that's just like the tip of the
- 14:52iceberg too, right? So like some of the topics
- 14:54that I wrote down here about things that we could
- 14:57talk about, like these are all topics that I've
- 15:00talked about on the show. mindset, branding,
- 15:03keeping investors warm between deals, fund structures
- 15:07and raising capital in a fund, avatar creation,
- 15:11which is incredibly important, right? So like
- 15:13one of the things that you want to do in the
- 15:14beginning is like send a message to a specific
- 15:17avatar because one of the major mistakes a lot
- 15:21of people do is they want to get doctors and
- 15:23lawyers and business owners and, you know. NFL
- 15:28athletes and they're trying to get money from
- 15:32wherever and then their marketing and their messaging
- 15:34doesn't resonate with anybody because it's too
- 15:37broad. It has to be kind of niche specific. So
- 15:40creating a platform is another topic, emotional
- 15:43versus logic -based selling, story brand selling,
- 15:47taking people through the story brand, creating
- 15:50traffic, marketing automations, creating newsletters,
- 15:53all of that stuff. are little nuanced topics
- 15:56that the successful capital raiser a lot of time
- 15:59is exploring and you know all of those and if
- 16:02they can get good at at least some of them they
- 16:05have a leg up on some of the people that haven't
- 16:08been able to spend a lot of time focusing on
- 16:11the capital raising side because they're so busy
- 16:13doing acquisitions and other things that also
- 16:15require a great deal of bandwidth, right? So
- 16:18how do you do it all? You partner with people
- 16:21that can help you. That's the hack.
