- 0:58- This is Scott Becker with the Beckers Health
- 1:01- Care Podcast.
- 1:02- Thrilled today to be joined by brilliant leader,
- 1:05- editor in chief, Alan Condon, and Alan is
- 1:08- fantastic.
- 1:09- Alan, we're gonna ask you to share with
- 1:11- us a couple of the stories you're watching
- 1:13- today.
- 1:14- What's top of mind? What are you watching
- 1:16- closely?
- 1:17- Yeah. Great to be back on with you,
- 1:19- Scott.
- 1:20- I think I'd love to kinda just touch
- 1:22- on really quickly a couple of
- 1:25- deals, a lot of movement we've seen in
- 1:27- terms of merger and acquisitions, and then spend
- 1:29- just a little time talking about some big
- 1:30- capital projects in North Carolina. But just a
- 1:34- a quick couple of updates at the top
- 1:36- of the podcast in terms of some big
- 1:38- mergers acquisitions that we just covered over the
- 1:40- last couple days. I think first and foremost,
- 1:42- this is one we've been watching for quite
- 1:45- some time, and that's in the Pacific Northwest.
- 1:47- That's, in Oregon. We have Samaritan Health Services,
- 1:52- five hospital system, significant physician
- 1:55- physicians at this, this health system that has
- 1:58- multiple health plans as well,
- 2:00- just received approval from from the state of
- 2:02- Oregon to pursue,
- 2:04- almost close its merger with MultiCare Health System.
- 2:07- That's,
- 2:08- I believe a 13 hospital health system headquartered
- 2:12- in Tacoma, Washington.
- 2:14- This has been on the radar for quite
- 2:16- some time. I believe that thirteen, fourteen months
- 2:18- in the making.
- 2:20- Looking at around about an October 1,
- 2:23- expected
- 2:24- closing date after they've cleared just a couple
- 2:26- more legal administrative hurdles to get over the
- 2:28- line and out of the way. But, essentially,
- 2:30- this this deal will create
- 2:32- a 18 hospital combined system across multiple states,
- 2:35- 32,000
- 2:36- employees,
- 2:37- about 400 outpatient care sites between those two
- 2:40- systems.
- 2:41- And
- 2:42- very, very importantly
- 2:43- for MultiCare, which I believe is a big,
- 2:46- big driver for this deal, is those health
- 2:48- plans under the Samaritan Health Service would come
- 2:50- under MultiCare.
- 2:53- We we do know that the the challenges
- 2:55- in in the Pacific Northwest,
- 2:57- specifically as it relates to health plans. We
- 2:59- saw Providence, of course, just winding down its
- 3:01- own. Providence Health Plan, Potentially a big gap
- 3:04- in the market for Samaritan and MultiCare here
- 3:06- to maybe expand and grow there. So really,
- 3:09- really interesting deal to watch and expected
- 3:12- to close,
- 3:13- pending some regulatory and administrative deals expected to
- 3:16- close on October 1. So just a couple
- 3:18- months down the line. So interesting deal to
- 3:20- watch.
- 3:21- Yeah. When are you seeing an uptick in
- 3:23- mergers and acquisitions and alliances, or or what
- 3:26- are you seeing currently?
- 3:28- I think certainly just looking at at not
- 3:30- even anecdotally, but also looking at what we've
- 3:32- seen in q one and q two,
- 3:35- especially in the q three as well. As
- 3:37- you as you pay attention to reports coming
- 3:39- out of the likes of Kaufman Hall, also
- 3:41- just in terms of speaking with CFOs,
- 3:44- on a week to week basis, CEOs and
- 3:46- CFOs,
- 3:47- certainly more of an appetite
- 3:49- to explore some of these mergers,
- 3:51- acquisitions,
- 3:52- strategic affiliations,
- 3:54- joint ventures. We're certainly seeing a massive massive,
- 3:56- massive uptick this year
- 3:58- as opposed to years gone by. And likely
- 4:00- no doubt that has been driven by a
- 4:02- lot of the challenges that health systems currently
- 4:04- face, but also,
- 4:06- health systems keeping an eye on what's coming
- 4:08- down the pipeline in 2027.
- 4:10- When they look at the the bigger impacts,
- 4:12- knockdown effects from h r one, Medicaid redeterminations,
- 4:16- the the follow from the ACA expire expiration
- 4:19- of those enhanced subsidies as well, more and
- 4:22- more hospitals and health systems, specifically
- 4:24- on the independent side, are really looking to
- 4:27- to partner up with larger partners.
- 4:30- And that's one big deal that we're certainly
- 4:31- just paid to pay close attention to there.
- 4:34- I think
- 4:35- we're also seeing on the you know, larger
- 4:37- systems are growing bigger. We're seeing the likes
- 4:39- of Bon Mercy Health. They're snapping up the
- 4:41- one one potential hospital in Virginia.
- 4:44- From LifePoint Health, the recent deal we also
- 4:47- covered. LifePoint,
- 4:48- in a little bit of a portfolio restructuring,
- 4:51- it seems it seems like at the moment,
- 4:53- they recently sold.
- 4:55- Excuse me. They their plan to sell this
- 4:57- one hospital in Virginia to bond secure Mercy
- 4:59- Health, but they also acquired quite recently eight
- 5:03- hospitals just a couple months ago in multiple
- 5:05- states,
- 5:07- from Scion Health, which, of course,
- 5:09- headquartered in Kentucky. So there's deals going on
- 5:12- left, right, and center. No matter whether you're
- 5:14- a large nonprofit system, you're a for profit
- 5:17- system,
- 5:18- small independent systems, we're seeing a significant uptick
- 5:21- uptick across the board in m and a
- 5:22- activity.
- 5:24- No doubt, like I said, Scott, driven with
- 5:25- a lot of these financial challenges and the
- 5:27- need for scale and and economies of scale
- 5:29- with vendors, with payers.
- 5:32- Scale seems to be the name of the
- 5:33- game as a as as as health system
- 5:35- CEOs and CFOs looks to get ahead of
- 5:37- some of these challenges.
- 5:38- Thank you so much. Alan, so much interesting
- 5:41- stuff going on. I appreciate it. As always,
- 5:43- you joining us, it's always fantastic.
- 5:45- Thank you very much for being with us
- 5:47- on the Becker's Healthcare podcast
- 5:49- and more so for the tremendous job you
- 5:51- do helping the weed editorial team at Becker's
- 5:54- Healthcare. I've been at this for thirty years.
- 5:56- The editorial team is doing a better job
- 5:58- than it's ever done. Thank you so much
- 6:00- for what you do.
- 6:01- I praise indeed. Thank you so, so much,
- 6:03- Scott, and very much reciprocal. Thank you.
- 6:06- And for my our audience, so we don't
- 6:09- age myself, when I say I've been at
- 6:10- it thirty years,
- 6:12- it's because I started at 12 years old.
- 6:13- No. I'm kidding. Thank you, Alan. Thank you
- 6:16- so much for joining us, Chanel. Thank you
- 6:17- for all your work as always. Thank you,
- 6:19- folks, both, so much. Thank you. Thank
- 6:23- you both.
