- Welcome to VoraPrep Audio. Today we're talking about the fiduciary duty. This concept is the heart of being a financial professional. And it's something the exam loves to test. This isn't an abstract concept. It's very real. Imagine your client, David, is about to retire. He has a one-and-a-half-million-dollar 401(k) to roll over. And your firm has a proprietary annuity. Recommending it would pay you a seven percent commission. That’s a hundred and five thousand dollars, right in your pocket. But you know a simple, low-cost index fund portfolio would be better for David. It has lower fees and more flexibility. So what do you do? That moment is the test. The CFP. Board’s Code of Ethics gives a clear answer. It's built on two pillars: the Duty of Loyalty and the Duty of Care. Master these, and you have the foundation for your career. First, the Duty of Loyalty. This is all about your motive. Your intention. It demands that you put your client's interests above your own interests. And above your firm's interests. It requires your total, undivided allegiance to the client. Think of the Duty of Loyalty as a compass. Other forces might pull at you. A big commission. Pressure from your boss. A company contest. But that compass needle must always point to the client's true north. It must always point to their best interest. This duty involves three core promises. The first promise is the bedrock. You must place the client's interests first. Every recommendation you make, and every action you take, must be driven by what's best for them. It can't be driven by what's most profitable for you. The second promise is to avoid conflicts of interest. If a conflict is unavoidable, you must handle it properly. You have to disclose it in writing. You need to get the client's informed consent to proceed. And then, you must manage that conflict in their favor. A conflict is any situation where your interests might cloud your judgment. That annuity with the huge commission? That's a classic conflict of interest. The third promise is that you must act without regard to your own personal gain. You have to check your wallet at the door. You need to evaluate all options for your client with complete objectivity. It doesn't matter how those options impact your own paycheck. So, Loyalty is the compass—your motive. The Duty of Care is the map and the vehicle. It's about your competence and your execution. The Duty of Care requires you to act with care, skill, prudence, and diligence. This is the standard any prudent professional would use in the same situation, based on what you know about the client. Let's look at what that means. It starts with competence. You must have the knowledge and skill to give the advice you're giving. This is why continuing education is so important. You can't just pass the exam and be done. But competence isn't enough. You also need diligence. This means doing the work promptly and thoroughly. You have to do the research. You must analyze the options. And you need to get back to your client when you say you will. Then there's prudence. You have to act as a "prudent professional" would. This is the objective standard you're measured against. Is your advice sound? Is it well-reasoned? Is it truly right for this specific client, or is it just a generic solution? A good way to check yourself is to ask this question: If I were the client, would I be satisfied with the work behind this recommendation? The answer must be a clear "yes." And what if you don't know something? The Duty of Care is very clear. If you aren't competent in a specific area, you have an obligation. You can gain the competence yourself. You can bring in another professional who has it. Or, you can decline or end that part of the engagement. So, Loyalty is your motive. Ask yourself, "Am I putting my client first?" Care is your execution. Ask, "Am I acting like a competent, prudent professional?" A loyalty violation could be recommending that expensive annuity. A care violation could be failing to research a complex investment that then loses money. Let's review a full example. This is exactly how this topic will appear on the exam. Let's say you're a CFP professional named Alex. Your client, Maria, is 62. She wants to roll over her eight-hundred-thousand-dollar 401(k). Your firm offers a managed account program with a one-point-two-five percent annual fee. You do some research. You find out Maria’s current 401(k) is fantastic. It's full of low-cost institutional index funds. Her total expenses are just zero-point-one-five percent. Maria is also risk-averse and wants to preserve her capital. So, how do you handle this? First, you fulfill your Duty of Care. You must be diligent. Investigate every detail of Maria's current 401(k). That includes the funds, the fees, and the withdrawal rules. You also have to fully understand Maria’s goals, her risk tolerance, and her entire financial situation. You have to do your homework. Next, apply the Duty of Loyalty. You must analyze the options objectively. Compare keeping the money in the 401(k) versus rolling it over to your firm. You have to perform this analysis without thinking about your own compensation. Remember, you only get paid if she moves the money. The math is stark. Zero-point-one-five percent versus one-point-two-five percent. That's a huge difference. Then, you fulfill the Duty of Loyalty again by addressing the conflict of interest. You have a massive conflict here. You get paid if she rolls over the money. You must disclose this to her in writing. You need to explain that you have a financial incentive to recommend the rollover. Now for the final step: the recommendation. This is where both duties come together. Maria is risk-averse. Her 401(k) has excellent, low-cost options. So the prudent, client-first recommendation is to leave the assets right where they are. You must explain the pros and cons of both choices. But your final recommendation has to be what's in her best interest. You tell Maria to keep her money in the 401(k). This is true even though it means you earn zero from that eight hundred thousand dollars. That is the fiduciary standard in action. Now, the exam might offer a tricky answer choice. Something like, "Recommend the rollover, but negotiate a lower fee for Maria, like zero-point-seven-five percent." This feels like a compromise. It seems like you're helping the client and still getting paid. But this answer fails the Duty of Loyalty. The question isn't if zero-point-seven-five percent is better than one-point-two-five percent. The question is whether it's in Maria's best interest compared to all her options. And zero-point-seven-five percent is still five times more expensive than her 401(k). You would need a compelling, documented reason why your account is worth that extra cost. Otherwise, you're still putting your compensation ahead of her outcome. Disclosure alone does not fix a bad recommendation. You can't disclose a conflict and then use it as an excuse. You still can't give advice that isn't in the client's best interest. This highlights a common trap. It's the difference between the old 'suitability' standard and the fiduciary 'best interest' standard. 'Suitable' just means an investment is appropriate for a client. It fits their risk tolerance and goals. But many different investments can be suitable. The fiduciary standard is a much higher bar. It requires you to find the option that is objectively the best for the client. You have to choose from among all the suitable options. That annuity might be suitable for David's retirement. But if a lower-cost bond ladder does the same job more effectively, then the bond ladder is what's in his best interest. So on exam day, here’s how to approach these questions. First, read the scenario and find the central conflict. Is the planner tempted by a commission or a proprietary product? If the issue is the planner's gain versus the client's outcome, it's a Duty of Loyalty question. Is the planner making a mistake, missing information, or advising on something they don't understand? That's a Duty of Care question. Once you identify the primary duty, filter the answer choices. Use the "best interest" lens, not just "suitability." Eliminate answers that are merely appropriate but not the best. And always scrutinize the process shown in the answer. Does it reflect what a prudent professional would do? Look for diligence, real analysis, and consideration of other options. The right answer will always be the one that puts the client's outcome first. Let's summarize. The fiduciary duty you owe as a CFP professional is absolute. Loyalty is your motive—always put the client first. Care is your competence—always act like a prudent professional. And always choose the client's best interest. This is a much higher standard than mere suitability. Understand that, and you're on the right track. That’s all for today. Keep up the great work.
