- 0:02- Every health system executive right now is being
- 0:04- asked to do something that has no useful
- 0:06- precedent,
- 0:07- make durable technology decisions in an environment that
- 0:10- looks meaningfully different every six months.
- 0:13- The pace isn't slowing,
- 0:14- the vendor landscape isn't getting simpler, and the
- 0:17- cost of missteps
- 0:18- keeps rising.
- 0:19- Becker's eleventh annual IT and Revenue Cycle Conference,
- 0:23- The Future of AI and Digital Health, exists
- 0:25- for exactly this challenge.
- 0:27- Here, you'll find more than 2,500 executive level
- 0:30- attendees,
- 0:31- 600 plus speakers, and four days of sessions
- 0:34- built around the questions leaders are actually wrestling
- 0:36- with.
- 0:37- How to scale AI responsibly,
- 0:39- how to protect increasingly complex systems,

- 1:00- This is Scott Becker with the Becker's Healthcare
- 1:03- Podcast.
- 1:04- We're joined weekly by Alon Condon,
- 1:07- editor in chief at Becker's Health Care, and
- 1:09- shares with us what he's seeing in health
- 1:11- care with health care systems.
- 1:12- We often focus on the financial side with
- 1:15- with Alan and what he's seeing. Alan, let
- 1:17- me tee it up for you. What are
- 1:19- a couple of trends and stories that you're
- 1:20- watching currently in health care?
- 1:23- Yeah. Absolutely. I think,
- 1:25- Reid, since you last spoke to that last
- 1:27- week, I think there's been a ton of
- 1:28- big news that just broke. So to kinda
- 1:31- take out a couple of the biggest stories
- 1:33- that we've covered since then, I think first
- 1:35- and
- 1:36- foremost, would be Ascension,
- 1:38- finally getting over the line. Long, long awaited
- 1:41- deal here, but just completed its acquisition of
- 1:44- ambulatory surgery center operator, AmSurge.
- 1:47- So it's ultimately expanding Ascension's total footprint of
- 1:51- ambulatory surgery center to 300
- 1:53- ASCs
- 1:54- across the country. So this is a nearly
- 1:57- $4,000,000,000
- 1:58- acquisition,
- 1:59- significant step in Ascension's strategy to really expand
- 2:02- our patient services,
- 2:04- respond to this ongoing shift in procedures, away
- 2:06- from hospitals in these lower cost community settings.
- 2:11- One small condition
- 2:12- from the FTC
- 2:14- was that
- 2:15- Ascension had to divest seven of these ASCs,
- 2:18- six of those going to,
- 2:21- Optum's,
- 2:22- subsidiary,
- 2:23- FDA Health,
- 2:25- for some potential anti antitrust concerns there. But,
- 2:28- importantly, that deal has finally got over the
- 2:29- line and, essentially, it is now working on
- 2:32- essentially integrating
- 2:34- AmSurge into the the wider health. The confusion's
- 2:37- deal there,
- 2:39- and very, very timely giving, our spine, ortho,
- 2:42- and pain management driven ASC conference kicking off
- 2:45- this Thursday in Chicago. So I think just,
- 2:48- importantly, just to kinda give a lay of
- 2:50- the land of where
- 2:52- the biggest ASC operators stand since this deal
- 2:55- has now got over the line.
- 2:58- USPI,
- 2:58- of course, the tenant subsidiary is still number
- 3:01- one in terms of the number of ASCs
- 3:02- operating. That has about 530
- 3:05- ASCs across the country.
- 3:06- FDA Health,
- 3:08- under Optum, under UnitedHealth,
- 3:10- about 330
- 3:12- ASCs. And coming in in third place will
- 3:15- now be Ascension
- 3:16- slash and surge. That combined system now operating
- 3:19- over 300 ASCs. So a huge, huge footprint
- 3:22- for ASC. I've been giving it a real
- 3:24- leg up on the ASC space. Really exciting
- 3:26- deal there.
- 3:28- No. Absolutely fascinating to see what's going on.
- 3:29- I mean, Tenet's largely transformed itself into a
- 3:32- service center company. It doesn't seem like a
- 3:35- sense it's going that far, but certainly making
- 3:36- it a major part of their strategy going
- 3:38- forward.
- 3:40- Yeah. Absolutely. I think, speaking with the chief
- 3:42- medical officer of Ascension next week as well,
- 3:45- just to kinda get a little bit more
- 3:46- insight on the clinical side of the equation,
- 3:48- kinda what their game plan is there from
- 3:50- the clinical strategy standpoint.
- 3:52- Had the pleasure of speaking with our CFO
- 3:54- and our chief strategy and growth officer recently.
- 3:56- Really, really excited about this deal, what it
- 3:58- means for the overall health system. Of course,
- 4:00- the pension did offload quite a number of
- 4:02- hospitals in the in recent years as it
- 4:04- was re rebounding its footprint,
- 4:07- focusing on its turnaround. Doesn't appear to be,
- 4:10- more of these hospital sell offs coming down
- 4:12- the pipeline from Ascension. This is a huge,
- 4:14- huge deal. Just got over the line. Seems
- 4:16- like, core core focus now on these on
- 4:18- these outpatient and ambulatory operations for a really
- 4:21- exciting deal. And it'd be interesting to see
- 4:23- how the how the wider health system landscape
- 4:25- there we have.
- 4:26- Fascinating. And and, you know, besides the Ascension
- 4:29- Amsearch deal moving forward, which is a huge
- 4:31- deal that really remakes the
- 4:34- both the surgery center industry and a little
- 4:36- bit of the health system industry because, essentially,
- 4:38- it's one of the largest not for profit
- 4:40- systems. What else are you watching closely currently?
- 4:43- What are those stories that have come up
- 4:44- this week?
- 4:45- Yeah. I think,
- 4:47- in terms of the staying on the m
- 4:49- and a kind of topic here, I think
- 4:51- when we look at the for profit community
- 4:53- health systems, they've they recently they continue to
- 4:55- pay off their debt, really selling off multiple
- 4:58- hospitals. They just exited two states this year.
- 5:01- That's Arkansas
- 5:03- and Pennsylvania. So sold all their hospitals in
- 5:05- those two states. Around about 60 hospitals now,
- 5:08- they're operating in 12 states.
- 5:11- But I think the other interesting deal from
- 5:13- not just the CHF standpoint,
- 5:15- but the the operator on the other side
- 5:17- of this deal,
- 5:19- mainly Freeman Health System,
- 5:21- headquartered in Missouri. So CHS had sold four
- 5:25- hospitals in Northwest
- 5:27- Arkansas effectively
- 5:29- exiting the Arkansas estate.
- 5:31- All those four hospitals, the Freeman Health System,
- 5:35- not not one of those systems. That'll be
- 5:37- a huge, huge name recognition.
- 5:38- Very, very small system recently, but it has
- 5:41- it experienced a ton of rapid growth. So,
- 5:45- this deal essentially takes Freeman Health Health from
- 5:47- a four hospital system
- 5:49- to an eight hospital system. But importantly,
- 5:52- just spoke with their president and CEO, Matthew
- 5:55- Fry, fantastic leader there,
- 5:57- really managing this rapid growth.
- 6:00- Freeman is essentially operating across four different states
- 6:03- now with this acquisition. So,
- 6:06- headquartered in Missouri,
- 6:07- recently built its first hospital in Kansas, has
- 6:09- another hospital in the works there, and then
- 6:12- acquired the Explore Hospital in Arkansas
- 6:15- that also serves a number of patients across
- 6:17- Oklahoma as well. So four four key markets
- 6:20- and states there. I think the important
- 6:23- takeaway, and then he kinda finding for me
- 6:26- after speaking with Matt Fryder's CEO, is he
- 6:29- really sees
- 6:30- independent health systems, especially
- 6:33- rural independent health systems, really looking at these,
- 6:37- quote, unquote, smart growth opportunities.
- 6:39- So how can they,
- 6:41- become multistate operators? How can they spread their
- 6:44- overhead across a wider
- 6:46- wider area, across a few different markets, really
- 6:49- getting that economy to scale to to push
- 6:51- back against some of these, an increasingly challenging
- 6:53- reimbursement landscape.
- 6:55- Not the only small regional system that we've
- 6:57- seen take at least at least out of
- 6:59- this table.
- 7:00- Expect to see more independent rural systems. Follow-up
- 7:03- through here as, no doubt we see some
- 7:06- some some pretty challenging times coming down the
- 7:08- pipeline at the end of this year into
- 7:09- next, of course, when we're when we're talking
- 7:11- about Medicaid,
- 7:12- reimbursement cost work requirements and whatnot. So really
- 7:15- interesting deal, not just for CHS side of
- 7:17- things, exiting market pain down a debt, but
- 7:19- also small independent rural system requiring more hospitals,
- 7:22- really spreading out over four different states there.
- 7:26- No. Absolutely fascinating.
- 7:27- Yeah. And so that's especially to the growth
- 7:29- of Freeman Health Care. I saw an article
- 7:30- you had posted on it this morning or
- 7:32- written on it this morning and and fascinating
- 7:33- to watch. No. Thank you very, very much.
- 7:36- If anything else that's top of mind that
- 7:37- you want to share as we head into
- 7:39- our rural health care summit as well as
- 7:41- into our
- 7:42- our our,
- 7:43- conference on surgery centers in spine, orthopedic, and
- 7:46- pain management.
- 7:48- Yeah. I think, really, really looking forward. I
- 7:50- think, yeah, one of the conferences that I'm
- 7:51- most looking forward to under the Becker's brand.
- 7:53- So really excited to kick in and dig
- 7:55- our feet into the rural hands standpoint too.
- 7:57- I think the one key takeaway for me,
- 8:00- I think we spoke quite a bit during
- 8:01- the annual meeting with some some rural leaders
- 8:03- in terms of the rural health transformation
- 8:05- fund from CMS seems to be,
- 8:08- from most leaders I spoke about, a drop
- 8:10- in the ocean in terms of,
- 8:12- what rural hospitals really, really need in terms
- 8:14- of the turn of corner, combat some of
- 8:16- these big, big financial challenges,
- 8:18- from a reimbursement standpoint. But,
- 8:21- really, really looking forward to connecting with rural
- 8:23- leaders. Ask that someone on Friday, our debut
- 8:26- event. I think we've just gotta get a
- 8:27- wider perspective there across many different states. Our
- 8:30- rural hospitals really see this, how they're preparing
- 8:32- for this, and then, other challenges and opportunities
- 8:35- on the horizon. So really, really looking forward
- 8:37- to to dive into those two conferences on
- 8:39- Thursday and Friday, and, looking forward to catching
- 8:41- up with you in person as well, Scott.
- 8:43- Alan, you are a fantastic leader and journalist.
- 8:46- Thank you so much for joining us today
- 8:47- on the Becker's Healthcare podcast, and I look
- 8:49- forward to visiting with you this week. Just
- 8:51- fantastic. Thank you so much. My pleasure. Thanks
- 8:54- so much, Scott.
