- 0:11Welcome and thank you for joining me for Tax Break.
- 0:13This is a podcast about South African tax for South African
- 0:16tax professionals and practitioners.
- 0:19My name is Peter Venezuelan and in episode Ashima thoughts with
- 0:23you on a topic or a development in South African text.
- 0:26And I tried to keep the episode short enough that you can listen
- 0:29to them hopefully learn something in whatever time
- 0:33you've got available. Now something that seems to be
- 0:37happening more in practice than than it used to at least, is
- 0:41entities being automatically registered for VAT purposes.
- 0:45So the the entity or the practitioner might pick up that
- 0:49they are non compliant because they haven't submitted VAT
- 0:52returns, while in their minds they're not registered for VAT.
- 0:56Or it may be that the entity receives a letter to say that
- 0:59you are registered for VAT from ex date.
- 1:03The question is can this be done now?
- 1:05I think the great provision to look at is Section 23 of the VAT
- 1:10Act and that provision deals with the that provides the
- 1:14registration requirements in the legislation.
- 1:18So section 23, one deals with requirements to register, in
- 1:21other words when you become liable to register and it makes
- 1:25provision for two scenarios. 1 is the entity made taxable
- 1:30supplies exceeding 1,000,000 rent in the last 12 months.
- 1:34The other is that the entity has got contractual obligations
- 1:37where it will make taxable supplies of more than 1,000,000
- 1:40ranked in the next 12 months. There are of course some
- 1:43exceptions where activities are for temporary nature, that kind
- 1:47of thing. With it, they may not have to to
- 1:50register. Also implicit do this definition
- 1:53is that you need to look at is the entity actually making
- 1:57taxable supplies, does it conduct an enterprise?
- 2:00Those kind of things to do. It's not just any transactions
- 2:04of more than 1,000,000 Rand in the last 12 months.
- 2:07Then moving on through section 2323, two and 2A deals with non
- 2:13residents who become liable to register.
- 2:15So I don't think that's the provision we we we're dealing
- 2:18with here. And then 23, three deals with
- 2:21voluntary registrations. So again you need to apply to be
- 2:26registered on a voluntary basis and this provision gives some
- 2:30minimum thresholds and it also provides guidance for
- 2:33regulations to be issued for certain entities in certain
- 2:36industries to be to be registered.
- 2:39I think the critical provision here is section 23 four and it's
- 2:44if we look at the first paragraph A, it says where
- 2:49you've applied to be registered as a vendor and so should
- 2:54satisfied that you are eligible, then from a date determined by
- 2:58the Commissioner you will be a vendor.
- 3:02So that's not the one I think we're looking at.
- 3:04In most cases here the person involved or the entity has not
- 3:07applied. The key provision is the in
- 3:10paragraph B, and what that paragraph says is that if you
- 3:13have not applied to be a VAT vendor, the Commissioner is
- 3:17satisfied that you are liable to register as a bad vendor.
- 3:21Then this person will be a VAT vendor from the date it first
- 3:25became liable to register and such may determine a later date
- 3:30if equitable. Now I think the critical part is
- 3:33that such must be satisfied that the person was liable to
- 3:39register. And from from our experience, it
- 3:42seems that that's where the the the process might have fall
- 3:48short in some cases in that the registration seems to happen
- 3:52without much consultation or gathering all the facts to to be
- 3:57satisfied that the person should have been registered as a VAT
- 4:00vendor. Now, being registered as a VAT
- 4:04vendor without applying has got real insignificant implications
- 4:08for entities. If you, especially if the date
- 4:12goes back a while, you may have a liability to pay output tax
- 4:16that you've not recovered from your customers that you may have
- 4:19no ability to recover. I think the second point is that
- 4:23your ability to claim input tax you the, the certain
- 4:26requirements that you need to meet, including documentation
- 4:30that you need to have and whether you would actually meet
- 4:33that or not is debatable. So I think it's uncertain
- 4:39whether you'd be able to claim your input tax.
- 4:41Then you probably looking at penalties because you are paying
- 4:45the VAT a lot later than you were supposed to.
- 4:47Now that you've learned that you are a VAT vendor from some date
- 4:52in instances a few years ago. And there's also so interest on
- 4:57these VAT payments. So some cases it may be that the
- 5:01entity should have interested and touches using the provision
- 5:06in exactly the way it was intended, but they could also be
- 5:10cases where the tax payer does not agree with Sash.
- 5:13So then the question comes up, what now?
- 5:16What are your remedies? So the idea in the podcast is
- 5:20not really to give advice or say that this is your checklist of
- 5:24remedies that you can follow. I would like to share a few
- 5:26thoughts with you that could maybe guide your own thinking in
- 5:31this regard. Now, if we look at section 32 of
- 5:36the VAT Act, it gives a list of decisions that are subject to
- 5:41objection and appeal. Section 23 four is not listed
- 5:44there. So that means that this specific
- 5:46decision by the Commissioner is not subject to objection and,
- 5:50and, and the bill. So do ideas from our side.
- 5:53There's now this could be resolved and what I've seen some
- 5:57other practitioners doing the 1 and in in my view, probably the
- 6:02most correct way of doing this is that the Tax Administration
- 6:07Act caters for process where if there's been a decision by by
- 6:11such official or notice has been issued, where you can request
- 6:16for that decision or notice to be either withdrawn or amended.
- 6:23So in my mind, the correct way or the the first way I would
- 6:28would consider would be to see if you can, especially if the
- 6:34the decision isn't factually sound.
- 6:36So let's say you don't conduct an enterprise, for example, do
- 6:40to get to do, do, do to try to to get that decision or the
- 6:45notice withdrawn. The other route that I've seen
- 6:50some in some instances being used, and I think there could
- 6:56perhaps be some merit to it, is to follow the process in Section
- 7:0024 of the VAT Act. So that's the cancel the
- 7:03registration. My one concern with this
- 7:06approach is that it then implies that the entity was actually a
- 7:09registered VAT vendor, at least possibly for a period of time,
- 7:13and that could leave you with some exposure.
- 7:16So I think if you follow this route, it's absolutely critical
- 7:19to make sure that you that that whatever your end date is, is
- 7:23exactly the same as your start date.
- 7:25Now that's something that's governed by Section 24/2.
- 7:29And again the search is determination of your end date
- 7:32in Section 24 two is not listed as something that's subject to
- 7:35objection and appeal. So you may well be back to the
- 7:39process do then try to get that decision withdrawn or amended in
- 7:45this case if you want to get an amendment off the end date.
- 7:50So it might and that's why I'm saying my, my, my, my, my, my
- 7:56Preference would probably be to, to just do that process to get
- 8:00the original decision or notice withdrawn in the 1st place
- 8:03rather than to, to, to follow the route of, of Section 24.
- 8:08So in summary, do you think there is a legal basis?
- 8:12However, this legal basis in Section 23 requires that the
- 8:16Commissioner must be satisfied that the person was liable to
- 8:19be, to be, to register as a vendor.
- 8:22And as I've already mentioned, it seems stuck in some cases
- 8:25that the process to be satisfied of this is is lacking or that
- 8:34that is very little if any consultation with taxpayers.
- 8:38So if you find yourself in that position where you are
- 8:42registered as a vendor, where you in your view, you shouldn't
- 8:46be, I think it is definitely advisable to consult on it, to
- 8:51look at all the facts and circumstances and then consider
- 8:54the best course of action in the case of your in your in your
- 8:59facts and circumstances. That's it for today's episode.

- 9:18Just reminder, as always, that the podcast is not intended to
- 9:22be tax advice or replacement for fact specific tax advice,
- 9:27especially as to what the correct course of action would
- 9:31be in this case. If you've got, if you, if you're
- 9:34looking at and you're sitting with this, this problem, you
- 9:37need to get tax advice to look at to to, to to decide on what
- 9:42is the best course of action in your specific facts and
- 9:45circumstances. Until next time, goodbye.
