- 0:58- This is Scott Becker with the Beckers Healthcare
- 1:01- Podcast.
- 1:02- I am thrilled today to be joined by
- 1:04- a brilliant leader who who writes a lot
- 1:06- and manages a lot and editor in chief,
- 1:09- Allan Condon, on the finance side of health
- 1:11- systems.
- 1:12- Alan, what are the big stories that you're
- 1:13- watching currently?
- 1:15- What's top of mind in in the health
- 1:17- care sector that you're watching currently?
- 1:19- Yeah. I'll try and narrow it down as
- 1:21- much as I can. I think certainly so
- 1:23- much to kinda touch on,
- 1:24- as we just kicked off q four a
- 1:26- couple days ago. But I think,
- 1:29- first and foremost, maybe just to touch on
- 1:31- what we're seeing from a few of the
- 1:33- big national nonprofit Catholic health systems.
- 1:37- One of our fantastic reporters, Maddie Ashley, did
- 1:39- a fantastic report this morning on the end
- 1:42- of fiscal year twenty twenty six for Ascension,
- 1:45- CommonSpirit,
- 1:46- Trinity Health, and, Baylor Scott and White Health.
- 1:50- Obviously, obviously, headquartered down in Texas,
- 1:52- large regional system,
- 1:54- fantastically
- 1:55- run, and I'm super
- 1:57- very, very profitable. But I think just a
- 1:59- quick little breakdown of how these systems performed
- 2:01- at the end of the fiscal 2026,
- 2:03- which ended at the end of June. So
- 2:06- three out of those four systems I've mentioned
- 2:08- did see their improved operating performance. So Trinity
- 2:12- Health,
- 2:13- swung from an operating loss of $281,000,000
- 2:16- operating gain.
- 2:18- Ascension and CommonSpirit
- 2:20- also narrowed their operating losses,
- 2:23- while Baylor,
- 2:24- remained the strongest performer of that group. It
- 2:27- is still holding around an 8.3%
- 2:30- operating margin. So a hugely, hugely successful, very
- 2:32- well run, preferable system there. Of course, a
- 2:34- very different market down in Texas.
- 2:37- I think
- 2:38- an interesting takeaway here as we kinda compare
- 2:41- these big four systems is
- 2:43- strategic
- 2:44- transactions
- 2:45- are really
- 2:46- materially affecting some of these financial results. So
- 2:49- to pull CommonSpirit out of the bag here,
- 2:52- CommonSpirit reported a $3,200,000,000
- 2:55- operating loss when we account for this $2,800,000,000
- 3:00- in special charges, which is largely tied
- 3:03- to its exit from Conifera Health Solutions,
- 3:06- of course, the the revenue cycle management company
- 3:08- that is now fully owned and operated by
- 3:11- Tenet Healthcare.
- 3:13- Ascension, on the other hand, reported operating loss,
- 3:16- and it also reported a brief operating loss,
- 3:18- though narrowed its turnaround somewhat year over year,
- 3:20- going back to three years ago when they
- 3:22- reported a $3,000,000,000 operating loss. Fantastic leadership by
- 3:26- their CFO, Sarah
- 3:28- Tripati, to really make sure they're marching marching
- 3:30- those margins back up to break even point.
- 3:32- A ton of growth ahead when we think
- 3:34- about what's to come in terms of its,
- 3:36- growth trajectory with with AMSURGE.
- 3:38- And then just lastly, Scott, just in terms
- 3:40- of Baylor,
- 3:41- still very, very high profitable system. Margins tightened
- 3:45- somewhat.
- 3:47- I think the system posted $1,500,000,000
- 3:49- in operating income,
- 3:51- around about $18,500,000,000
- 3:53- in annual revenue.
- 3:55- It's it's margin 8.1%
- 3:58- for the year, slightly down from fiscal year
- 4:00- twenty twenty five. But I think an interesting
- 4:04- takeaway from Baylor's results there is a useful
- 4:07- reminder that
- 4:08- even strong profitable systems are seeing really expense
- 4:12- growth eat into their their operating gains.
- 4:15- No doubt, a lot of restructuring, cutting, and
- 4:17- divesting in noncore
- 4:19- areas for a lot of systems
- 4:21- as they look at some of these big,
- 4:22- big headwinds coming down in 2027 when we
- 4:25- think about patient affordability,
- 4:27- elective surgery slowdown that many systems have pointed
- 4:30- to, rising costs and uncompensated care as well,
- 4:33- and and no doubt those Medicaid funding cuts
- 4:35- and redeterminations. So just a quick little lay
- 4:37- of the land of what we're seeing at
- 4:39- some of those big four nonprofit systems and
- 4:41- as we, end the fiscal year 2026
- 4:44- and kick off our fiscal twenty twenty seven.
- 4:46- Thank you. And do those fiscal year ends
- 4:48- not run on the calendar year?
- 4:50- Is that the deal with this?
- 4:52- The fiscal year for those four systems end
- 4:55- 06/30/2026.
- 4:58- So they just reported these results in the
- 5:00- last week or so,
- 5:02- and then really all eyes on the next
- 5:05- kind of big, big results we're coming out
- 5:07- of the pipeline as we look at towards
- 5:08- the end of twenty twenty six... The calendar
- 5:10- year 2026. Excuse me. Right. So it seems
- 5:13- like systems did pretty well for... Through this
- 5:15- fiscal year,
- 5:17- at least better improved results. The only one
- 5:19- going in the wrong direction, David Scott and
- 5:21- White, but, again, they're quite profitable to start
- 5:23- with and doing a great job there.
- 5:26- How do you square that with so much,
- 5:29- discussion in the industry about
- 5:32- people rolling off insurance roles, Medicaid roles, ACA
- 5:35- coverage, and not even coverage, but still need
- 5:37- hospital services.
- 5:38- You know, we saw such projections from HC
- 5:40- and others that they'd end up really seeing
- 5:42- a challenges or
- 5:45- operating
- 5:46- income declines
- 5:48- from having to treat these patients that no
- 5:50- longer have coverage.
- 5:51- And yet it seems like at least through
- 5:53- the first half of the year and maybe
- 5:54- through the year,
- 5:55- the systems are still doing okay. How do
- 5:58- you square some of that?
- 6:00- Yeah. It's kind of a very interesting question.
- 6:02- Certainly, something that was top of mind for
- 6:03- myself reporting on some of these results.
- 6:06- I spoke just recently on Friday with Ascension
- 6:09- CFO, Sarah Tripathi, and I think,
- 6:12- again, a lot going on within that system
- 6:14- in terms of their operating model, kind of
- 6:16- really looking at cutting and using AI where
- 6:19- possible to really kind of drive some more
- 6:21- ROI on the website and whatnot. Growth opportunity
- 6:24- seems to be the name of the game.
- 6:26- We hear so much from leaders that you
- 6:28- cannot cut your way to success. I believe
- 6:30- something's... The sort of health CEO Warner Thomas
- 6:32- said at a recent Becker's conference, know that
- 6:35- we are seeing quite a lot of, restructuring
- 6:37- and coding, but the CFOs, the CEOs that
- 6:40- I've been speaking to over the last few
- 6:41- months have all said,
- 6:43- growth growth is inevitable. We're really looking for
- 6:45- those opportunities across the board. Diversification
- 6:48- of their geographic markets, diversification of their revenue
- 6:52- streams are really accelerating towards,
- 6:55- outpatient care, more so than ever it seems.
- 6:57- More joint ventures, more building and acquisitions of
- 7:00- surgery centers. We're seeing a lot of these
- 7:02- big,
- 7:03- nonprofit for profit systems really lean into that
- 7:05- more and more,
- 7:06- as no doubt. To your point, Scott, we're
- 7:08- seeing,
- 7:09- quite a few... Arguably the most difficult reimbursement
- 7:12- landscape we've seen in quite some time.
- 7:15- So a lot to come. I'd be curious
- 7:17- just to see what we see as the
- 7:19- for profit systems report their q three results
- 7:21- in a couple of weeks' time, which will
- 7:22- give us a little bit of a better
- 7:23- indicator of what lies ahead.
- 7:25- Right. No. But truly fascinating to see this
- 7:27- sort of change in dynamics.
- 7:29- The number's going better than I think I
- 7:31- would have anticipated. I mean, obviously, the common
- 7:33- spirit loss is a big loss,
- 7:35- but they they do attribute a lot of
- 7:37- that to a onetime cutting of the contract
- 7:39- to the conifer. But the ongoing operations can
- 7:42- be moving in the right direction. And, hopefully,
- 7:43- that holds true and continues to be the
- 7:45- case. Because if so, that's a big move
- 7:47- in the right direction for common spare particularly
- 7:50- if they can get behind this Conifer
- 7:52- contract loss that they had. But fascinating to
- 7:55- watch. You know, and anything else that's absolutely
- 7:57- top of mind currently that you're keeping an
- 7:58- eye on?
- 7:59- Yeah. I think,
- 8:02- we saw a ton of,
- 8:04- m and a activity, I think, October 1.
- 8:07- Going a little bit, we saw a ton
- 8:08- of activity across the country, really. Some big,
- 8:10- big systems,
- 8:13- entering new markets,
- 8:15- some some smaller systems, some larger systems also
- 8:17- offloading to hospitals in in noncore areas. I
- 8:20- think just to kind of call out one
- 8:21- or two of the most notable deals that
- 8:23- we saw, I would say first and foremost
- 8:25- would be,
- 8:27- UPMC,
- 8:28- has a finally acquired
- 8:30- Trinity Health System. Now that's not the the
- 8:33- nonprofit large national Catholic system headquartered in Michigan.
- 8:36- This is a four hospital health system headquartered
- 8:39- in Ohio. So UPMC has acquired this four
- 8:42- hospital system from CommonSpirit.
- 8:44- That deal is done and dusted over the
- 8:46- line October 1. I think what's really interesting
- 8:49- about this deal is it marks UPMC's
- 8:52- first move, its entry into the Ohio hospital
- 8:56- market.
- 8:57- So on the other hand of the spectrum,
- 8:59- when we look at CommonSpirit, which was just
- 9:00- touched on their financial results there,
- 9:03- deal obviously comes to CommonSpirit, continuing to pursue
- 9:06- hospital sales amid amid some of these ongoing
- 9:08- industry headwinds. CommonSpirit sold a 25 bed critic...
- 9:11- 25 bed critical access hospital in North Dakota
- 9:14- earlier this year to, AltruHealth, which is is
- 9:17- headquartered in North Dakota. It also plans to
- 9:20- sell three more hospitals in North Dakota to
- 9:22- the same health system,
- 9:24- hoping to square that deal away by the
- 9:25- end of the year. But this four hospitals
- 9:28- sale to UPMC. So,
- 9:30- there's a tally of seven hospitals coming spirits
- 9:32- offloading in this year alone and, potentially some
- 9:35- other, hospital sales coming down the pipeline as
- 9:37- we heard in the investor call last week
- 9:39- as well. So I think that was a
- 9:41- a very, very interesting deal. And then just
- 9:43- pulling back a little bit and just looking
- 9:45- at
- 9:46- Minnesota. In general, I think Minnesota's a... Really
- 9:49- a hotbed of m and a activity.
- 9:52- Few states have seen deals as
- 9:54- large or maybe as strategically
- 9:58- significant as Minnesota this year. When we think
- 10:00- about,
- 10:01- Sanford Health in in South Dakota acquired North
- 10:04- Memorial Health.
- 10:06- Essentially, Sanford now has 60 hospital system in
- 10:08- multiple states. Sutter Health in California, of course,
- 10:11- still pursuing this proposed merger acquisition with, Minneapolis
- 10:16- based Allina Health.
- 10:18- That is a huge, huge deal that many
- 10:19- many have their eyes on. We created $26,000,000,000
- 10:22- system with 39 hospitals
- 10:24- in multiple states. And then just lastly and
- 10:27- most recently, Scott, we saw also Minnesota Health
- 10:30- Partners
- 10:31- and Essentia Health announced that they plan to
- 10:34- merge into a 22 hospital
- 10:37- nonprofit system. So adding another major combination to
- 10:41- an already really, really active market. So Minnesota,
- 10:45- a ton of activity going on, a lot
- 10:46- of interesting deals in the works,
- 10:48- we should be keeping a close eye on
- 10:50- at the end of the year and into
- 10:51- next as well.
- 10:52- Thank you. No. I think that's fascinating to
- 10:54- see these systems get more and more strategic
- 10:56- about thinking they don't have to be every
- 10:58- single place, and they'd rather be in place
- 11:00- where they've got some concentrations, some synergies.
- 11:03- And and when I look at UPMC expanding
- 11:05- into Ohio, well, it's right next door to
- 11:06- Pittsburgh. Pittsburgh's right on the border of, Eastern
- 11:09- Ohio, so it makes a lot of sense.
- 11:11- And I see common spirit getting out of
- 11:12- some of these markets. They don't have market
- 11:14- strength or don't have market synergies, and it
- 11:16- makes a great deal of sense towards the
- 11:18- streamlining operations, trying to be more strategic,
- 11:21- and and make sure that margins work. So
- 11:23- I... Makes a lot of sense to me.
- 11:24- It's fascinating to watch. And as always, I
- 11:27- wanna thank you for joining the the Becker's
- 11:29- Healthcare podcast.
- 11:30- Literally the best in the business at what
- 11:31- you do. Thank you so much for joining
- 11:33- us today. Scott, always a pleasure. Thanks so
- 11:35- much.
