- Hey, welcome to VoraPrep Audio. Glad you’re here. Let’s talk about a situation that comes up all the time, both on the exam and in the real world. A new client comes to you—let's call her Ms. Rodriguez. She's a successful entrepreneur, she just got married, and she wants to open an account. Her goal is pretty specific: she wants full control over it while she's alive, but if something happens to her, she wants it to pass directly to her spouse, no fuss. At the same time, she also wants to start a separate account for her 12-year-old niece to save for college. So, you've got two different account requests, two different goals. What do you do? What rules do you have to follow? This isn't just a hypothetical. The exam loves to test your knowledge of the nuts and bolts of opening an account, because if you get this part wrong, everything that follows is built on a shaky foundation. Think of it like being a doctor during a patient intake. Before you can prescribe anything, you need to get a full history. Allergies, lifestyle, family history... all of it. You can't just hand out advice without knowing who you're talking to. It's the exact same principle here. The Financial Industry Regulatory Authority, or FINRA, has rules in place to make sure we do that intake process correctly. The big two are FINRA Rule 2090, which is the "Know Your Customer" rule, and Rule 4512, which gets into the specific information you need to collect. So let’s walk through that information. What do you absolutely have to get from Ms. Rodriguez? First, the basics. Her full legal name, a permanent residence address—and that has to be a physical address, a PO box won’t cut it for the main one—her date of birth, and her Social Security number. This is the non-negotiable, identity-verifying stuff. It’s for legal identification, for the IRS, and to make sure she's old enough to even open an account. Next, you need to understand her professional life. What's her employment status? Where does she work? This helps the firm spot any potential conflicts of interest. We also need to know her citizenship status for compliance with various government regulations. Then, we get to the financial part of the intake form. This is where it gets really important for making good recommendations. We need to know her annual income, her net worth, and her tax status. We also have to ask about her investment objectives. Is she trying to grow her money aggressively? Is she looking for steady income? Or is she just trying to preserve her capital? Along with that, what's her risk tolerance? How does she feel about the market going up and down? And what’s her prior investment experience? Is she a seasoned trader or is this her first time? Finally, and this is a big one for anti-money laundering rules under the USA PATRIOT Act, you have to ask about the source of funds. Where is the money for this account coming from? There’s one more piece of information you can ask for, which is optional but really important: a trusted contact person. This is someone she designates that you can call if you ever suspect she's being financially exploited or if you can't reach her and have concerns about her health. It's a key protection for vulnerable clients. Okay, so you’ve gathered all this info on your new account form. What happens next? You don't just file it away. A registered principal at your firm has to review and approve the account. This is mandatory. They’re the manager signing off, saying, "Yes, we’ve done our due diligence, this account is compliant and suitable." Now, here’s a classic exam question: *when* does that approval have to happen? The rule says it must happen *promptly* after the customer's first transaction. But in the real world, and for exam purposes, the best practice is to get that approval *before* any trading happens. Once the account is open, the clock starts on another requirement. Within 30 days, your firm has to send the customer a copy of their account information to verify it's all correct. Think of it as a "check our work" notice. And this isn't a one-time thing. You have to re-verify that information with the client at least once every 36 months. Three years. People move, get new jobs, their financial situation changes, so you have to keep it current. Now let’s get back to Ms. Rodriguez's specific requests. First, the account for herself and her spouse. She wants control, but wants it to pass to him automatically upon her death. This points directly to a Joint Account. But there are two main types. One is Tenancy in Common, or TIC. With TIC, if one owner dies, their share goes to their estate, not to the other account owner. This is more common for, say, business partners who want their share to go to their own heirs. But that’s not what she wants. She wants it to go to her spouse. So you’d recommend a Joint Tenancy with Right of Survivorship, or JTWROS. The name says it all: "right of survivorship." If one owner passes away, their share automatically passes to the surviving owner, bypassing the whole probate court process. This is exactly what she asked for. For any joint account, remember that all parties have to sign the new account form. And if a check is cut from the account, it has to be made out to all parties, like "Elena AND John Rodriguez." Okay, one down. Now for her 12-year-old niece. A minor can't open a brokerage account on their own. This is where a custodial account comes in. You’ve probably heard of them as UGMA or UTMA accounts. That stands for the Uniform Gift to Minors Act or the Uniform Transfers to Minors Act. Here's how they work. An adult, the custodian—in this case, Ms. Rodriguez—opens and manages the account for the benefit of one minor. Key things to remember for the exam: one custodian, one minor. The money she puts in is an irrevocable gift. That means it legally belongs to the niece now, even though Ms. Rodriguez controls it. Once that niece reaches the age of majority in her state, usually 18 or 21, the custodian has to turn over control of the assets. The money is taxed at the minor's rate, but be aware of something called the "kiddie tax," where unearned income over a certain amount can be taxed at the parents' higher rate. And what can you do in these accounts? This is a huge test point. You absolutely cannot have a margin account for a minor. No borrowing money to trade. And no short sales. The investments need to be managed prudently for the minor's benefit. Speaking of margin, that’s another account type entirely. If a client wants to borrow money from the firm to buy securities, they need a margin account. This requires signing a whole separate set of documents: the margin agreement, a credit agreement, and a loan consent form. It introduces leverage, which means bigger potential gains but also bigger potential losses. Not every account type is eligible—as we just said, custodial accounts are out. So, let’s walk through a practice scenario, something you might see on the exam. A registered rep is helping a client open a Joint Tenancy with Right of Survivorship—a JTWROS—account with her spouse. The rep has all the info, the form is filled out. What are the next required steps for signatures and approval? Option A: Only the rep and the principal have to sign; the clients' signatures are optional. Option B: Both clients must sign the new account form, and a registered principal must approve the account before any transactions. Option C: A principal can approve it after the first trade, and only one client needs to sign. Option D: The rep signs, and the account can trade for 30 days before principal approval. Take a second. The correct answer here is B. For a joint account, *all* owners must sign the new account form. That eliminates C. And we know principal approval is mandatory and should happen before trading, which makes D incorrect. A is wrong because, again, for a joint account, the customers have to sign. So B is the most complete and accurate answer. Let’s try one more. A grandmother wants to open an account for her 8-year-old grandson for his education. She wants to keep control until he's older, making sure he can't get the money too early. What’s the best account type? Is it A, a JTWROS account? No, the grandson is a minor and can’t be an equal owner. Is it B, a UGMA account, which lets her stay custodian until he's 25? The UGMA part is right, but control ends at the age of majority, typically 18 or 21, not 25. So that’s out. Is it D, an Individual account for the grandson? Nope, minors can't open their own accounts. That leaves C: A Trust account. This is the best answer. A trust is a legal structure where she can be the grantor, set up very specific rules for when and how the grandson gets the money, and appoint a trustee to manage it. It gives her far more control over the timeline than a standard UGMA account would. These rules can feel like a lot to memorize, but they all serve a clear purpose: protecting the client and the firm. If you can keep that purpose in mind, the logic behind each requirement makes a lot more sense. It has to be prompt. Second, "Know Your Customer" isn't just a phrase, it’s a rule. You have to gather that comprehensive financial and personal information. Third, remember the verification timeline: send the account info to the client within 30 days of opening, and then re-verify it every 36 months. And finally, know your account types. Especially the difference between JTWROS, where the survivor gets it all, and TIC, where the estate gets the share. And for UGMA and UTMA accounts, remember: one custodian, one minor, the gift is irrevocable, and absolutely no margin. You’re putting in the time, and that’s what it takes. Keep reviewing, keep practicing, and you’ll get there. Thanks for tuning in. I’ll talk to you on the next one.
