Transcript
- 0:00SPEAKER_00: So the Federal Trade Commission has filed a complaint alleging that Zello and Redfin entered into an anti-competitive agreement around rental advertising and listing syndication.
- 0:14SPEAKER_00: Good day, everybody.
- 0:15SPEAKER_00: I'm Connor with Honor, and I want to talk about this because I think it kind of shows you where that world might be going.
- 0:20SPEAKER_00: You have a discount brokerage on one side, and then you have a large mega real estate syndication website on the other.
- 0:28SPEAKER_00: And a lot of agents pay tens of thousands of dollars into that platform to be able to get people's personal and private information and use that as leads.
- 0:36SPEAKER_00: In addition, I believe they have some kind of a brokerage tied up in there as well.
- 0:40SPEAKER_00: So you have these two mega organizations.
- 0:43SPEAKER_00: Thank God I've never been a part of either one.
- 0:45SPEAKER_00: But again, you have this uh complaint being filed.
- 0:48SPEAKER_00: So let me kind of break it down here.
- 0:50SPEAKER_00: So the$100 million payment, it's a big deal.
- 0:54SPEAKER_00: Uh what the FTC says is that Zillow paid Redfin$100 million in February of this year, 2025, to get Redfin to exit competing rental advertising business and to syndicate Zillow's listings.
- 1:09SPEAKER_00: Pay-to-play, right?
- 1:10SPEAKER_00: A pay-to-exit type agreement can reduce competition by pushing a competitor out rather than competing on quality or price.
- 1:18SPEAKER_00: So that's great.
- 1:19SPEAKER_00: You know, the local agents in your local market, the ones that really work hard to sell those local listings.
- 1:26SPEAKER_00: It's just, it's just like almost you have this too big to fail attitude and not even caring that those local agents are really trying to honor you in a way, trying to get information from you in the form of leads, and you know, just kind of leave them hanging out there.
- 1:43SPEAKER_00: And then another element, exclusivity, exit of competition.
- 1:46SPEAKER_00: So the FTC says under the deal, Redfin agrees to stop competing in multifamily rental, 25 plus units, advertising, terminate existing ad contracts, and let Zillow's listing feed be exclusive on those properties.
- 2:01SPEAKER_00: And then why that matters?
- 2:03SPEAKER_00: That gives Zillow a near monopoly control over multi-unit rental listings in a crucial segment.
- 2:09SPEAKER_00: On a crucial segment, reducing choice for property managers and advertisers.
- 2:14SPEAKER_00: Again, yeah, let's just uh take out the little guy.
- 2:18SPEAKER_00: Lead of listing control, lead and listing control, data feed terms.
- 2:23SPEAKER_00: Redfin is required to show Zillow's licensed content.
- 2:27SPEAKER_00: And this is Zillow's listings via a data feeder API.
- 2:31SPEAKER_00: And any leads from Redfin's platform will go to Zillow.
- 2:34SPEAKER_00: And this effectively turns Redfin into a mirror or conduit for Zillow's inventory rather than an independent competitor.
- 2:42SPEAKER_00: So kind of in it together kind of a thing.
- 2:45SPEAKER_00: And I guess if you're going to get a crime partner, why not have two of the biggest ones tie up together?
- 2:50SPEAKER_00: And let's see, duration non-compete restriction.
- 2:53SPEAKER_00: This agreement includes terms that Redfin won't sell, market, or make available, competing services for multifamily rental advertising for the term of the agreement.
- 3:02SPEAKER_00: And that prevents RedFIN from rebuilding or pivoting to compete during the contract.
- 3:09SPEAKER_00: Employee layoffs and hiring transfers.
- 3:11SPEAKER_00: The FTC also alleges that Redfin laid off hundreds of employees, some of which Zillow selectively hired, transferring talent or suppressing competitiveness.
- 3:23SPEAKER_00: That suggests consolidation, not just of listings and contracts, but human capital and institutional capability.
- 3:31SPEAKER_00: And legal grounds, it says here the FTC is framing these violations under the Sherman Act.
- 3:36SPEAKER_00: That's restraint restraint of trade and Clayton Act, unlawful acquisition or agreement that lessens competition and is seeking injunctive release, relief, restructuring, or divestiture.
- 3:52SPEAKER_00: If a court agrees, the deal could be unwound and future behavior constraint.
- 3:56SPEAKER_00: So in short, the FTC sees this as a deal disguised as a partnership, but in substance, it's a purchase of competitive exit and market consolidation.
- 4:06SPEAKER_00: Why does this matter?
- 4:07SPEAKER_00: Well, reduce competition, higher costs.
- 4:09SPEAKER_00: If fewer independent platforms can compete, ad pricing and terms could worsen for property managers, landlords, and also advertisers.
- 4:17SPEAKER_00: So the FTC warns that advertising costs could rise.
- 4:20SPEAKER_00: That's from their website.
- 4:22SPEAKER_00: Less innovation, user experience pressure with diminished competitive pressure.
- 4:27SPEAKER_00: Zilla Redfin may feel less incentive to improve search features, platform performance, UIUX or landlord or rental tools.
- 4:35SPEAKER_00: Dominance in multi-unit, multifamily rentals.
- 4:39SPEAKER_00: The deal centers on 25 plus unit buildings at millions of dollars, tens of millions, hundreds of millions in some cases, multifamily.
- 4:46SPEAKER_00: So that's a high value segment for ad dollars in scale.
- 4:49SPEAKER_00: And the precedent, domino effect in listings and syndication, this case signals that regulators are watching real estate platforms more closely in the future.
- 4:58SPEAKER_00: Agreements that tilt toward exclusivity or restrictive syndication may face scrutiny.
- 5:04SPEAKER_00: Broker listing platform overlap tensions.
- 5:06SPEAKER_00: Some of the largest portals are also playing in brokerage lead generation and add marketplace roles.
- 5:13SPEAKER_00: That blurs lines and creates incentives to favor one's own platform or suppress competition.
- 5:20SPEAKER_00: And again, something that you might want to consider.
- 5:24SPEAKER_00: I have never advertised on a site on Zillow.
- 5:28SPEAKER_00: A lot of agents they'll pay tens of thousands.
- 5:30SPEAKER_00: You know, there's there's just a whole group of people that have gone there.
- 5:34SPEAKER_00: I remember back in the day when Zillow first came out, it was really agents were so up in arms about it because they were taking listing data and they were using that listing data without having permission.
- 5:47SPEAKER_00: Well, fast forward today, you have artificial intelligence.
- 5:50SPEAKER_00: A lot of the models being trained on information that really is somebody else's property, but it's kind of being ignored for the, God, how do they put this?
- 6:02SPEAKER_00: For the betterment of mankind, humankind, basically, well, you know, if we train it on everything, then it's going to be better for everybody.
- 6:09SPEAKER_00: Each one of those people that worked really hard on building the the abilities and the craft and putting behind all of this work on their intellectual property, whatever it is they produced, a book, a piece of music, whatever, just to have it taken without any compensation.
- 6:25SPEAKER_00: It's it's an interesting place, and I know there's many lawsuits that are going on currently.
- 6:30SPEAKER_00: This is just one, uh, uh a couple different companies, Redfin and Zillow, that apparently, and I don't know if this is finished yet, it still has a process to go.
- 6:39SPEAKER_00: So I shouldn't, I'm not going to talk about it as if it's finished and done, but this is what's currently happening.
- 6:45SPEAKER_00: So do your research and I'll follow up with this in future videos.
- 6:48SPEAKER_00: But it's interesting the way that this seems to be happening and rolling out.
- 6:52SPEAKER_00: I don't know if this is going to be a game changer for Zillow.
- 6:55SPEAKER_00: Like I mentioned earlier, some corporations are just too big to fail.
- 6:59SPEAKER_00: And Redfin as well, discount brokerage, huge.
- 7:02SPEAKER_00: We'll have to see where this is going to play out.
- 7:04SPEAKER_00: I do know that I've talked to agents in my local market, and because of the distrust that's painted on top of this, that appearance, appearance for a real estate agent is everything.
- 7:15SPEAKER_00: And if you have something that you bought into that you pay for, that you trust, and then something like this occurs, it could be a signal that maybe you've been let down and it's time to move on.
- 7:27SPEAKER_00: Those boots on the ground, local people that have their own independent websites that are tied to real estate listings, there's a lot of rules put into place.
- 7:35SPEAKER_00: If I were to go in there and try to manipulate the data, I would get caught very quickly and I would get fined and I would have my license script from me.
- 7:42SPEAKER_00: And there might also be criminal action taken against me.
- 7:45SPEAKER_00: Yeah, there's really, I don't know uh who's going to be putting handcuffs on this deal.
- 7:50SPEAKER_00: I come from a long line of uh, well, I was a cop for a long time.
- 7:53SPEAKER_00: And, you know, maybe in a corporate setting, it's hard to find that single individual that's accountable.
- 8:00SPEAKER_00: Maybe they will, maybe they won't.
- 8:01SPEAKER_00: And maybe it's not going to matter.
- 8:03SPEAKER_00: We'll have to keep our eye on it.
- 8:04SPEAKER_00: But anyway, that's the Zello Ridfin thing that popped yesterday.
- 8:07SPEAKER_00: I hope you're well.
- 8:08SPEAKER_00: We are at what, the third?
- 8:10SPEAKER_00: Yeah, the third of October, 2025.
- 8:12SPEAKER_00: We'll see you in the next one.
- 8:13SPEAKER_00: Thanks for watching.
- 8:14SPEAKER_00: I'll be 10 8 until that time.
- 8:16SPEAKER_00: Be well.
