- 0:42scrutinizing financial operations at Block.
- 0:45This is the parent company of Cash App and Square.
- 0:48According to sources close to the matter, these investigations
- 0:51focus on compliance shortcomings than the company's major
- 0:55subdivisions stretching back several years.
- 0:57And documents from a former employee alleged that the
- 1:00company has been remiss in its regulatory duties, including
- 1:03failing to adequately report transactions that breach U.S.
- 1:07sanctions and involve high risk countries.
- 1:09The former employee, who had spoken to prosecutors in the
- 1:12Southern District of New York, claims Block did not gather
- 1:15enough customer data to evaluate risks accurately.
- 1:19Furthermore, it's alleged that Square process transactions
- 1:23linked to countries under U.S. sanctions like Cuba, Iran,
- 1:26Russia and also Venezuela. Also, several cryptocurrency
- 1:32transactions processed by Block supposedly supported terrorist
- 1:36groups, raising serious compliance and security
- 1:39concerns. But despite these allegations,
- 1:42Block maintains that it has a robust and responsible
- 1:45compliance framework, and the company claims its compliance
- 1:47systems and practices are continually updated to tackle
- 1:50emerging threats and changes in regulatory demands.
- 1:54Their ongoing efforts are aimed at bolstering the security and
- 1:57integrity of their operational ecosystem.
- 2:00Now, documents that were reviewed by NBC News further
- 2:04detail that Block was often alerted to these compliance
- 2:06failures but failed to amend their processes accordingly.
- 2:10This lack of action persisted even as transactions flowed
- 2:13through their systems. They should have been flagged
- 2:16and stopped under regulatory standards.
- 2:18Now, the implications of these lapses are very severe, with a
- 2:22former employee describing the compliance structure at Block as
- 2:24fundamentally flawed. Situation has led to a
- 2:27significant investigation, with federal prosecutors gathering
- 2:30evidence and documentation to understand the extent of these
- 2:34compliance failures fully. Notably, this isn't the first
- 2:38time that Block has come under scrutiny for its compliance
- 2:41practices. Previously, other whistleblowers
- 2:43have approached financial regulators with concerns about
- 2:46compliance failures at Cash App, highlighting a pattern of issues
- 2:50within the company. The investigation follows
- 2:52reports that Block's leadership and board were aware of these
- 2:56compliance issues, and the former SEC lawyer Edward Seidl,
- 3:00representing the whistleblower, emphasized the awareness of
- 3:02these issues among top executives, suggesting a
- 3:05systemic problem within the organization.
- 3:09Now, Block's internal monitoring mechanisms have also been
- 3:11questioned by other individual familiar with the company's
- 3:14compliance practices who agree with the whistleblower's
- 3:17assessments. This person, who also remained
- 3:20anonymous for fear of retaliation, supported claims of
- 3:23an adequate oversight and fault compliance strategy.
- 3:27The Block now in response to these allegations, Block has
- 3:30pointed to its voluntary self disclosure of certain
- 3:32transactions to the Foreign Assets Control or the OFAC,
- 3:37which resulted in a no action letter indicating closure of the
- 3:40investigation. Without further administrative
- 3:43action, however, the former employee disputes the
- 3:46completeness of this self disclosure.
- 3:49Additionally, Square specific practices have come under fire.
- 3:52Reports suggest that the platform failed to perform basic
- 3:55due diligence on its international merchants and
- 3:58mishandled funds related to sanction violations.
- 4:01This has potentially broad legal and financial implications for
- 4:04the company, and the structural design of Cash APP has also been
- 4:08criticized for increasing the risk of compliance failures.
- 4:12Due to the rapid movement of funds within the APP, it becomes
- 4:14challenging to block or reject transactions tied to flagged
- 4:17accounts, which significantly hampers compliance efforts in
- 4:22the light of these issues. Block engaged an external
- 4:25consultant to evaluate its compliance systems, and although
- 4:29the consultant identify numerous deficiencies, Block argues that
- 4:33these findings are typical given the scope of the audit.
- 4:36It do not indicate a failure of their overall compliance
- 4:38strategy. These ongoing compliance
- 4:41challenges have had a direct impact on Block's board dynamics
- 4:45with the recent resignations of two directors.
- 4:49And although the company states these departures were not due to
- 4:51internal disagreements, they raise questions about the
- 4:54stability and oversight within Block's highest governance
- 4:57levels. Furthermore, these
- 4:59investigations and alleged compliance failures come at a
- 5:02crucial time for Block as it faces increasing competition
- 5:05from other Fintech companies and traditional financial
- 5:08institutions. The integrity and effectiveness
- 5:11of its compliance practices are essential not only for legal
- 5:14adherence, but for maintaining user trust and operational
- 5:18viability. The broader implications of
- 5:20these findings extend beyond Block to the fintech industry at
- 5:23large, highlighting the critical need for robust compliance
- 5:27systems in a rapidly evolving financial landscape.
- 5:30Now, fintech companies must navigate complex regulatory
- 5:33environments to prevent misuse of their platforms and ensure
- 5:37they do not inadvertently facilitate illegal activities.
- 5:41And as the investigation continues, the financial sector
- 5:43in regulatory bodies will be monitoring the outcome, which
- 5:47could lead to significant changes in regulatory
- 5:50requirements and compliant enforcement practices across the
- 5:53whole industry. This case may serve as a
- 5:56critical reference point for future regulatory frameworks
- 6:00surrounding financial technologies.
