- 0:00This is Scott Becker with the Becker's Healthcare
- 0:02podcast.
- 0:03I'm thrilled today to be visiting with Ewan
- 0:05Condon,
- 0:06Ewan's editor in chief at Becker's Healthcare, a
- 0:09tremendous leader. We are talking on Saint Patrick's
- 0:12Day. He just expressed that he can't wait
- 0:14to get back to Ireland
- 0:16for the World Cup that that that match
- 0:18he's gonna see in Ireland, and will be
- 0:20he'll be cheering for the Irish national team.
- 0:22I take it, but we're not gonna talk
- 0:24about that today. We're gonna talk about health
- 0:26care today. So if you want, we could
- 0:27talk about Saint Patrick's Day and the Irish
- 0:29National team too. Alan, take a moment and
- 0:32and tell us a little bit about what
- 0:34you're watching in health care right now, and,
- 0:36and thank you for joining us. Yeah. Always
- 0:39a pleasure. Maybe we'll do a separate podcast
- 0:41another day, Scott, on the the Irish staff
- 0:43still there. But,
- 0:45some big, big health care finance news.
- 0:48Really excited to kinda hop on and talk
- 0:49through a couple key stories today. So I
- 0:52think first and foremost, this is a huge,
- 0:54huge story. Just kind of, just announced this
- 0:56afternoon,
- 0:57and that's, Sutter Health, of course, fantastic health
- 1:00system headquartered in California,
- 1:03signed a letter of intent
- 1:05to pursue a merger with Allina Health headquartered
- 1:09in Minnesota.
- 1:10So this this deal, sign a letter of
- 1:12intent, essentially, going through the exploratory phase here,
- 1:15would essentially create a 40 hospital
- 1:19nonprofit health system that was planned in California,
- 1:22Minnesota. Allianaw also serves at Acadia Sears, a
- 1:24lot of patients in Wisconsin
- 1:26as well. So
- 1:28what really bring together two really large regional
- 1:31systems under the Sutter Health brand,
- 1:34with Aligna Health essentially operating as Sutter Health's
- 1:37Upper Midwest division.
- 1:39So, again, this is a very, very early
- 1:41stages, but a really exciting deal.
- 1:44They create a large multistate system.
- 1:46I think in terms of the leadership structure
- 1:49and how this will be formatted,
- 1:51Allina Health CEO Lisa Shannon will continue to
- 1:53lead the health system or that division,
- 1:55while Warner Thomas, fantastic leader of Sutter Health,
- 1:58he would remain presidency of Sutter Health and
- 2:00lead the combined
- 2:0240 hospital
- 2:03health system. I think a huge, huge investment
- 2:06is gonna be undertaken here, so it should
- 2:08just get over the line. The health system's
- 2:10plan to invest more than $2,000,000,000
- 2:12into Minnesota,
- 2:14into Western Wisconsin,
- 2:15and that investment would essentially focus on expanding
- 2:18ambulatory care sites, growing specialty services, and really
- 2:22improving access to care in the Midwest division.
- 2:25AI and digital health, unsurprisingly, are gonna be
- 2:28central to this strategy. Sutter Health's a very
- 2:31tech forward, very impressive health system in California.
- 2:34So I think leaders have said that the
- 2:36combined health system will really look to leverage,
- 2:39Sutter Health technology ecosystem
- 2:41and Minnesota's
- 2:43med tech expertise to really advance AI and
- 2:45digital tools. So some of those key priorities
- 2:48would really focus on,
- 2:49reducing administrative
- 2:51burns, improving scheduling,
- 2:54re helping out and enhancing patients and clinician
- 2:57experience across the combined system as well.
- 3:00So huge, huge deal. And I think,
- 3:02again, very, very early doors just just announced,
- 3:05and there's a lot to go in terms
- 3:06of due diligence phase, the regulatory issues to
- 3:08to to pass
- 3:09through. But it it is interesting when you
- 3:12think about
- 3:13where where sort of health is headquartered, of
- 3:15course, in California, jumping over to the Midwest,
- 3:18taking a leaf out of some similar health
- 3:20systems, which you've seen Prime Healthcare, also headquartered
- 3:23in California. They've they've expanded into Illinois for
- 3:25the first time last year with those acquisition
- 3:27of the Ascension facilities,
- 3:29recently acquired a health system in Maine.
- 3:32So certainly a really interesting deal.
- 3:35But lot lot to come on this, but
- 3:36just, really, really fascinating to see what comes
- 3:38with this one down the line.
- 3:40No. That's absolutely,
- 3:42fantastic
- 3:43and amazing to see sort of the the
- 3:45mindset. Because in the old days, people did
- 3:47these mergers. They would do it with another
- 3:49local system
- 3:50to get more market share, to have more
- 3:52market alignment in an area. These are very
- 3:55different markets.
- 3:57Some of the thoughts around that, Alan, any
- 3:59any
- 4:00thoughts on what drives this merger?
- 4:03Obviously, there'll be a bigger overall system,
- 4:06but it won't help them in specific market
- 4:09negotiations with the payers or specific market presence,
- 4:12but will the two plus two, one plus
- 4:14one strengthen each other? How do you think
- 4:16about that or look that? It's more like
- 4:18some of the advocate mergers where the North
- 4:20Carolina Atrium merged with the Midwestern
- 4:22advocate system to create a larger system,
- 4:25but not necessarily in the same neighborhoods. Any
- 4:27thoughts here on this on this merger?
- 4:29Yeah. I it is fascinating. I think, essentially,
- 4:32the the jury is still kind of out
- 4:34on how these types of noncontiguous,
- 4:37nonadjacent
- 4:38mergers work. I mean, we've seen the likes
- 4:40of advocate merger. It's across six states. We're
- 4:43kind of all kind of adjacent to one
- 4:45another.
- 4:46But I think there is such a big,
- 4:49interesting dynamic in terms of the economies of
- 4:51scale that comes with it. But no doubt,
- 4:52you're jumping in a completely different payer environment,
- 4:55completely different cultural
- 4:57mix of two systems. No doubt there's a
- 4:59lot of due diligence that goes into these
- 5:00deals, especially with the leadership of Sutter, a
- 5:02line of two fantastic systems, but definitely come
- 5:05with
- 5:06unique challenges, I would say, than maybe acquiring
- 5:09another health system within your state or even
- 5:12maybe one market or one market or two
- 5:13markets over. But unique challenges, no doubt, that
- 5:16come with these, you know, happen from one
- 5:19from one part of the country to the
- 5:20next. So, it'd be interesting to see if
- 5:23we take and I've heard off the record
- 5:25from from conversations with other CEOs and other
- 5:27CFOs
- 5:28recently, not to kinda name many names, but
- 5:30this is,
- 5:32certainly seems to be more in the in
- 5:34the mindset, more in the thinking of some
- 5:36of these regional systems are considering
- 5:39now more than ever kind of, does a
- 5:41deal make sense if we jump two, three
- 5:43states over?
- 5:44Of course, there's a lot of a lot
- 5:45of due diligence that needs to go into
- 5:47these deals. But seems like, are we gonna
- 5:50see more folks take a leaf out of
- 5:51the the playbook here at Prime Healthcare, of
- 5:53Sutter Health, of Allina?
- 5:56Certainly interesting to keep, keep a close eye
- 5:58on these and see how these deals turn
- 5:59out, but certainly a lot of questions still
- 6:01to be answered.
- 6:03No. Absolutely fascinating. You know, tell me, are
- 6:05there other stories you're watching closely currently?
- 6:08Yeah. Absolutely. I think,
- 6:10I'd love to focus just, one bit down
- 6:13on AdventHealth.
- 6:14So, talking about scale, I think is a
- 6:16nice segue into into AdventHealth. Just fantastic leadership
- 6:19here. We're just kinda honing in on their
- 6:21finances. So
- 6:23recently reported their their full year results for
- 6:252025.
- 6:26We we kinda covered the the spectrum of
- 6:28the for profit systems quite recently, but AdventHealth,
- 6:31of course, huge faith faith based system,
- 6:34headquartered in Florida,
- 6:36operates, I believe, just short of 60 hospitals
- 6:39across nine states. So huge kinda regional national
- 6:42system here.
- 6:43A really, really impressive,
- 6:45financial results for 2025 just like what they
- 6:48reported in the year previously. So came out
- 6:51of the year with a an operating income
- 6:53of a $2,700,000,000,
- 6:55up from about $2,300,000,000
- 6:57in 2024.
- 6:59And its operating margin,
- 7:00really coming in at an impressive
- 7:0211.6%,
- 7:05the same operating margin that reported the the
- 7:08previous year.
- 7:09So I think revenue for AdventHealth
- 7:12grew by $3,000,000,000
- 7:13year over year. Now a $23,000,000,000
- 7:16system,
- 7:18expenses rose by 16% year over year, but,
- 7:21importantly,
- 7:22revenue matched that expect but that that growth
- 7:24also growing by 16% year over year. So
- 7:27margins really holding steady there. I think AdventHealth
- 7:30is no doubt done a
- 7:32scaled up without that margin erosion, essentially,
- 7:34growing fast in high growth markets, but also
- 7:37controlling costs as well to protect its profitability.
- 7:41And I think a few things
- 7:43really tie into that. Net net patient revenue
- 7:45increased by $3,000,000,000
- 7:47year over year, suggesting Apple Health
- 7:49higher volumes no doubt coming into the system,
- 7:52improve payer mix and or potential rate increases
- 7:55in some of its core markets. What I
- 7:57think has really been honing in and expanding
- 7:59in
- 8:00higher margin,
- 8:01higher acuity service lines, the likes of spine,
- 8:04orthopedics,
- 8:05GI, cardiology, all key here. And then just
- 8:08just honing in on its on its home
- 8:10state in Florida, it's had a ton of
- 8:13growth here recently. We reported over the last
- 8:15couple of years. It recently acquired a hospital
- 8:18from community health systems,
- 8:20in Florida. It's also building a new 80
- 8:22bed hospital here. But one key part of
- 8:24its growth is really building and expanding,
- 8:29multiple markets with freestanding
- 8:31emergency departments across Florida, across multiple markets, but
- 8:34particularly in Florida. I believe it now has
- 8:3727 freestanding emergency departments in Florida alone. Really
- 8:41continues to expand in high growth, attractive markets
- 8:44here. And the last just quick note on
- 8:46this, I think,
- 8:47see a lot more health systems kinda really
- 8:49to really look to that freestanding emergency department
- 8:52as a way to
- 8:53essentially
- 8:54plant a flag, I guess, for lack of
- 8:56a better term, in new markets or new
- 8:58territories,
- 8:59expanding out patient, and then building surrounding facilities
- 9:02around that. I think the idea being, can
- 9:04we get more of these patients, bring them
- 9:06into the health system earlier in their care
- 9:08journey through freestanding EDs, urgent care centers, outpatient
- 9:11facilities, and then for that more complex high
- 9:14acuity, high margin care, can we bring them
- 9:16back into the inpatient setting,
- 9:18as well? So fantastic
- 9:20financial results by AdventHealth,
- 9:22and just a ton of growth there really,
- 9:24particularly in the Florida market.
- 9:26Oh, fantastic. And AdventHealth has been one of
- 9:28the great success stories over the last decade.
- 9:30Really remarkable what they have accomplished. I know
- 9:32they've got new great CEO leadership after Terry
- 9:36Shaw, who led up for a long time,
- 9:37was a fantastic leader,
- 9:39fantastic leader, and just doing a wonderful, wonderful
- 9:41job. Alan, I wanna thank you as always
- 9:44for joining us on the Becker's Healthcare podcast.
- 9:46You are not just, great in the podcast,
- 9:48but a fantastic leader in person. Thank you
- 9:51so much for joining us today. Always a
- 9:53pleasure. Talk so much, Scott. Really appreciate it.
