- 0:38This is Scott Becker
- 0:40from the Becker's Healthcare podcast.
- 0:43We're thrilled today to be joined by editor
- 0:45in chief Allan Condon.
- 0:47Allan's a brilliant journalist and a great leader.
- 0:50Allan joins us regularly to talk about what
- 0:52are the couple of the stories that he's
- 0:54watching in health care. Allan, let me tee
- 0:56it up and ask you to take it
- 0:57away. What are a couple of the stories
- 0:58you're watching currently in in health care? Yeah.
- 1:01Absolutely. Great to be back, with you, Scott,
- 1:03today after the the long weekend of Presidents'
- 1:06Day. So catching up on a lot of
- 1:09news this week. And I think, first and
- 1:11foremost, just to kinda kick things off with
- 1:13a really big transaction we've been following for
- 1:15a number of months.
- 1:16Just got over the line, and that is
- 1:19Prime Healthcare
- 1:20with another acquisition sealed in the books. That's
- 1:23Prime Healthcare's nonprofit arm, Prime Healthcare Foundation,
- 1:27just completed its acquisition
- 1:29of Central Maine Healthcare.
- 1:32So that's a a three hospital system in
- 1:34Maine that includes a cancer center, a heart
- 1:37institute,
- 1:38more than 40 different physician practices.
- 1:40It's an interesting deal given the prime
- 1:43headquartered in California. This deal is the complete
- 1:45opposite side of the state. It's a market
- 1:47where it's just entered now. So we look
- 1:49at what happened last year with Prime entering
- 1:51Illinois for the first time with a nine
- 1:53hospital acquisition from Ascension.
- 1:55Now it's answered it's entered its 15 states,
- 1:59with the acquisition of this tree hospital health
- 2:01system in Maine,
- 2:03investing about 150,000,000
- 2:05into the system over the next few years,
- 2:07improved facilities, services, infrastructure.
- 2:10So I think with that acquisition, Prime is
- 2:12now a 54
- 2:14hospital
- 2:15health system
- 2:16now operating in 15 different states across the
- 2:19country,
- 2:20and certainly no signs of slowing down either.
- 2:23There are couple of acquisitions that it's also,
- 2:26looking at this year as well. So one
- 2:27one one big acquisition just got over the
- 2:29line to kick off,
- 2:31February
- 2:32as we get back here. I mean, that's
- 2:34literally remarkable what Prime Healthcare has done, and
- 2:37and it seems like Maine
- 2:39must not be an easy state to do
- 2:41health care in.
- 2:43What does that look like, and and why
- 2:45did they sell to Prime?
- 2:47What's, any
- 2:48information there?
- 2:50Yeah. Absolutely. I think
- 2:52it's certainly an interesting deal. I think HCA
- 2:55Healthcare has got a bit of a market
- 2:57presence in Maine,
- 2:59quite a rural state as well. I know
- 3:00that the system had its own financial issues,
- 3:03so we're certainly looking for
- 3:05a large financial partner, a large health system
- 3:07partner,
- 3:08Brian, with a bit of a track record
- 3:10in in turning around some of these, maybe
- 3:12financially challenged hospitals. Health systems saw this as
- 3:16a big opportunity for it to,
- 3:18really hop into Maine with a with an
- 3:20immediate presence.
- 3:22Like I said, those three hospitals, significant physician
- 3:25practices, cancer institute, heart institute.
- 3:28It's kinda interesting. I think we're seeing
- 3:31for arguably the first time ever a lot
- 3:33more of these systems considering,
- 3:35what you might call noncontiguous
- 3:38transactions. So I e,
- 3:41health systems entering a state that's not a
- 3:43neighboring state, not an adjacent state.
- 3:46Like I said, Prime certainly operates in many
- 3:48different states. Our headquarter in California, but jumping
- 3:50all the way over to the East Coast
- 3:52for this transaction, jumped into the Midwest with
- 3:54the Illinois Ascension Hospitals last year.
- 3:58And it kind of aligns with,
- 4:00I spoke recently with Prime Healthcare CFO,
- 4:03Steve Aleman, a fantastic leader
- 4:05who kinda gave me a little bit of
- 4:07insight into Prime's m and a approach, their
- 4:10road map, their playbook here. It's essentially looking
- 4:13for not one, two hospital acquisitions,
- 4:16but really looking for this, quote, unquote,
- 4:18market cluster approach. So can we jump into
- 4:21Illinois with a cluster of hospitals that immediately
- 4:24gain a foothold, a footprint in this new
- 4:26market?
- 4:27Same same opportunity here at Maine. It's not
- 4:29one or two isolated hospitals. It's three hospital
- 4:32system,
- 4:33number of physician practices, some great, cancer institute,
- 4:35hearts institute like Benson. So a lot of
- 4:38opportunity to grow after this market cluster approach.
- 4:41So,
- 4:42no doubt some some some big challenges in
- 4:44operating in so many different and unique markets
- 4:46across the state,
- 4:48but certainly an interesting deal. I'd be looking
- 4:50to keep our eyes peeled for any other
- 4:51health systems who are looking at potentially taking
- 4:54a leaf out of Prime's playbook here in
- 4:56terms of these,
- 4:57noncontiguous,
- 4:58health care app m and a's.
- 5:01Thank you very, very much. I think your
- 5:02point on buying clusters of hospitals versus a
- 5:05one off is so right on. Nobody wants
- 5:07to own on one off independent hospital someplace
- 5:09that's just a prescription for trouble and not
- 5:11economies of scale and a lot more. Your
- 5:13point is so right on.
- 5:15And, Alan, what are the stories you're watching
- 5:17currently?
- 5:18Yeah. I think,
- 5:20a number of big,
- 5:22financial reports that we just covered last week
- 5:24at the tail end of last week as
- 5:26well. So just a quick kind of update
- 5:27on some of those. I think,
- 5:29Ascension,
- 5:30one of the latest, big, big nonprofits to
- 5:33report their their financial reports.
- 5:36So for the fiscal second quarter, I e,
- 5:38the the three months ending December 31,
- 5:41Ascension continued to trim down its operating losses.
- 5:45Kind of a negative 0.9%
- 5:47operating margin, for that fiscal second quarter, but
- 5:50that that is a big improvement on the
- 5:51negative 2.2 margin it reported in the same
- 5:54quarter
- 5:55last year. So continuing to really trim down
- 5:58its operating losses,
- 6:00move its operating margins back up to that
- 6:02breakeven point,
- 6:04continue to move in the right direction there.
- 6:06And I think the results from Ascension really
- 6:09show
- 6:10financial stabilization
- 6:11certainly. It spent the last couple of years,
- 6:14as we know, Scott,
- 6:15reshaping its portfolio, its operating model through a
- 6:18number of
- 6:20strategic divestitures,
- 6:21some market exits,
- 6:23hasn't acquired a hospital or anything in quite
- 6:26some time, but we do know,
- 6:28this quarter or indeed the start of next,
- 6:30it is
- 6:31expected to acquire,
- 6:33which we've talked about on the podcast before,
- 6:35huge, huge ASC chain operator. So, certainly,
- 6:38getting its finances back on track in a
- 6:40way to really take on this big $3,900,000,000
- 6:43acquisition, give it an immediate significant
- 6:46massive foothold in the ambulatory surgery center space
- 6:49as well. So I think just looking at
- 6:51Ascension's portfolio, if we take a trip back
- 6:54three, four years ago, Ascension,
- 6:56operated about a 140 acute care hospitals across
- 6:59multiple states.
- 7:01Now as you look at the February 2025,
- 7:04it owns 90,
- 7:06wholly owned or consolidated hops hospitals. So, you
- 7:09know, trimmed its hospital portfolio by about forty,
- 7:12fifty hospitals over the last few years,
- 7:14certainly taking a big, big jump into the
- 7:16ambulatory surgery center space,
- 7:18and and certainly getting its finances back on
- 7:20track after a period of financial instability and
- 7:23some challenges there.
- 7:25No. Fantastic. And and I also saw that
- 7:28you referenced today,
- 7:30common spirit health having a solid quarter to
- 7:33another one of the large, large health systems.
- 7:35Yes. Yeah. Yes. Absolutely. So I think common
- 7:38spirit, reported just after Ascension as well. So
- 7:40I think,
- 7:42interested to look at at those two systems
- 7:44together, Ascension and CommonSpirit.
- 7:47CommonSpirit recorded a, I believe, a breakeven 0%
- 7:50margin for the same quarter. That's the the
- 7:52three months ended December 31.
- 7:55But I think that's down that's dropped down
- 7:57from a 1.3%
- 7:59margin the same period last year. So a
- 8:02little bit of a a fall in terms
- 8:04of its margin there. I think labor costs
- 8:06have been increasing for for common spirits, supplies,
- 8:09whatnot. Yes. No doubt revenue is on the
- 8:11rise, but I think hasn't been offset by
- 8:13some of the pay the challenges it's seeing
- 8:15on the payer side of things, also in
- 8:17terms of the labor,
- 8:19labor cost standpoint as well.
- 8:22CommonSpirit under the new leadership of of CFO,
- 8:24Michael Browning, who recently joined from OhioHealth,
- 8:28really kinda taking a hard look at
- 8:30some of the overall operating models. Where does
- 8:33CommonSpirit want to operate? Does it wanna exit
- 8:35certain markets?
- 8:37Not too dissimilarly in the way Ascension has
- 8:39done over the last couple of years. Common
- 8:41Spirit is now looking at selling seven hospitals
- 8:44in a couple different states, Ohio,
- 8:46North Dakota.
- 8:48It looks like taking a similar page of
- 8:51the essential playbook as it looks to exit
- 8:53some some particular markets to the right buyers,
- 8:56of course.
- 8:57In addition to that,
- 8:58CommonSpirit is also exiting its joint venture with
- 9:02Tennis. That's the Conifer Health Solutions joint venture.
- 9:05Common Spirit is a 20 around about a
- 9:0820% minority
- 9:10stake, interest in the Conifer Health, revenue cycle
- 9:14management firm. Tennis with this deal about about
- 9:17a $1,900,000,000
- 9:18deal to acquire one hundred percent of the
- 9:21of the revenue cycle company back under its
- 9:23management. So
- 9:25a lot of, a lot of interesting deals
- 9:27going on at CommonSpirit as well over the
- 9:29next few months,
- 9:30working a lot on AI, being being more
- 9:32efficient in certain areas. Revenue cycle is a
- 9:34key area that we've noted from recent investor
- 9:36calls. So certainly
- 9:39certainly a lot of work to do according
- 9:40to CEO and CFO there, but be certainly,
- 9:43paying paying close attention to comms period over
- 9:45next coming quarters as they look to turn
- 9:47that quarter and and, potentially exit some some
- 9:50key markets as well.
- 9:52No. Fantastic. And I did see that for
- 9:54the quarter, comms period at 10 and a
- 9:55half billion dollars in revenues
- 9:58puts them on pace to be about 40,000,000,000
- 10:00a year system, which is just humongous,
- 10:03for the not for profit health care sector.
- 10:05So fascinating.
- 10:07Alan, as always, fantastic to visit with you
- 10:10on the Becker's Healthcare podcast. You do just
- 10:12a tremendous job. Thank you for joining us
- 10:14today on the Becker's Healthcare podcast.
- 10:16Always a pleasure. Thanks so much, Scott.
