- 0:02I'm your host Will Walden. Today we're digging into the
- 0:05latest twist in the Elon Musk versus open AI legal drama.
- 0:10Musk is moving forward with his lawsuit even after Open AI
- 0:14announced it would keep non profit control over its for
- 0:17profit business. Your ultimate authority for

- 0:30There's something new everyday. And to unpack what this really
- 0:33means and whether Musk has a point at all, I'm joined by tech
- 0:37business analyst and investor Jordan Kessler, who's worked
- 0:41with and advised several major players in AI and venture back
- 0:44companies. Jordan, thanks for.
- 0:46Being here. Always good to be on Will.
- 0:49So Open AI says it's nonprofit parent is still in charge, but
- 0:54Elon Musk says that's just optics and nothing changes is.
- 0:58This a. Meaningful reversal or all of
- 1:01this is corporate theatre. So it's theatre with
- 1:04consequences. The nonprofit is technically
- 1:07still in control. But what Musk is highlighting,
- 1:10and he's not wrong, is that the structure hasn't solved the
- 1:13fundamental conflict. Open AI is still building closed
- 1:16source AI under a business model designed to serve investors like
- 1:20Microsoft. The nonprofit's control looks
- 1:23thin when you dig into who's on the board and how aligned they
- 1:26are with Sam Altman's goals. That's the dilemma.
- 1:30So let's talk about those goals. Altman wants to push the
- 1:32frontier of AGI, and that takes money, billions and billions of
- 1:38it. Does this structure let him
- 1:41raise that kind of money? Open AI wants to eat from both
- 1:43plates. It wants public trust by being a
- 1:46nonprofit controlled entity, but it also wants mega scale funding
- 1:49from investors who expect serious returns.
- 1:52The December plan to restructure into a more traditional for
- 1:54profit model reflected that tension.
- 1:57Investors were telling them we'll fund you, but we need
- 1:59conventional equity and more control.
- 2:01That pressure hasn't gone away. This walk back doesn't resolve
- 2:04it. It just delays the reckoning.
- 2:06Now, Elon's lawsuit claims Open AI betrayed its founding
- 2:09mission. Do you think that's legal
- 2:12strategy or like a personal feud between Elon and Sam Altman?
- 2:17Musk helped start Open AI as a nonprofit to balance what he saw
- 2:21as dangerous, unregulated AI development.
- 2:25He left when the vision shifted toward private control.
- 2:28Now that Open AI is worth $300 billion and partnered with
- 2:32Microsoft, he sees that shift as a betrayal.
- 2:35But let's be real, he's also running a competitor, XAI, so
- 2:39he's not just acting out of principle.
- 2:41He wants to slow Open AI down. That doesn't mean his legal
- 2:45argument has no merit, but it's not pure.
- 2:47Open AI says his lawsuit is baseless and meant to block
- 2:51their progression. Could this actually hurt Open AI
- 2:55long term? Yes, not because of the lawsuits
- 2:59outcome, Who knows how that'll go in court, but because of the
- 3:02uncertainty it creates. Investors hate ambiguity and
- 3:05this hybrid nonprofit for profit model is hard to price and even
- 3:09harder to trust. If you're managing billions in
- 3:12capital, are you going to back a company whose controlling board
- 3:15doesn't have to act in your interest?
- 3:18Musk's lawsuit amplifies that doubt for now.
- 3:21Open AI said Softbank's $30 billion is still on the table,
- 3:27and also Microsoft hasn't even flinched.
- 3:30Does that give them sort of like a lifeline going forward?
- 3:36Microsoft's relationship is strong because it's already
- 3:38deeply integrated Open AI's models into its products.
- 3:43SoftBank is more opportunistic. They'll go where the growth is,
- 3:47but the more governance uncertainty you have, the more
- 3:50risk those funds carry. If this lawsuit drags out and
- 3:54regulators keep probing, some of that money could evaporate.
- 3:58Now regulators California and Delaware are both reviewing Open
- 4:03a is business structure. Could those reviews force
- 4:07another change in the future? Absolutely.
- 4:12This isn't just about Musk anymore.
- 4:14If either state's attorney general decides Open AI isn't
- 4:17complying with nonprofit rules, they could demand changes,
- 4:20possibly structural ones. That's a legal risk hammer
- 4:23hanging over every board decision Open AI makes from now
- 4:27until that review ends. So big picture here, what does
- 4:30this fight say about how we build and govern companies
- 4:35working on AGI going forward? It says we don't have a working
- 4:40model yet. Everyone's trying to square a
- 4:42circle. How do you build trillion dollar
- 4:44tech on nonprofit principles? Open AIS model is messy because
- 4:49they're trying to be the first. Musk's lawsuit is one way to
- 4:53test if this model holds up under pressure.
- 4:56If it doesn't, future labs may have to choose nonprofit for
- 4:59real or for profit, with transparency and regulation.
- 5:03You can't hide behind a hybrid governance forever.
