- 0:31This is Scott Becker with the Beckers Health
- 0:34Care Podcast. I'm thrilled today to be joined
- 0:36for a short episode with Laura Dierdott,
- 0:38and we're gonna talk really about three different
- 0:41things.
- 0:41The first couple are are big health care
- 0:44institutions,
- 0:45systems
- 0:46sort of pruning what they do and and
- 0:49and pruning their their entire operations
- 0:51to be sharper going forward.
- 0:53Those are first two stories. And then third,
- 0:55we'll talk about some evolutions at Oracle HealthCare
- 0:58and what they're trying to do to make
- 1:00things better as well. Laurel, let me ask
- 1:02you to touch on the first two stories
- 1:04first, what you're seeing at community health systems,
- 1:06what you're seeing at common spirit, then we'll
- 1:08talk a little bit about what you're seeing
- 1:09at Oracle Healthcare.
- 1:10Yeah. Absolutely. Well, thank you so much, Scott.
- 1:12I mean, I think, you know, looking at
- 1:14community health systems, one of the largest for
- 1:16profit hospital operators
- 1:18have really taken some big and deliberate steps
- 1:21to, prune their portfolio and focusing on markets
- 1:24that make the most sense for them. Since
- 1:26the beginning of the year in particular, they've
- 1:28had a couple of big transactions, including one
- 1:30where they sold 80% stake that they had
- 1:32in a 270
- 1:33bed hospital in system to Vanderbilt Health,
- 1:37in around $623,000,000
- 1:39deal that took the the hospital and system
- 1:41into Vanderbilt's enterprise.
- 1:44And then CHS also
- 1:46closed a sale earlier this year in Pennsylvania,
- 1:49which sold three hospitals to Tenor Health Foundation,
- 1:52a newly formed nonprofit,
- 1:54for around thirty three million dollars plus a
- 1:55$15,000,000 promissory note. So,
- 1:59with that deal, CHS was really exiting the
- 2:02Pennsylvania market in the hole and and trying
- 2:04to get into a space where, they're able
- 2:07to double down. The health system still owns
- 2:09around 65
- 2:10affiliated hospitals in 13 states, but we expect
- 2:13them to be more selective around how they
- 2:16deploy capital and manage that attention
- 2:18in the future.
- 2:19And we're seeing a similar move by CommonSpirit
- 2:22Health as well, another
- 2:24huge,
- 2:25health system with
- 2:27locations across the country.
- 2:29CommonSpirit previously had been in a joint venture
- 2:32with Tenet
- 2:33Healthcare around, for health solutions, which is a
- 2:36revenue cycle management company and subsidiary.
- 2:39CommonSpirit
- 2:40will pay Tenet around $1,900,000,000
- 2:43over the next three years, and Conifer's paying
- 2:45540,000,000
- 2:46to redeem CommonSpirit's
- 2:4724%
- 2:48equity stake. And so now Conifer will be
- 2:52fully tenants. And in that deal, tenant will
- 2:55be in a space where they have full
- 2:56ownership. It'll give them more flexibility to invest
- 2:59in Conifer's future,
- 3:00particularly in automation,
- 3:02artificial intelligence, and and global operating capabilities.
- 3:05But for common spirit, that deal signals something
- 3:08a bit different. It's part of a multiyear
- 3:10integration and simplification
- 3:12strategy as stated by executive leadership,
- 3:15framing it as a move to align more
- 3:17around a single operating model,
- 3:19for the health system, which came together,
- 3:22as multiple different systems in regions across the
- 3:25country. And so they're really focusing on on
- 3:27how they can have a strategy that makes
- 3:29the most sense for their organization,
- 3:32in in really serving the hospitals
- 3:35that they have a mission to serve.
- 3:37I I think too for
- 3:39common spirit as well as many others, there's
- 3:41a really strong focus on expanding the ambulatory
- 3:44space as well and making sure that there
- 3:47are outpatient locations, ambulatory surgery centers,
- 3:51clinics, and more where they really see opportunities
- 3:54to expand access to care as well as
- 3:56in virtual care versus having more inpatient space.
- 3:59And so I think those are some of
- 4:00the big trends we're seeing for the large
- 4:02hospital operators as they're thinking about their portfolios
- 4:05and sharpening their focus for the future. I
- 4:07mean, it is fascinating to see
- 4:09tenant go back to owning Conifer a 100%.
- 4:11I mean, tenants really remade themselves a lot
- 4:14over the last decade.
- 4:15Really an outpatient provider to USPI
- 4:18back to the revenue cycle business through Conifer.
- 4:21Just fascinating.
- 4:22And then also community health systems really has
- 4:24sharpened their footprint too to get debt under
- 4:27control, to get those back to profitability, and
- 4:29they really made great strides in that direction.
- 4:31Talk to us for a second about Oracle
- 4:33Healthcare and what you see there. Absolutely.
- 4:35So for Oracle Health, they're expanding their clinical
- 4:38AI agent, recent announcement, and that goes beyond
- 4:41documentation into another clinician pain point, which is
- 4:43order entry. So the company said that its
- 4:46clinical AI tool will be able to automatically
- 4:48draft orders,
- 4:49during patient visits and continue to use ambient
- 4:52listening to support physicians as they're trying to
- 4:55have more time to expand their capacity with
- 4:57patients, have more human to human interaction, and
- 5:00and less repetitive administrative work. And that really
- 5:03doubles into kind of a focus we're seeing
- 5:05across the board. I I know clinician shortages
- 5:07are something that is a huge challenge for
- 5:10hospitals and systems, as well as burnout. And
- 5:13so when we're looking at how we can
- 5:14expand capacity and,
- 5:16really make sure they're able to serve patients
- 5:19in in a quick and effective manner,
- 5:21you know, there's not gonna be a huge
- 5:23increase in the health care workforce that might
- 5:26have been needed in the past. But if
- 5:28they can leverage technology smartly, they can,
- 5:31you know,
- 5:32solve some of those problems. And so I
- 5:34think some of these companies,
- 5:35are really taking that to heart, and it's
- 5:37been interesting to see how they do that.
- 5:39Thank you so much. Laura,
- 5:41fantastic to visit with you today.
- 5:44Three crisp, clear stories
- 5:46talking about common spirit, Tenet,
- 5:49community health systems,
- 5:50and and finally about Oracle Healthcare and what
- 5:53they're doing. The common spirit tenant stories are
- 5:56are related, so I count those as one
- 5:58story,
- 5:59and then separately, the community health systems and
- 6:01oracle. Laura, thank you so much for joining
- 6:03us today on the Beckers Hooktail podcast. That
- 6:05was great. Thank you very, very much.
- 6:07Thanks, Scott. It's always a pleasure.
