- Marcus: Welcome back to VoraPrep Audio's Office Hours. I'm Marcus. Emma: And I'm Emma. Today, we're tackling a core responsibility for any General Securities Principal: how to classify your firm's offices and know when to inspect them. Marcus: Right. This feels fundamental. You’re a new principal, you've got a big regional hub, a few standard offices, maybe even a rep working from a spare bedroom. Get the classification wrong, and you're in hot water with FINRA. Emma: Exactly. It all comes down to FINRA. Rule 3110, the main rule on supervision. It forces firms to have a system. A huge part of that system is knowing what kind of office you're dealing with. The rules are different for each. Marcus: So let's start at the top. The most important type seems to be the 'Office of Supervisory Jurisdiction,' or OSJ. What makes an office an OSJ.? What's the bright line? Emma: The bright line is function. An OSJ is where certain critical supervisory activities happen. Think of it as a control tower for a specific region or function of the firm. Marcus: What kind of activities put an office in that control tower category? Emma: One of the most common is the final approval of new accounts. A client wants to open an account, the paperwork is done, but it’s not official until a principal at an OSJ gives that final sign-off. Marcus: Okay, so final new account approval. What else? Emma: Final approval of advertising or sales literature is another big one. Before a brochure, a social media post, or a seminar invitation goes out to the public, someone at an OSJ has to approve it. Marcus: So it's about that final checkpoint. Any other major ones? Emma: Yes, the review and endorsement of customer orders. Also, structuring public offerings. And, of course, the most obvious one: an office that directly supervises the activities of people at other locations. Marcus: What if an office only does one of those things? Say, it only approves advertising, but doesn't handle new accounts. Is it still an OSJ.? Emma: Yes. That's a key point. If an office performs even one of those designated OSJ functions, it is an OSJ. It doesn't need to do all of them. Marcus: Got it. So if it's not an OSJ, what's the next level down? The source material calls it a 'Branch Office'. Emma: A Branch Office is defined more simply. It's any location that is 'held out to the public' as a place where the firm does securities business. Marcus: What does 'held out to the public' actually mean in practice? Emma: It means you're inviting the public in, either physically or virtually. Think of it this way. If a customer can find the address on your firm's website, on a business card, or see a sign on the door with the firm's name, it's being held out as a place of business. It's your firm's public-facing storefront. Marcus: Okay, so an OSJ is defined by its high-level supervisory functions. A Branch Office is defined by being a public-facing location. That leaves one more category. Emma: The 'Non-Branch Location'. This is basically the catch-all category. If a location doesn't meet the definition of an OSJ or a branch office, it's a non-branch location. Marcus: So, this is where that rep working from home would fit in? Emma: Often, yes. As long as they aren't 'holding their home out to the public' as a place of business. If they're just using it as an administrative base and not advertising the address or meeting clients there, it’s a non-branch location. The same goes for a firm's internal back-office or data center. Marcus: This classification has to be for a reason. I assume it dictates how closely you have to watch each location. Let's talk about the inspection cycles. How often do you need to inspect an OSJ.? Emma: Because OSJ.s are the control towers with the highest level of risk and responsibility, they require the most frequent inspections. They must be inspected annually—at least once every 12 months. Marcus: Annually for OSJ.s. That makes sense. What about a regular, non-OSJ. Branch Office? Emma: For a branch that's not an OSJ, the cycle is longer. It must be inspected at least triennially, so once every three years. Marcus: Why the difference? Why only every three years for a branch? Emma: Because that branch office is already being supervised by an OSJ. That OSJ is reviewing its business, and the OSJ itself is being inspected annually. So, regulators allow a longer cycle for the on-site inspection of the branch itself, knowing there's another layer of oversight happening constantly. Marcus: Okay, that logic tracks. So what's the rule for the Non-Branch Location, like the home office? Emma: For non-branch locations, the rule is more flexible. It requires a 'periodic' inspection based on the firm's own written supervisory procedures and risk assessment. Marcus: So the firm decides? Could they just decide to inspect it every ten years? Emma: Not reasonably. The risk assessment has to be sound. If that non-branch location involves significant customer contact, even if it's not a formal branch, the firm would be expected to inspect it more frequently, likely annually. But if it's a purely administrative location with no customer interaction, the cycle could be longer. Marcus: There was a nuance in the material about a 'Supervisory Branch'—a branch that supervises other locations, but maybe doesn't do enough to be a full OSJ. How does that fit in? Emma: That's a classic exam trap. If a branch office takes on the responsibility of supervising other locations, its risk profile goes up. To account for that, FINRA requires that branch to be inspected annually, just like an OSJ, even if it doesn't meet any of the other OSJ criteria. The act of supervision bumps it into the annual inspection schedule. Marcus: Okay, let’s walk through a scenario. A firm has an office in a suburban office park. A principal there reviews and gives final approval to all of the firm’s advertising and retail communications. The office also has a trading desk that executes orders. However, all new accounts are approved at the headquarters downtown. How do we classify this suburban office? Emma: Let's use the step-by-step framework. Step one: evaluate the OSJ criteria. Does this office perform any of the functions on the OSJ list? Marcus: Yes, it does two of them. It gives final approval to advertising, and it handles order execution. Emma: Exactly. And since it meets at least one of those criteria, we can stop right there. It is an Office of Supervisory Jurisdiction. We don't even need to ask if it's held out to the public. Marcus: So it's an OSJ. That means its inspection cycle is... Emma: Annual. At least once every 12 months. Marcus: That seems straightforward when you walk through it like that. Where do candidates usually get tripped up on the exam? Emma: A common mistake is thinking an office has to do everything on the list to be an OSJ. They see that it doesn't approve new accounts and incorrectly rule out OSJ status, forgetting that approving advertising is enough to qualify it. Marcus: So, "any one of these things" is the key. What's another common trap? Emma: Simply mixing up the inspection cycles. Annually for OSJ.s and supervisory branches, triennially for all other branches. It's easy to flip them under pressure. The exam will definitely have answer choices that swap them. Marcus: And you mentioned the phrase 'held out to the public' is crucial. How does the exam test that? Emma: It's often tested with the home office scenario. The exam will give you two situations. In one, a rep works from home, doesn't list the address anywhere, and meets clients at a coffee shop. That's a non-branch location. Marcus: And the other scenario? Emma: The other has a rep who puts their home address on their business card, has a sign on their lawn, and regularly meets clients in their home office. That location is now being 'held out to the public' and would likely need to be registered and supervised as a branch office, triggering that three-year inspection cycle. Marcus: That's a very clear distinction. Do you have a simple way to keep the main inspection cycles straight? Emma: I do. Think about the level of responsibility. OSJ.s have the most responsibility, so they get the most frequent review: an annual inspection. It's a yearly check-up for the most vital organs of the firm. Regular branches have less direct supervisory responsibility, so they get a less frequent inspection: triennially. More responsibility means more frequent inspections. Marcus: That's a great way to frame it. This is exactly the kind of detail that VoraPrep is built for, breaking down a complex rule into clear, manageable parts. So, let's do a quick recap of the key takeaways. Emma: First, an OSJ is defined by its function—things like final approval of new accounts or advertising. A Branch Office is defined by being 'held out to the public'. A Non-Branch Location is everything else. Marcus: And the inspection cycles are tied directly to that classification. Emma: Correct. OSJ.s and any branch that supervises other locations get inspected annually. Non-OSJ branch offices are inspected triennially. And non-branch locations are inspected periodically, based on a risk assessment. Marcus: Emma, this was incredibly clear. Thanks for breaking down Rule 3110 for us. Emma: My pleasure. The key is to be systematic. Know the definitions, and the right inspection cycle will follow. Keep up the great work, everyone. We'll see you next time on Office Hours.
