- 0:13developing story that has caught the attention of many an ongoing
- 0:16investigation of the Tesla Inc's purchase of some rather unique
- 0:19construction materials. US prosecutors are scrutinizing
- 0:23the project to see if the purchase and subsequent actions
- 0:27were an appropriate use of company funds.

- 0:53here. The US Attorney's Office in New
- 0:54York has recently sent subpoenas to a series of both current and
- 0:59past employees at Tesla, and these subpoenas are seeking
- 1:02information more specifically related to construction
- 1:06materials and correspondence with Ahmed as far who is the
- 1:10core of the internal Tesla investigation into the same
- 1:14issue. Now, you might ask, what kind of
- 1:16materials are we talking about? It turns out the focus is on a
- 1:19specialized type of glass. 2022 purchase order for this glass
- 1:24had been flagged as suspicious by company officials, leading to
- 1:27the scrutiny by Tesla's finance and internal audit groups.
- 1:32Now on top of this, federal prosecutors in Manhattan are
- 1:34investigating Tesla's use of company funds for a classified
- 1:38project, described internally as a structure intended for Elon
- 1:42Musk himself. Glass structure to be precise,
- 1:45and it was planned to be built in the Austin, TX area.
- 1:49And as of now, it's still unclear what exactly the
- 1:51structure was supposed to be for.
- 1:54So what was the reaction from Tesla and Musk?
- 1:58And as it stands, there hasn't been an official response to any
- 2:01of these reports. And additionally, the US
- 2:03Attorney's Office in New York is opted not to comment on the
- 2:07matter. But the Securities and Exchange
- 2:10Commission or the SEC, has also initiated a civil investigation
- 2:14into what is internally called Project 42, which appears to be
- 2:19the very same mysterious glass structure project.
- 2:23And they're seeking comparable information to what the federal
- 2:26prosecutors are after. Now, a vital aspect to consider
- 2:30here is the regulatory framework.
- 2:32Public companies like Tesla are required to disclose
- 2:34transactions exceeding $120,000 that involve an executive
- 2:40officer having a material investment.
- 2:42Moreover, any perks or personal benefits worth more than $10,000
- 2:47need to be disclosed to investors.
- 2:50Now, Speaking of person regulations, this is not the
- 2:53first time that Tesla and Musk have had a run in with the SEC.
- 2:57Both parties had to pay $20 million each.
- 2:59In 2018, settling a fraud lawsuit alleged Musk misled
- 3:04investors. As you might recall, Musk had
- 3:06repeatedly butted heads with the SEC, contesting the 2018
- 3:10settlement and claiming that it was leveraged to make frivolous
- 3:13demands from Tesla. Now you might be asking, what
- 3:17does all of this mean for Tesla and Elon Musk?
- 3:20As it stands, it still early days for these investigation and
- 3:24it's unclear what the outcome may be.
- 3:26It's also worth noting that both the US Attorney's Office and the
- 3:30SEC have declined to comment, making the picture even more
- 3:34opaque. What we do know is that Tesla's
- 3:37board had shown concern over the use of company funds in Project
- 3:4042 and had questioned Musk's personal involvement in it.
- 3:44And such actions are a significant issue for a publicly
- 3:48traded company, which must be transparent in its expenditures
- 3:52and its activities, especially when it pertains to executives.
- 3:55If it turns out the company funds were improperly used for
- 3:59personal gains, it could trigger a range of legal consequences,
- 4:03and these could include not only SEC sanctions but also an IRS
- 4:07investigation and lawsuits from shareholders.
- 4:11Now, let's not forget allegations like these can
- 4:14influence stock prices and public trust, two elements that
- 4:17no company can afford to lose. Now, in a nutshell, we're
- 4:21looking at a story that involves architectural dreams, secret
- 4:24projects, legal scrutiny, and perhaps even a battle over
- 4:28transparency and ethical corporate governance.
- 4:31Now, as things stands, many questions remain unanswered,
- 4:35including the most fundamental ones.
