- 0:11Welcome and thank you for joining me for tax break.
- 0:14This is a podcast about South African tax 4 South African tax
- 0:17professionals and practitioners. My name is Peter from the swan
- 0:21and in each episode, Ashley, my thoughts with you on a a topic
- 0:25or a recent development in South African tax.
- 0:27And I tried to keep the episode short enough that you can listen
- 0:31to them whenever you've got a few minutes to spare.
- 0:34Now today's episode is not a very long one, but it's worth
- 0:38the topic that if you, your, your understanding of these
- 0:42terms is, is incorrect, could have a massive impact on what
- 0:46you do from a tax perspective. So the topic was motivated by a
- 0:51comment that someone made regarding a structure that they
- 0:54were considering. And without going into the
- 0:58detail of what the transaction and what the structure was, the
- 1:01comment was something along the lines that because the taxpayers
- 1:05are connected persons, it's very likely that we'll qualify for
- 1:09some form of, of of relief in the transaction that that we're
- 1:15doing now. I really hope that this comment
- 1:19would make most of you as uncomfortable as it made me.
- 1:23And this also prompted me to maybe just go back to the some
- 1:27of the fundamental principles that underpin some of the
- 1:34provisions of the tax legislation.
- 1:37So I think the fact is that the concept of connected persons is
- 1:42primarily something that we find in anti avoidance rules.
- 1:46So if we think about, for example, a transaction where an
- 1:51asset is disposed of between connected persons, you find that
- 1:55there's a specific rule that deems the asset to be disposed
- 1:59of at its market value. Because that transaction could
- 2:03be susceptible to price manipulation if the treatment in
- 2:08the for for one person is is more favorable than the other.
- 2:13Or you may have an incentive to shift the asset to another
- 2:18person without charging the full value and incurring tax on the
- 2:21full value. Same with other anti avoidance
- 2:25types of provisions like for example the value shifting rule.
- 2:30So conceptually connected persons requirements fit into
- 2:38these into these anti avoidance rules.
- 2:41So what I suspect the person was actually thinking of is the
- 2:44concept of a group of companies. Now we find that this concept in
- 2:50the corporate rules, in other words, the rules that allow you
- 2:53to do some reorganization transactions, we broadly
- 2:58speaking the asset, the the person remains interested in the
- 3:02asset and you are you moving the asset around within some form of
- 3:07an economic unit. We also find it in, for example,
- 3:12the the date conversation compromise rules where there are
- 3:15certain exceptions if these transactions happen within a
- 3:19group of companies. So the context where we often
- 3:22find the context the the the the concept of a group of companies
- 3:26is in where these concessions in the tax legislation.
- 3:31If you compare the the definitions of the two, you'll
- 3:35also see that the definition for of a connected person, the
- 3:39threshold to be connected is a lot lower than to have a group
- 3:44of companies. So in the context of of
- 3:47companies, a person having a 20% shareholding in a company or 20%
- 3:53or more shielding in a company would would often be a connected
- 3:56person and the natives cost quite wide as to who connected
- 4:01person would be connected persons in relation to each
- 4:04other. So good example of that is if we
- 4:06look at trusts, the beneficiaries of trusts are
- 4:11connected persons and the definition extends even further
- 4:15to say it would also extend to the connected persons of those
- 4:20beneficiaries versus a group of companies where we're looking at
- 4:24a 70% plus the shareholding threshold to qualify as a group
- 4:31of companies. And if we're looking at the
- 4:34Section 41 definition, where you looking at corporate rule
- 4:40relief, that definition incidentally is also used
- 4:43elsewhere, not only in the corporate rules.
- 4:45So it's important to see are you looking at the Section 1
- 4:48definition of the Section 41 definition, But that definition
- 4:53then as the 70, the normal 70% rule as well as some further
- 4:59exclusions of certain persons or entities whose tax may be
- 5:03different from others. So looking at it conceptually,
- 5:06the the connected person definition is very wide.
- 5:10The threshold is quite low because that's where potential
- 5:16transactions that could be susceptible to to to
- 5:19manipulation can happen versus the group of companies threshold
- 5:23that is actually that is quite high where you will then get
- 5:28concessions or specific relief from tax consequences that would
- 5:32have otherwise arisen. I think in each instance it's
- 5:36also important to look at what the actual law and the wording
- 5:42of the law says. Not just to think about it
- 5:44conceptually as to what where you normally find these terms,
- 5:50but in principle I think you are likely to find when you look at
- 5:54this wording of the law. The connected person rules are
- 5:57often anti avoidance types of rules, while the group rules are
- 6:01mostly relief and conservation rules.
- 6:04It's been a short episode, but I hope it gives you something to
- 6:06think about. If you've got any comments,
