- 0:58- This is Scott Becker with the Beckers Health
- 1:01- Care Podcast.
- 1:02- I am thrilled today to be joined by
- 1:03- brilliant journalist and editor in chief, Allan Condon.
- 1:07- And Allan joins us regularly to talk about
- 1:09- stories that he's watching in health care, an
- 1:12- extremely busy time it seems in sort of
- 1:14- business trends in health care, health care systems,
- 1:17- some performing really well, some really struggling, and
- 1:20- a lot more.
- 1:21- Alon, let me just turn it to you.
- 1:23- What are a few of the key stories
- 1:25- that you're watching to keep an eye on
- 1:26- currently?
- 1:28- Yeah. Absolutely. I was glad to be on
- 1:29- with you, Scott. So I think
- 1:32- two two key stories I'd love to touch
- 1:33- on today for our listeners and the vector's
- 1:36- audience.
- 1:37- First and foremost,
- 1:39- we saw yesterday, on Monday, June 29, 25
- 1:44- states and Washington, DC, the Democratic governors and
- 1:47- attorneys general from 25 states and Washington, DC
- 1:51- sued the Trump administration
- 1:53- over
- 1:54- CMS's
- 1:55- interim final rule, which is, of course, implementing
- 1:58- Medicaid
- 1:59- work requirements.
- 2:01- Q2 story here. I think no doubt this
- 2:03- will play out over the next couple of
- 2:04- months in the court system and whatnot, but
- 2:06- essentially, this lawsuit for for hospital leaders listening
- 2:09- to this call challenges CMS rule, which outlines
- 2:13- how states must implement new community engagement requirements
- 2:18- under, of course, h r one, the one
- 2:20- big deal for bill for the other name
- 2:22- of that bill.
- 2:24- So the law also essentially argues that the
- 2:26- rule illegally
- 2:27- narrows
- 2:28- exemptions for Medicaid
- 2:30- braille Medicaid beneficiaries and creates administrative barriers that
- 2:34- cause eligible people to really lose coverage.
- 2:38- So we we know we've covered this acknowledging
- 2:40- of Becker's over the last couple of months
- 2:41- that under HR one,
- 2:44- certain Medicaid expansion enrollees must work,
- 2:48- attend school,
- 2:49- volunteer, or participate in other qualifying activities to
- 2:53- maintain that
- 2:54- Medicaid
- 2:55- coverage. So CMS has said that this rule
- 2:58- is designed to prioritize
- 2:59- coverage for Medicaid's most vulnerable population
- 3:02- and promote economic economic
- 3:04- stability,
- 3:05- self sufficiency,
- 3:07- independence, whatnot.
- 3:08- States, on the other on the other end,
- 3:10- these 25 democratic led states argue that this
- 3:12- rule will, quote unquote, disproportionately
- 3:16- affect older adults that are not yet eligible
- 3:19- for Medicare
- 3:21- and Medicaid and people with serious conditions.
- 3:24- In addition,
- 3:26- plays really further strain on safety net providers,
- 3:29- hospitals,
- 3:30- know that we'll see a big increase in
- 3:32- uncompensated
- 3:33- care,
- 3:34- further strain safety net of rural hospitals,
- 3:37- many of which are already under significant strain
- 3:39- at the moment. There's a ton more in
- 3:41- this. Those are the key key points of
- 3:43- the pushback from state.
- 3:46- Essentially,
- 3:47- they're arguing that they they would like to
- 3:49- block the challenge provisions that CMS has laid
- 3:52- out here, declare them unlawful,
- 3:54- and ultimately
- 3:56- vacate them.
- 3:57- So huge huge,
- 3:59- news that just broke this week.
- 4:01- No doubt we'll see this play out at
- 4:02- long, arduous process over the coming months. And
- 4:05- I guess just in terms of where we
- 4:07- currently stand in these Medicaid work requirements,
- 4:09- Georgia
- 4:10- and Nebraska are the only two states that
- 4:12- have actively enforced the Medicaid work requirements under
- 4:15- that recent federal legislation. Legislation. When we looked
- 4:17- ahead to July 1, just in a couple
- 4:20- days, Montana
- 4:21- and Arkansas are gonna kick off their Medicaid
- 4:24- work requirements and many other states, in the
- 4:26- lead up to,
- 4:28- to fully implement these these mandates by 01/01/2027.
- 4:33- So big, big news there that just broke
- 4:35- this week,
- 4:36- but, certainly, we'll see something play out over
- 4:38- the coming months here as well.
- 4:40- No. Fantastic. And it really does break down
- 4:42- a lot on party lines.
- 4:45- Very complicated
- 4:46- because there's an old concept that people should
- 4:49- try and work at least to get
- 4:51- welfare, other benefits.
- 4:53- At the same time, that's become directional and
- 4:56- platitude at all versus really administratable,
- 4:59- it seems like. And so you do have
- 5:01- all this political theater that goes on with
- 5:04- this.
- 5:05- How will some of this play out? What
- 5:06- what do people expect, or is there any
- 5:08- sense of that?
- 5:10- I think very, very early to know how
- 5:13- this will exactly play out in the core.
- 5:15- I know certainly, there were talk,
- 5:18- for some of those democratic led led states
- 5:20- over the last couple of months to certainly
- 5:22- challenge
- 5:23- this rule, which they know they'll have just
- 5:25- done.
- 5:26- Whether that how that actually ultimately plays out
- 5:29- over the current month remains to be seen.
- 5:31- But
- 5:32- no doubt we're still gonna see states roll
- 5:34- on and continue to kick off these Medicaid
- 5:35- work requirements,
- 5:37- while that federal legislation is still in place.
- 5:39- Certainly, a lot of people political theater and
- 5:42- whatnot, like you said, got playing out over
- 5:43- the coming months, especially,
- 5:45- as we gear up to those midterms, later
- 5:48- on this year as well.
- 5:50- It's fascinating. And so that's one thing. All
- 5:52- these states suing about the Medicaid work requirements
- 5:55- and, you know,
- 5:57- fascinating on both sides of the table.
- 5:59- No comment.
- 6:01- Tell us what else you're watching currently that's
- 6:04- that's sort of, front and center.
- 6:07- Yeah. I think, one that was upon a
- 6:10- number of really interesting transactions,
- 6:12- over the last four months. I think, I
- 6:14- had the pleasure of speaking with, Banner Health
- 6:18- president and CEO,
- 6:20- Amy Perry, who is a regular attendee in
- 6:22- our Becker CEO leadership calls every month.
- 6:25- Banner fantastic system operating in multiple states, which
- 6:28- is an interesting deal in terms of where
- 6:31- it's,
- 6:32- planning to offload and sell one of its
- 6:34- critical access possible hospitals
- 6:37- in California.
- 6:38- I think it's an interesting deal despite banner
- 6:40- selling a deal in California, but also who's
- 6:43- buying that on the other end of the
- 6:44- spectrum. So Coram Health,
- 6:47- again, a for profit system that was spun
- 6:49- out of community health systems many years ago,
- 6:52- has restructured, has gone through bankruptcy.
- 6:54- Now it appears to be on back in
- 6:56- growth mode and acquire,
- 6:58- rural hospitals, critical access hospitals,
- 7:01- in multiple states across the country.
- 7:03- So Quorum, at the moment, operates 11 hospitals
- 7:07- across nine states including one in California. This
- 7:10- this would obviously double its hospital cost
- 7:12- this would obviously double its hospital footprint in
- 7:15- California
- 7:16- to two. But I think the other
- 7:19- interesting
- 7:19- aspect of Quorum Health,
- 7:22- we had the opportunity to speak to their
- 7:24- CEO, Chris Harrison, formerly their CFO, now their
- 7:27- CEO.
- 7:28- Really interesting deal that they're doing. Obviously, a
- 7:30- for profit system,
- 7:32- but they are working to convert
- 7:35- to a nonprofit
- 7:37- health system,
- 7:38- which which their CEO really thinks would help
- 7:40- position Cornell for long term sustainability,
- 7:44- especially as as rural hospitals face mounting financial,
- 7:48- mounting operational challenges.
- 7:51- To have seen one system follow a similar
- 7:53- footprint in terms of eHealth in Florida.
- 7:56- I believe last two years ago, successfully transitioned
- 7:59- to a nonprofit private health system. Quorum Health
- 8:02- really, looking to acquire this hospital from Banner
- 8:04- in California
- 8:05- and they essentially grow its rural, footprint across
- 8:08- the country. And then the last last thing
- 8:10- at Coram Health as well here, they're also
- 8:13- looking to stand up a
- 8:16- rural hospital
- 8:17- focused management services organization,
- 8:20- It focuses primarily on the revenue cycle management.
- 8:23- So we often hear about so much about
- 8:25- revenue cycle management. Big, big challenge across the
- 8:28- board, especially for our folks with limited resources
- 8:30- and, you know, hospital for safety and hospitals
- 8:33- looking for a partner in this space,
- 8:35- especially, in line with the rural health transformation
- 8:37- fund. There's a lot of money on the
- 8:39- table there. Coram helps you the big potential
- 8:41- to help the rural, hospitals who are struggling
- 8:43- in this regard and also,
- 8:45- stand up an MSL in there. So a
- 8:47- lot to unpack in that deal from Banner
- 8:49- selling that hospital. Well, interesting to see on
- 8:52- who's on the other side of that table
- 8:53- of buying the hospital and what might potentially
- 8:56- happen down the line with Quorum's
- 8:58- potential transition from a for profit system to
- 9:01- a nonprofit system as well.
- 9:03- Fascinating to watch. The history of Quorum is
- 9:06- just fascinating between community health systems back in
- 9:08- the day to where they're at today to
- 9:10- potentially becoming a not for profit here. The
- 9:12- whole thing is literally fascinating. The the evolution
- 9:15- and change and so forth, literally fascinating.
- 9:18- So, Alan, two big stories there. Quorum, Banner,
- 9:22- and then also 25 states suing the federal
- 9:25- government over Medicaid work requirements and eligibility requirements
- 9:28- and administrative issues. Fascinating to watch. Alan, anything
- 9:31- else that's top of mind you wanted to
- 9:33- point out real quickly?
- 9:35- Yeah. I think, maybe just to kinda one
- 9:37- quick add on is just to maybe further
- 9:39- explain in terms of Quorum,
- 9:41- that nonprofit potential trans transition. What they'll essentially
- 9:44- kinda open them up to do and how
- 9:45- it would help them,
- 9:47- for our listeners. So I guess Quorum Health,
- 9:49- again, 11 hospitals in The United States, a
- 9:51- very dispersed
- 9:53- footprint that that yields
- 9:55- little economies of scale and really makes it
- 9:58- difficult to partner with maybe larger operators
- 10:01- while structured as a for profit. So this
- 10:04- is according to CEO Chris Harrison.
- 10:06- He believes that that nonprofit structure would change
- 10:09- the map on their capital. So essentially, it
- 10:12- would give Quorum health the ability to operate
- 10:14- under a much lower cost of debt and
- 10:17- then also to emerge from that transaction with
- 10:19- a much healthier balance sheet, much healthier credit
- 10:22- rating.
- 10:23- Really interesting just to see
- 10:25- the the the strategy behind that potential deal
- 10:28- and how it might play out down the
- 10:29- line. Like you said, Quorum has fascinating history.
- 10:32- One of the CHS though that has had
- 10:33- its financial challenges, bankruptcy, successfully emerged from it.
- 10:37- This is the latest in, in in in
- 10:39- a move by its by CEO, Criterion. Well,
- 10:41- last name to watch, I'll certainly keep readers
- 10:42- of the date over the coming months.
- 10:44- Well, Alan, as always, fantastic to visit with
- 10:47- you. Thank you so much for joining us
- 10:49- today on the Becker's Healthcare podcast.
- 10:51- You're a remarkable, remarkable journalist and leader. Thank
- 10:54- you so much for joining us. My pleasure.
- 10:56- Thanks so much, Scott.
